China签订地址：中国北京 Chapter 1 Parties第一章 合同各方Article 1第一条 Party A: Chinamex America Business Service L.L.C (Hereinafter Party A)Registered Address: Atlanta, United States of America Chief Manager:Telephone:Fax:甲 方：Chinamex美国商务服务有限公司注册地址：美国乔治亚洲亚特兰大市总 经 理电 话：传 真：Party B: (A Chinese Enterprise) (Hereinafter Party B)Registered Address:Legal Representative: Telephone:Fax:乙 方：(中国企业)注册地址：法人代表：电 话：传 真：Article 2 第二条 After amicable consultation by and between Party A and Party B, Party B is willing to sign this contract with Party A and enter into the project of Chinese Enterprises (American) Marketing Center in Atlanta City, State of Georgia, United States of America established by Party A. 甲、乙方经友好协商达成一致，乙方同意与甲方签署本合同，入驻甲方位于美国乔治亚州亚特兰大市的“中国企业（美国）营销中心”项目。Chapter 2 Contractor Relationship第二章 合同方关系Article 3第三条 Party A will establish a project of “Chinese Enterprises (American) Marketing Center” in America (hereinafter Marketing Center) to provide an economy and trade platform on commodities trade services for Chinese enterprises. Party A will transact the America company registration and visa application for Party B and provide a booth and other services for Party Bs business operation. Party B will enter into the Marketing Center and run its business independently. 甲方将在美国建立“中国企业（美国）营销中心”项目（以下简称“营销中心”），为中国企业提供商品贸易服务的经贸平台。甲方为乙方办理在美国公司注册以及入驻人员的签证手续，向乙方提供可以开展企业经营活动的商铺，并提供有关的服务；乙方入驻营销中心，独立开展经营活动。Article 4 第四条 Party B agrees that, after the establishment of America Company (hereinafter Party Bs America Company), Party B and its America Company bear the same rights and obligations as that of Party B stipulated hereof. 乙方同意，其在美国注册的公司（以下简称“乙方美国公司”）成立后，乙方及乙方美国公司均享有本合同中约定的乙方相关权利，履行乙方相关义务。Chapter 3 Company Registration and Business Operation 第三章 美国公司注册及公司经营Article 5第五条 After Party A receives Party Bs company registration materials (refer to Appendix 1) and the designated amounts stipulated in Article 41 hereof, Party A will start to process a Limited Liability Company registration in America for Party B. 甲方在收到乙方的公司注册材料（详见附件一）和本合同第四十一条约定的款项后，开始为乙方办理在美注册有限责任公司的相关手续。Article 6第六条 After Party A finishes company registration and business visa application, Party B shall open a bank account in America and transfer company registered capital of at least $150,000 into his account mentioned herein according to notice of Party A. 甲方为乙方办理完毕美国公司注册手续和商务签证后，乙方根据甲方的通知，在30天内赴美国办理银行开户手续，并将不少于150,000美元的公司注册资金汇入乙方在美国注册公司的帐户。 Article 7第七条 Party B shall provide authentic and accurate company registration materials in both English and Chinese versions within 30 days from the signature of this contract according to the requirements of Party A. Any failure of company registration and economic losses for unreal materials or any delay in providing relevant materials shall be borne by Party B. 乙方按照甲方的要求在签订本合同后30天内提供真实、准确的中英文公司注册材料，并承担因不按时和提供不真实材料而产生的公司不能在美国注册的后果及其经济损失。Article 8第八条 After company establishment in America, Party B shall be under the scope of its business license and conform to the United States laws and regulations, as well as Party As bylaws on the Marketing Center. Selling fake and shoddy goods, as well as goods in breach of Intellectual Property Rights, is strictly prohibited.乙方在美国注册的公司成立后，应遵守美国的法律、法规和甲方有关营销中心的各项规章制度，合法经营。不得销售假冒伪劣、侵犯知识产权和被美国法律禁止的商品。Article 9第九条 Party B shall buy personal and property insurances according to relevant regulations in America. All fees occurred shall be assumed by Party B. 乙方根据美国的相关规定投保在美国的人身和财产保险，费用自行承担。Article 10第十条 The America Company of Party B shall assume sole responsibility for its profits or losses. Party B shall bear the profits and risks independently during its operation. 乙方在美国注册的公司自负盈亏，乙方自行承担经营中的利润和风险。Chapter 4 Visa第四章 入驻人员签证办理Article 11 第十一条 Party A is responsible for applying two types of visas for Party B as follows:甲方为乙方办理以下两类型的美国签证：1. B1 Visa, a multi entry business visit visa in one year to the United States;1、B1签证，为赴美1年多次往返的商务签证。2. L1 Visa, a kind of working visa in the United States. 2、L1签证，为赴美的工作签证。Article 12 第十二条 After Party A receives Party Bs materials on business visa (refer to Appendix 2) and funds prescribed in Article 41 hereof, Party A will start to transact business visa(s) for Party B. 甲方在收到乙方的有关商务签证材料（详见附件二）和本合同第四十一条约定的款项后，开始为乙方办理商务签证。Article 13第十三条 After Party A receives Party Bs materials on business visa (refer to Appendix 3) and the designated amounts prescribed in Article 42 herein, as well as Party B transfers the registered capital into the account mentioned herein according to Article 6, Party A will start to transact working visa(s) for Party B. 甲方在收到乙方的有关工作签证材料（详见附件三）和本合同第四十二条约定的有关款项，且乙方按照第六条约定注入注册资金后，甲方开始为乙方办理工作签证。Article 14第十四条 Party B promises that its assigned staff(s) has no criminal records or any other records of bad behaviors in China, or Party B may bear the rejection of the visa application and losses of company registration fee and visa handling charge after the registration of its America Company. 乙方承诺乙方的拟入驻人员在中国境内外没有任何犯罪或不良记录，否则乙方自行承担在美国注册公司后签证被拒签的公司注册费和签证手续费的损失。Article 15第十五条 Party B shall provide materials for applying business visa to Party A within 30 days after the signature of this contract, as well as authentic working visa application materials timely in Chinese and English Version according to notice of Party A, or Party B may bear the failure or rejection of the visa application. If the rejection of visa application is caused by Party B, Party B shall bear the losses of handling charges of company registration and visa application. 乙方须在本合同签订后的30天内向甲方提供办理商务签证的材料，并按照甲方的通知及要求按时提供真实的有关办理工作签证的中英文材料，否则乙方自行承担签证未能办理或拒签的后果。如果由于乙方的原因签证被拒签，乙方需自行承担公司注册手续费和办理签证手续费的损失。Article 16第十六条 If the business visit visa or working visa of Party Bs assigned staff is rejected, Party A agrees to submit the application again on pay for the same staff of Party B or another one. 如果乙方入驻人员商务签证或工作签证被拒签，甲方同意为乙方再次有偿办理本人或更换其它人员的商务签证或工作签证手续。Article 17第十七条 If Party B claims Party A to refund for not going to process visa application any more, Party A may return the balance to Party B after deducting occurred costs according to the fee standards of Article 37. 如果乙方提出不再办理签证要求退费时，甲方将按照第三十七条的收费标准，扣除已经发生的费用后，将尚未发生的费用退予乙方。Article 18第十八条 Party A shall finish the company registration and business visa application within 70 days from the date that Party B transferring the registration capital according to Article 6 of this contract and pay the annual fee stipulated in Chapter 8 and submit proper business visa application materials.Party A shall finish the working visa application within 110 days (except when visa interview appointment with America Embassy and Consulate in China last for more than 60 days) and from the date that Party A finishes the company registration and business visa application and receives proper working visa application materials. Otherwise Party B is entitled to claim Party A to refund according to fee standards stipulated in Article 37, and Party A shall return all the amount of money from Party B after deducting relative costs. 在乙方按本合同第六条约定注入注册资金，按照第八章约定交纳入驻费用，并提交全部符合美国相关规定的公司注册和办理商务签证材料后的70天内，甲方负责为乙方办理公司注册及相应人员的美国商务签证。公司注册和商务签证办理完毕，乙方提交符合美国相关规定的办理工作签证材料后的110天内（如果美国驻华使馆和领事馆预约面签时间超过60天时除外），甲方负责为乙方办理工作签证。如果超过上述期限甲方仍未办理完毕，乙方有权要求甲方按照第三十七条的收费标准，扣除已经发生的费用后，将尚未发生的费用退还予乙方。Article 19第十九条 U.S Citizen and Immigration Services will grant one year working visa (L-1) to new registered company in America. After the expiration of the visa, U.S Citizen and Immigration Services will extend the visa for one more year, or two / three years considering the status of company and employees performance, or it will reject to extend the visa. Different years approved for visa extension and relevant expenses, even rejection to extension, will be borne by Party B. 美国移民局对在美国新注册公司的工作签证（ L-1）先批准一年，一年期满后将根据该公司经营和人员情况决定延期一年、二年、三年，或是不再延期。乙方需自行承担工作签证延期的时间、费用或是不再延期，并承担第二年商务签证不被批准的责任。Article 20第二十条After the expiration of one-year working visa held by Party B, Party A may extend the visa for Party B with payment, or Party B may deal with it himself. 乙方工作签证一年期满后，甲方可为乙方有偿办理续签手续，乙方也可以自行办理。Chapter 5 Booths in the Marketing Centre第五章 营销中心商铺Article 21第二十一条 The Marketing Center is to open in 2009. The specific entry and opening time takes notice of Party A as standard. 营销中心预计于2009年开业，具体入驻和开业时间以甲方通知为准。Article 22第二十二条 After Party A receives Party Bs relative annual fee stipulated in Chapter 8 of this contract and Party B obtains the business visit visa and working visa, Party A is responsible to provide a booth equipped as follows in the Marketing Center for Party Bs business operation within 5 working days after Party B arriving in America on opening time of the Marketing Center noticed by Party. 甲方收到乙方按本合同第八章之约定交纳的全部入驻费用，乙方获得商务签证和工作签证，并按照甲方营销中心开业通知的时间赴美国后的5个工作日内，甲方将负责向乙方提供营销中心内可直接用于经营活动包括以下条件的承租商铺：1. The booth is simple decorated and equipped with lighting, air-conditioner, telephone, internet and electric socket. 1、商铺为简单装修，配有照明、空调、电话、网络和电源插口。2. Party B shall purchase the office furniture by himself or entrust Party A to Purchase for him. 2、商铺家具由乙方自行配置，也可以委托甲方购置。Article 23第二十三条 After receiving an entry and opening notice from Party A，party B shall go to the United States for opening preparation. The booth leasing period and rent are from the opening date of the Marketing Center. 乙方接到入驻和开业通知后赴美国准备开业，商铺起租日及其商铺租金从营销中心开业之日计算。Article 24第二十四条 The booth of Party B is the business operation place to display and exhibit products and manufacturing capacity and do official businesses and commodities wholesales under the scope of business license. Any changes partly or wholly to the office function are strictly prohibited without the approval in written form from Party A.商铺为乙方在美国注册公司营业执照范围内的经营场所，可以作为展示乙方的商品、生产加工能力，办公并批发商品之用途。未经甲方事先书面许可，乙方不得将承租的营销中心商铺部分或全部转为或改为它用。Article 25第二十五条 Any internal decorations in the booth is required to submit the decoration plan to Party A and the decoration can be started only after approval given by Party A in written form.如乙方需对商铺进行装修，要事先向甲方申报装修方案，得到甲方书面同意后方可装修。Article 26第二十六条 Party A is responsible for the daily management, maintenance, fire control, security, public cleaning, and water and electricity supply of the property.甲方负责营销中心的物业服务，包括维护和维修公共设施和设备，做好消防、安全、保卫、公共保洁、供水和供电等项工作。Article 27第二十七条 Party B shall conform to bylaws of the Marketing Center. 乙方应当切实遵守营销中心的各项规章制度。Article 28第二十八条 Party B will not transfer the lease of the booth or sublet any portion of the office without Party As approval in written form. 未经甲方事先书面许可，乙方不得将商铺的任何部分转让、转借、转租或擅自调换使用。Article 29第二十九条 Party B shall pay fees timely for property management, water, electricity, telephone, internet and other day-to-day costs occurred in its booth in the Marketing Center according to fee notices sent by related management units and take liabilities for deferred payment.乙方自行承担在承租商铺期间发生的物业管理费，商铺内的水费、电费、电话费、网络费用等各项日常费用，并根据有关管理单位的交费通知及时缴纳，否则要承担延期付款的违约责任。Article 30第三十条 When this contract expires or is terminated early, unless additional negotiation between Party A and Party B, Party B shall move all properties out of the Marketing Center and keep all fixtures and fittings in the center intact and return to Party A, or pay Party A to renew the booth into the same conditions as Party B received. 本合同履行期满或提前终止时，除非甲乙双方另有约定，乙方应将其所有物品搬出营销中心商铺，将商铺的所有固定装置和设备完好无损地交还甲方，或向甲方交纳恢复商铺原状所需要的费用。Chapter 6 Other Services 第六章 其它服务Article 31第三十一条 Party A shall recommend the local living accommodations to Party B through the local agent for free. The final leasing contract of accommodation will be signed between Party B and local agent.甲方和当地的房屋中介公司联系，无偿为乙方介绍当地的公寓住宿。乙方赴美后直接和房屋中介公司签订租赁公寓合同。Article 32第三十二条 All the costs of service Party A provides to Party B which are included from chapter 3 to chapter 5 are listed in chapter 8. Party A will also provide the following, included but not limited, additional services, the price of which are not included in Chapter 8 and shall be negotiated or fixed latterly.本合同第三章至第五章甲方向乙方提供的服务包括在第八章的价格中。甲方还向乙方提供包括但不限于如下的有偿服务，相关服务费用不包含在第八章的价格中，其费用另行制定或商定。1. Logistics Service;1、物流服务； 2. Business Center Service; 2、商务中心服务；3. Legal consulting and accounting service;3、法律、会计服务；4. Business developing service;4、业务拓展服务；5. Investing and financing service.5、投资、融资服务。Chapter 7 Deposit第七章 保证金Article 33第三十三条 To ensure Party B conforms to America laws and regulations on business operation and visa management, Party As bylaws and proper use of the booth in the Marketing Centre, Party B shall pay business visa deposit, working visa deposit and booth deposit to Party A. 为保证乙方在入驻期间遵守美国有关公司经营、签证等法律法规、甲方的各项规章制度及正确妥善使用营销中心商铺，乙方需向甲方支付商务签证、工作签证和商铺的保证金。Article 34第三十四条 If Party B does not breach America laws and regulations on visa management and enter into the Marketing Center as stipulated in this contract, Party A will refund the business visa deposit and working visa deposit to Party B after the expiration date of the visa hold by Party Bs assigned staff and without intention to transact it again.如果乙方没有违反美国签证管理相关规定的行为，并且按照本合同的约定入驻营销中心，甲方将在乙方入驻人员商务签证、工作签证期满并不再要求办理后，分别将商务签证和工作签证保证金退还乙方。Article 35第三十五条 When this contract expires, Party B shall be obliged to return the booth of the Marketing Center back to Party B in the same conditions as received, including authorized improvements. The deposit will be refunded to Party B.本合同届满，乙方将商铺恢复原状，并完好地退还甲方后，甲方将商铺保证金退还乙方。Article 36第三十六条 If any problems are found in the following circumstances, Party A is entitled to deduct part or all of the deposit：乙方如有下列情形之一时，甲方有权不予退还保证金：1. Party B is in violation of the contract；1、违反本合同的约定；2. Party Bs personal stay in the US illegally with expiring L-1 or B-1 visas；2、持商务签证超期，或在美国非法滞留不归；3. Party B has seriously violated American laws, regulations and the regulations of company operation and visa management, causing a bad influence；3、违反美国的法律和法规，违反美国有关公司经营和签证管理的规定，造成不良影响；4. Party B causes economic losses or damages Party As reputation, or damages booth facilities and refuses to compensate；4、给甲方造成经济和名誉损失，损坏营销中心商铺的设施和设备拒不赔偿；5. Party B unilaterally terminates this contract and takes an unauthorized leave from the Marketing Center；5、乙方单方面解除本合同离开营销中心；6. Party B refuses to pay relevant fees of the second year and the third year；6、乙方拒付本合同规定第二年、第三年的有关费用；7. The contract has an early termination due to Party Bs liability described in Chapter 10 and Chapter 11 of this contract.7、出现第十章和第十一章约定的由于乙方的责任而提前终止本合同时。Chapter 8 Fee and Payment第八章 入驻费用及其支付Article 37第三十七条 To above services listed from Chapter 3 to Chapter 5 provided by Party A, the fee standards are as follows:甲方提供第三章至第五章约定的服务，收取的入驻费用收费标准如下： 1. Handling Charge on Company Registration in the United States: RMB 15,000;1、公司注册手续费用： 壹万伍千元人民币；2. Handling Charge on B1 Visa Application: RMB5, 000/ person/year;2、商务签证（B1）手续费用：伍千元人民币/人/年；3. Handling Charge on L1 Working Visa Application: RMB35, 000 / person;3、工作签证（L1）手续费用：叁万伍千元人民币/人 ；4、. Booth Rent: RMB7, 500/m2/year. Minimum leasing area is 20 square meters. 4、商 铺 租 金： 柒仟伍佰元人民币/平方米、年。起租面积为20平方米。5. Deposit5、保 证 金： 1). Deposit on B1 Business Visit Visa: RMB50, 000 / person; 1）、商务签证保证金：伍万元人民币/人；2). Deposit on Working Visa: RMB50, 000/person;2）、工作签证保证金：伍万元人民币/人； 3) Deposit on Booth: RMB50, 000/person;3）、商铺保证金：伍万元人民币/个Article 38第三十八条 Party A transacts one business visit visa and one working visa for Party B;甲方为乙方办理壹个人的商务签证；壹个人的工作签证；Party B rents square meters of booth from Party A. 乙方承租甲方 平方米的商铺。Article 39第三十九条 Party B shall pay the following amount of money to Party A: 乙方应向甲方支付以下款项：1. Handling Charge on Company Registration: RMB 15,000;1、公司注册手续费用：人民币15000元；2. Handling Charge on B1 Business Visit Visa: RMB ；2、商务签证手续费用：人民币 元；3. Handling Charge on L-1 Working Visa: RMB ;3、工作签证手续费用：人民币 元；4.、Booth Rent: RMB /year;4、商 铺 租 金： 每年人民币 元；5. Business Visa Deposit: RMB 5、商务签证保证金： 人民币 元：6. Working Visa Deposit: RMB 6、工作签证保证金： 人民币 元；7. Booth Deposit: RMB 7、商铺保证金： 人民币 元；Total: RMB .共 计： 人民币 元。Article 40第四十条 Party B shall pay the first year booth rent and relevant fees to the following designated bank account of Party A: 乙方将第一年的商铺租金以及有关款项支付予甲方指定的如下帐户：Beneficiary Name: 收款人名称：Beneficiarys Bank: 收款人开户行：Bank Account No.: 收款人帐号：Article 41第四十一条 Party B shall pay Party A RMB 100,000 within 5 working days after the signature of this contract.本合同签订之日起5个工作日内，乙方向甲方支付人民币壹拾万元整。Article 42第四十二条 Party B shall pay to Party A RMB 100,000 within 5 working days after transferring the registration capital according to Article 6 of this contract.在乙方根据第六条的约定注入注册资金之日起5个工作日内，乙方再向甲方支付人民币壹拾万元整。Article 43第四十三条After Party A presenting Party B the I-797 working permit of Party Bs assigned staff approved by America Citizenship and Immigration Services, Party B shall deposit the rest amount of money in one time to Party A within 5 working days. Party A will arrange Party Bs assigned staff to have visa interview in America Embassy and Consulate in China. 甲方向乙方出示美国移民局为乙方入驻人员办理的I-797工作许可批准书后，乙方须在5个工作日内将剩余的款项全部一次性支付予甲方，甲方安排乙方人员到美国驻华使馆、领事馆进行面签。Article 44第四十四条 Party A may issue a formal invoice to Party B after receiving all amount of
