The contents of the covering L/C should be in strict conformity with the terms and conditions of the Sales Contract. In case of any variation thereof necessitating amendment of the L/C, The buyer should bear the expenses for effecting the amendment. The both parties should refund 5% of the goods value as compensation to the party which suffers loss caused by the delay of the contract.9索 赔：买方对合同项下装运货物的任何索赔必须于货物到达目的港后30天内提出并必须提供经卖方同意的检验机构出具的检验报告供卖方审核。在任何情况下卖方对间接损失不承担赔偿责任，属于保险公司、船公司、运输机构和/或邮局责任范围内的索赔卖方不予受理。Claim：Any claim by the Buyer concerning the goods shipped hereunder shall be filed within 30 days after the arrival of the goods at the port of destination and supported by a survey report issued by a survey or approved by the Seller for the Sellers examination. In no event shall the Seller be liable for indirect or consequential damages. Claims in respect of matters within the scope of responsibility of the insurance company, shipping company, transportation organization and/or post office will not be entertained by the Seller.10不可抗力：由于发生人力不可抗拒的原因，致使本合约不能履行，部分或全部商品延误交货，卖方概不负责，但应立即通知买方。本合同所指的不可抗拒力系指不可干预、不能避免且不能克服的客观情况。Force Majeure：The Seller shall not be held responsible for failure or delay in delivery of the entire lot or a portion of the goods under this Sales Contract in consequence of any Force Majeure incidents which might occur, and the Seller shall notify the Buyer as soon as possible. Force Majeure as referred to in this contract means unforeseeable, unavoidable and insurmountable objective conditions.11仲 裁：凡因本合同引起的或本合同有关的任何争议，如果协商不能解决，应提交中国国际经济贸易仲裁委员会内蒙分会。按照申请仲裁时该会当时实施的仲裁规则进行仲裁。仲裁裁决是终局的，对双方具有约束力。Arbitration：Any dispute arising from or in connection with the Sales Contract shall be settled through friendly negotiation. In case no settlement can be reached, the dispute shall then be submitted to China International Economic and Trade Arbitration Commission (CIETAC), Inner Mongolia Commission for arbitration in accordance with its rules in effect at the time of applying for arbitration.
