关于_项目的附属协议Supplementary Agreement of _本协议由_（以下简称“甲方”）、_（以下简称“代理”）与_（以下简称“乙方”）签订。This Supplementary Agreement is signed among _ (hereinafter called “Party A”), Shanghai International Tendering Co., Ltd. (hereinafter called the “Agent”) and _ (hereinafter called “Party B”).鉴于甲方和乙方签署了_（以下简称“主合同”）；Whereas Party A and Party B have entered into _（hereinafter called the “Main Contract”）;本协议三方根据中华人民共和国合同法的规定，就主合同设计费的外汇支付事宜协商一致，特订立本协议，以便共同遵守。The three parties hereto agree to enter into this Supplementary Agreement related to the cross-border transferring of design fees in accordance with the Contract Law of the Peoples Republic of China and the Main Contract.1 各方职责/Liabilities of Each Party1.1 甲方的职责/Liabilities of Party A1.1.1 根据主合同约定的付款计划，在收到乙方开具的发票后，通知代理开具人民币收据Party A shall give notice to the Agent to issue receipt in CNY for the design fee according to the payment schedule defined in the Main Contract after receipt of the performance invoice from Party B (the receipt is a temporary document; after completion of each cross-border transferring, the Agent shall issue invoice in the exact amount as per the exchange rate of the bank transaction. Similarly hereinafter).1.1.2 在收到代理开具的收据后三个工作日内向代理支付开票款项。Party A shall make payment to the Agent within three working days after receipt of the receipt from the Agent.1.1.3 向代理提供本项目的立项批复或项目可行性研究报告批复的复印件用于主合同及本协议的报备。Party A shall provide the Agent a copy of the Approval for Project Application or a copy of the Approval for Project Feasibility Research Report for the purpose of contract registration of the Main Contract and this Supplementary Agreement.1.2 代理的职责/Liabilities of the Agent1.2.1 负责到上海市商务委员会办理主合同及本协议的技术进口合同登记证书。The Agent shall apply to Shanghai Economic and Trade Commission for the Registration Certificate of Technology Import Contract related to the Main Contract and this Supplementary Agreement.1.2.2 代乙方办理主合同设计费在中国境内的完税手续和对外支付手续。The Agent shall take charge of the formalities of tax payment inside China on behalf of Party B and cross-border payment under the Main Contract.1.2.3 负责向乙方提供在中国境内的完税凭证和银行费用收据的复印件。The Agent shall provide Party B with copies of the tax payment proof inside China and the bank memos of transferring transaction.1.3 乙方的职责/Liabilities of Party B1.3.1 根据主合同约定的付款计划，向甲方开具发票，并向代理提供副本。Party B shall issue performance invoice to Party A with a copy to the Agent according to the payment schedule under the Main Contract.1.3.2 负责跟踪甲方在主合同项下的付款进度，保证甲方按时向代理支付各期设计费。Party B shall follow up on the payment schedule with Party A to ensure that the design fee will be paid on time to the Agent from Party A.1.3.3 根据代理的要求，向代理提供上海市商务委员会及代理所在地有关税务机关要求提供的相关证明文件（如乙方在境外依法注册登记证书的复印件等）。Party B shall provide the Agent with a copy of relevant documents as per request of Shanghai Economic and Trade Commission and the local tax authority (e.g., copy of Party Bs business registration documents overseas).1.3.4 承担在对外支付过程中发生的所有银行手续费。Party B agrees to bear bank charges of the cross-border transferring occurred both inside and outside China.1.3.5 如因遗失或其他原因要求代理重新开具服务费发票，则应承担可能发生的相应税务费用。In case of loss of the invoice issued by the Agent or require the Agent to issue a second invoice for the same payment, Party B agrees to bear the corresponding taxes of the issued invoice.2 费用支付/Design Fee2.1 根据主合同的约定，甲方向乙方支付的设计费总额为_人民币。The total design fee under the Main Contract to be paid in USD by Party A to Party B is equivalent to CNY fee amount2.2 根据主合同约定的付款计划，在收到乙方开具的发票后，甲方应通知代理开具人民币收据。代理开具的收据金额应为根据当时银行汇率所估算的与对外支付金额相对应的人民币金额。甲方在收到代理开具的收据后，应以人民币形式向代理支付对应款项。Party A shall notify the Agent to issue receipt in CNY for the design fee according to the payment schedule defined in the Main Contract after receipt of the performance invoice issued by Party B. The amount of the receipt is the estimated amount of design fee in CNY as per the exchange rate on the issuing date. After receipt of the receipt issued by the Agent, Party A shall make payment in CNY to the Agent accordingly.2.3 代理在收到甲方支付的上述款项后三个工作日内（如收款日为每年十二月则需十五个工作日）应以乙方的名义向代理所在地的有关税务机关缴纳与所付设计费相关的在中国境内应缴纳的税费，并在收到税务机关开具的完税证明后的三个工作日内向乙方指定的境外账户进行支付。税务机关开具完税证明需要的时间约为缴税后的三个工作日。The Agent shall pay taxes related to the Main Contract on behalf of Party B to the local tax authority within three working days (if payment received in December of each year, it shall be fifteen working days) after receipt of the payment from Party A; and make payment to the designated overseas account of Party B within three working days after receipt of tax payment proof from the local tax authority. The time for the tax authority to issue such proof of tax payment is about three working days after the payment of tax.2.4 乙方在中国境内应缴纳的税费及向代理支付的服务费之和为主合同所约定的设计费总额的7.8%，其中税费为设计费总额的6.4%（如因中国国家及地方税收政策的变更而导致税费减少或增加，应从变更生效之日起相应核减或核增该项百分比）；服务费为设计费总额的1.4%。The total amount of the taxes levied on Party B by the Chinese tax authority and service charge by the Agent is equal to 7.8% of the total contract amount, which includes 6.4% for the taxes (in case of change of national or local tax policy, whether increase or decrease, this percentage shall be adjusted accordingly from the date such change takes place) and 1.4% for the service charge.2.5 代理在收到甲方在主合同项下的第一笔设计费后，将扣除乙方在中国境内应缴纳的税费和服务费。When receiving the first payment from Party A under the Main Contract, the Agent shall deduct taxes and service charge, plus taxes for the second payment in advance. For each payment after the first payment, the Agent shall deduct taxes for the next payment and service charge for this payment, until the last payment, for which only the service charge will be deducted.2.6 如甲方和乙方在主合同执行过程中另行签署补充协议，并在主合同约定的设计费基础上另行增加设计费，则与之对应的税费和服务费也应按本协议第2.2至2.5条的约定另行缴纳和支付。During execution of the Main Contract, if Party A and Party B sign any other supplementary agreement and increase design fee, corresponding taxes and service charge for the increased amount of the design fee shall be paid pursuant to clause 2.2 to clause 2.5 of this Supplementary Agreement accordingly.2.7 乙方的银行信息为：The bank account information of Party B is:（1） 收款人/Account Name：（2） 帐号/Account No.：（3） ABA/号ABA No.：（4） 银行业务代号/SWIFT CODE：（5） 开户行/Bank：（6） 地址/Address：（7） 城市/City：（8） 电话/Telephone：（9） 传真/Fax：2.8 代理的银行信息为：The bank account information of the Agent is:（1） 银行名称/Bank：（2） 收款人/ Account Name：（3） 帐号/Account No：3 语言/Language当本协议的中英文版出现矛盾时，以中文版为准。If there is any discrepancy between the Chinese version and the English version, the Chinese version shall prevail.4 适用法律/Governing Law本协议按照中华人民共和国法律解释，各方之间的权利和义务受中华人民共和国法律的管辖和保护。This Supplementary Agreement, its meaning and interpretation, and the rights and liabilities of each party hereunder shall be governed by the laws of the Peoples Republic of China.5 争议的处置/Settlement of Disputes各方应互相通报在履行本协议过程中所发生的问题，及时磋商解决办法，由于延误造成的损失由责任方承担。各方在履行本协议过程中所发生的争议，应先通过友好协商解决，协商解决不成时，任何一方均有权将争议提交给上海仲裁委员会并按照申请仲裁时该会适用的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均具有约束力。仲裁地点为上海。仲裁语言为中文及英文。Parties hereto shall notify each other regarding issues arising during execution of this Supplementary Agreement and discuss solutions in a timely manner. Losses due to delay of such notice shall be borne by the responsible party. Any dispute arising during execution of this Supplementary Agreement shall be settled amicably though friendly consultation; if it cannot be settled amicably, such dispute may be submitted by any party to Shanghai Arbitration Commission for arbitration in accordance with the applicable arbitration rules of such commission at the time of submission. The arbitration award is final and binding upon both parties. The arbitration shall be held in Shanghai. The language of arbitration is Chinese and English.6 生效/Effectiveness本协议经三方的法定代表人或法定代表人的授权代表签署并报上海市商务委员会备案后生效，在主合同及其补充协议（若有时）项下的设计费支付完毕后失效，或者经三方一致同意后失效。本合同的最长有效期为_年。The Supplementary Agreement will become effective for_ years after it is duly signed by each partys legal representative and registered in Shanghai Economic and Trade Commission, and will be terminated after the design fee, as defined in the Main Contract, has been paid or be otherwise terminated as agreed to by all parties.7 与主合同的关系/Governing Contract 如果本协议的内容与主合同有不符之处，则以本协议的内容为准。If there is any discrepancy between this Supplementary Agreement and the Main Contract, this Supplementary Agreement will prevail.8 合同份数/Number of Agreement Copies本协议正本一式_份，其中甲方执_份，乙方执_份，代理执2份。所有正本具有同等法律效力。There will be _ signed copies of t he Supplementary Agreement in total: _ for Party A, _ for Party B, and two for the Agent. All signed copies have the same legal effect.9 其它/Others9.1 在本协议的有效期内，三方中的任何一方不得单方面提出终止。During the validity period of this Supplementary Agreement, no party shall terminate this Supplementary Agreement at its sole discretion.9.2 由于不可抗力造成本协议不能履行时，不构成受到不可抗力影响一方的违约，如因此而造成任何一方的损失，由损失方自理。The failure of any party to fulfill its obligations under this Supplementary Agreem
