富华电子有限公司物料风险管控声明书Fuhua Electronics Co., Ltd. material control statement （For XXX）立 书 日: 年 月 日Established Date: Year, Month, Day公 司 名 称:Company Name:注 册 地 址:Registered Address:营 业 地 址:Business Address:公 司 负 责 人:Company Principal:签 名:Signature:承 办 人 :Undertaker:签 名:Signature:电 话:Telephone:传 真:Fax:电 子 邮 件:E-Mail:本公司就提供富华电子有限公司及其子公司、附属公司及关系企业（以下统称富华电子）的所有产品，包括但不限于原物料、零组件、半成品、辅助材料、装置部件的使用材料、包装材料、生产过程的添加剂及其他设计、生产、服务及重工过程使用的间接材料等（以下统称产品）申明并保证遵守以下事项：Our company represents and warrants that all Products provided to fuhua electronic co., and its subsidiary, affiliate and related company (hereinafter collectively referred to as “UE Electronic”), including but not limited to raw materials, components, semi-finished products, accessory materials, materials of device component, package materials, additives used in production process and indirect materials used in other procedure of design, manufacture, service or rework, etc. (hereinafter collectively referred to as “Product”) shall comply with as follow:一、本公司保证提供富华电子的产品符合下属检测方法及管控标准：Our company undertakes that the Products provided to UE Electronic shall correspond to the test methods and the control standards as follow:（1）：基本功能测试 The basic function test（2）：装配富华产品后EMC测试、雷击(浪涌)测试、高温老化及点温试验、高低温循环试验、EFT。 Assembly UE Electronic products after EMC test, lightning (surge) and point test, high temperature aging temperature test, high and low temperature cycle test, EFT.二、若原产地、生产流程、原物料、零组件或组装工艺的变更，导致本产品成分变更或有此之虞时，本公司应立即以书面通知富华电子，并更新检测报告及提供符合富华电子要求的其他任何文件。In the event that any changes of country of origin, production process, raw materials, components or assembly workmanship had caused or maybe cause the Products composition to change, our company shall immediately notify UE Electronic in writing and update the test reports and provide any other documents that meet the requirements of UE Electronic.三、若本公司提供富华电子的产品，其性能不符合富华电子规定值或违反本声明书的任一条款者，本公司应承担以下所列各项责任：If the company provides UE Electronic products, its performance is not in conformity with the provisions of Fuhua electronic value or in violation of the declaration of any clause, the company shall bear the responsibilities listed below:（1） 及时以书面形式通知富华电子该项违反承诺的情形，若有任何变更生产流程、制造工厂、原产地、零组件或原材料（包括但不限于元素含量的改变、构造成份的替换）等情形时亦同，并根据富华电子的指示迅速采取处置措施。Use written format in time to inform UE Electronic of the deviation item status or any changes of production process, manufacture plant, country of origin, components or raw materials (including but not limited to change of element content or replacement of structure) etc. and take prompt measures to deal with in accordance with the instructions of UE Electronic.（2） 以本公司费用更换或重工本产品，并采取其他的必要措施以减少该项违反对于富华电子造成的损失。Use our expense, exchange or rework the Products and take necessary measures to reduce the losses of UE Electronic due to this deviation.（3） 支付违约金，其金额由富华电子决定。 Pay for the penalty and its sum is decided by UE Electronic.（4） 赔偿并承担富华电子因本产品造成的所有损失及费用（包括但不限于停线造成的损失及费用；检验、维修、报废、挑选、重工、运输、仓储、差旅及检测等费用；因政处罚、客户索赔或产品召回造成的损失；诉讼费用及律师费；以及因无法准时出货导致的相关损失及费用）。Compensate UE Electronic for all losses caused by the Products and take on all costs hereof (including but not limited to the losses and costs caused by production line suspension; the costs of inspection, repair, scrap, sort, rework, transportation, storage, travel and test; the losses due to administrative sanctions, the customer claims or product recalls; the litigation costs and attorneys fees hereof; and the related losses and costs because of unable be shipped on time).四、若本公司违反本声明书的任一条款，富华电子得立即停止、终止或解除与本公司间部份或全部的交易关系（包括但不限于任何已订购的产品、订单或合约），并追究一切法律责任。In the event that our company had violated any provision of this Declaration, UE Electronic could promptly suspend, terminate or relieve any and/or all transaction relationship (including but not limited to any ordered Product, purchase order or contract) with our company, and hold us liable wholly.五、富华电子未要求本公司依本声明书的规定履行责任或义务，不对日后上述履行请求权造成任何影响。富华电子对于本公司就本声明书条款的违反放弃行使权利，并不构成日后对本声明书的同一条款或其他条款的违反放弃行使权利。The failure of UE Electronic hereto at any time to require performance by our company of any responsibility or obligation hereunder shall in no way affect the full right to require such performance at any time thereafter. Nor shall the wavier by UE Electronic of a breach of any provision hereof constitute a waiver of any succeeding breach of the same or any other provision hereof.六、本声明书取代本公司与富华电子间相关前述环境保护管制标准的任何协议或承。This Declaration replaces any agreement or commitment of environment protection control standard stated above between UE Electronic and our company.七、本公司保证授权代表已获得本公司的充分授权，有权代表本公司签署本声明书。Our company undertakes that the authorized representative has the thorough right to sign this Declaration on behalf of our company.八、本声明书自立书日起生效，非经富华电子事前书面同意，本公司不得自行修改、改变或撤销本声明书。若本公司于立书日前已提供富华电子任何产品，则本声明书视为自实际提供日起即生效力。This Declaration is effective as of the Established Date. Our company should not modify, alter or withdraw this Declaration by oneself, unless prior written permission had been obtained from UE Electronic. In the event that our company had provided any Product to UE Electronic prior to the Established Date, this Declaration shall be deemed effective since the Actual Provided Date.九、本声明书适用中华人民共和国法律，并从其解释。有关本声明书的所有诉讼程序应于富华电子的公司注册所在地的法院进行，本公司并同意以前述法院为专属管辖法院。This Declaration shall be governed and construed in accordance with law of the Peoples Republic of China. All actions or proceedings relating to this Declaration shall be conducted by the court at UE Electronics registered place of business and our company hereto consents to the exclusive jurisdiction of the said court.十、本声
