AUTHORIZED EXCLUSIVE DISTRIBUTOR AGREEMENT This Agreement is made and entered into as of October, 10, 2011 (Effective Date) between Shanghai XX Optoelectronic Technology Co., Ltd with its principal place of business at 6F, NO.1010,Wen Xiang Road, Song Jiang district, Shanghai, P.R.O.C. (XX ); and Ancher Trading S.A. its principal place of business at Head Office: Pza. Independencia - 811 - PB - 11 100 - Montevideo Uruguay (Ancher )RECITALSXX develops, manufactures the products of LED Lighting and Solar electrical energy generation in Shanghai, CHINA, including the products listed as below:LED spot lights LED bulbs (E26,E27) LED tubes (T8,T10) LED down lights LED street lamps LED lighting with sensor LED celling lighting LED panel lighting LED large-scale display project Solar electrical energy generation (1,500W-30,000W) This Agreement pertains only to XX Products as listed .NOW, THEREFORE, XX & Ancher agree as follows:B. Appointment as Ancher authorized exclusive distributor of XX with the following terms: (A) This agreement authorized countries and areas pertain including: Brazil / Argentina / Uruguay / Chile.(B) Exclusive Appointment. Subject to the terms of this Agreement,XX appointed Ancher to be their exclusive distributor and agent in their products, which in the agreed under the period, within the countries, areas and conditions, wont be authorized other individuals or companies as the agents. Otherwise, Ancher wont be the agent of the same produces for the others manufactures or suppliers both in locals or foreign countries.(C) Both two sides can write the each other companys name, address and product items and introduce projects into each own website to facilitate the product market development.(D) For protect the profit of Ancher, XX agreed to provide the best quote to Ancher, then Ancher plus a reasonable profit into the price, and the difference shall be the benefits and derived for Ancher all. Both two sides also agreed to settle accounts after completed each negotiation. The payment shall be in accordance international trade custom by L/C, T/T, Cash, etc.(E) XX will provide their technologies, catalogs, samples of the products and the necessary data to Ancher in support of the marketing development. Also Ancher should be a timely response to market conditions, to adjust the direction as to increase the products competitiveness, to achieve the purpose of deals success.(F) Ancher shall be reached the minimum quota of successful deals total amount U.S. Dollars 1.5 million at the first year (Oct. 10, 2011- Oct. 9, 2012), otherwise, Bong Fang may cancelled the exclusive distribution agent.(G) If any execution dispute of this agreement, both sides can be friendly consultations. If needs to arbitration, submitted to Shanghai commercial arbitration institute. Any change to this agreement shall be made in written form and be subjected to both parties. (H) This agreement is valid for 3(three) years, from Oct-10-2011 to Oct- 09- 2014.(I) This agreement is made in English in two copies with the same value, one copy for the XX and one copy for Ancher, and comes into effect both side signed and date from October,10,2011.
