第五章 常用词汇以及表达方式的翻译（二）本章教学目标：掌握常用法律英语词汇以及表达方式的基本译法。课堂讲练：一、“FOR THE PURPOSE(S) OF-“ 1、可翻译为“为-目的“（汉译英法律文本中多见）例1、 （1）、Whoever, for the purpose of illegal possession, uses one of the following means during signing or performing a contract to obtain property and goods of the opposite party by fraud, -, is to be sentenced to -.（2）、This law is enacted for the purpose of protecting the legal rights and interests of the parties to contracts, maintaining the socio-economic order-.注意，这种用法是我国法律英译文本的译法，在原文是英文的法律文本当中，要表达“为目的“或”出于目的“而使用“FOR THE PURPOSE(S) OF-“比较少见，一般使用“FOR”或者“IN ORDER TO”。 （3）、This contract is entered into by and between Party A and Party B as follows in order to arrange the matters in respect of the loan provided by Party A to Party B for the purchase of the target goods.小结：之所以建议用“FOR”或者“IN ORDER TO”，是因为“FOR THE PURPOSE(S) OF-“在英语法律文本中的用法已经不作“为目的”讲。2、译为“就-而言”，或“为了施行或实施”例2、（1）、For the purpose of subsection (3), permission shall be in the form of a thirty (30) business day prior notice in writing -（2）、For the purpose of this law, “invention creation “means inventions ,utility models and designs.”小结：该短语的恰当译法是“就-而言”，或“为施行-（法律条款名），尤其在其后跟法规编号时，最好可译为“就该（法规编号，比如第几条、款、章）而言”。二、“PROVIDE THAT“ “PROVIDE THAT“means: “on condition that, if”1) Provided that there is no opposition in writing by both Parties hereto at the expiration of its duration, this Contract shall be renewed automatically for one year.2) Provided that you make adequate monetary compensation.，we shall waive our title to this land. 1、 较少用法：放在句首，引导条件从句，与“IF”、“WHERE”等引导的条件从句无异。例3、（1）、Provided that the rent in respect of the aforesaid premises is not paid in advance as stipulated by Clause 1 hereof, the tenant shall be deemed to be in arrears with the rent. （2）、Provided that the offeree makes an acceptance beyond the time limit for acceptance, it shall constitute a new offer unless the offeror notifies the offeree in time that the acceptance is effective.2、 放在某句之后，以分号与主句隔开，表示与之前陈述相反的“例外”，相当于“with the exception of“，但不能译成“-以外，-除外”，而译成“但，但是“。法律英语中称为”但书“。1)、The Licensee shall not be entitled to start any action for the infringement on the Licensed Trademark ;provided that the Licensor may, at its own discretion and cost, prosecute or otherwise to stop or prevent such actual or threatened infringement2）、The interest rate applicable to each loan hereunder shall be the interest rate stipulated herein; provided that we have the right, in the manner as we deem appropriate, to adjust it from to time to the extent permitted by the applicable laws or regulations.小结：“PROVIDE THAT“作为但书使用的场合远远多于其作为”如果“讲时使用的场合。对于作为“如果”来讲，正式的词很多，有WHERE“，”IN THE EVENT THAT“等，而要表示“但是”，“BUT”在法律英语中一般不用，而是“HOWEVER和“PROVIDE THAT“，这导致作为但书讲时，“PROVIDE THAT“被大量使用。三、“NOTWITHSTANDING“ “NOTWITHSTANDING“, means “in spite of “: The chairman is determined to go ahead with this plan, notwithstanding widespread opposition among other members of the board of directors.法律英语中， “NOTWITHSTANDING“译成”尽管、即使“，后面跟名词短语作为其介词宾语。例5、(1)、Notwithstanding any law or practice to the contrary,- （2）、Notwithstanding Art. 99 of the Contract Law of PRC, the Borrower hereto shall not have the right to use any payment payable by it to the Lender hereto to offset the payment payable by the Lender hereto to it.小结：该词的典型用法就是放在法规之前，译为“即使/尽管有-的规定“。四、“SAVE“ “SAVE“means “except” or “except for”, 翻译成汉语就是“除-以外”，“除非-“其习惯用法与“except” or “except for”也相同。例6、（1）、Save as is provided in this section ,nothing in this agreement shall allow the disclosure by the legal adviser of any information, communication or document.（2）、Save as is provided in this contract, no claim within the jurisdiction of the arbitral tribunal shall be actionable in any court.小结：“SAVE“与“except” or “except for”意义相似，后面可以跟从句，也可跟介词短语、名词或名词短语，如：Save in accordance with the provisions of this implementing rules,-.(除依据该实施细则的规定外，-)。五、“IN REPECT OF“ “IN REPECT OF“ means “regarding , in relation to, with regard to, 在法律英语当中，一般翻译成”对于-，有关“例7、（1）、The Licensor shall conduct all legal proceedings in respect of any infringement or alleged infringement of the Licensed Trademarks and any claim brought or threatened to be brought in connection with the use or registration of the Licensed Trademarks.（2）、If the Licensee becomes aware that any other person alleged that any of the Licensed Trademarks infringes any rights of another party, the Licensee shall immediately give the Licensor in writing full particulars thereof and make no disclosure of information to any third party in respect thereof.（3）、就合同项下货物的存放（storage）、维护（maintenance）以及保管（safekeeping）等事宜将由合同双方另行签订合同。（4）双方都保证，对于在订立（entry into）、履行（performance）本合同过程中由其雇员（employees）或代理人（agents）获得的有关合同条款和对方商业秘密的信息保密(keep confidential)。六、“WHERE-“ 在法律英语语篇当中，由”where”表示“如果“，引导的条件从句非常普遍，正式程度远高于”if”，英译汉时，通常做“凡-”或“-的”讲，而汉译英时，表达“-的”，“如-”的意义时，可考虑使用这个词，也可以使用“in case that-, in the event that-“等表达方式。例7、（1）、Where the Borrower does not repay any loan under this Agreement, the Lender has the right charge the penalty interest from the Borrower at a rate of 150% of the stipulated annual Interest Rate.（2）、有下列情形之一的，本协议应解除：(a)、甲方或乙方提前30天书面通知解除的；(b)、丙方未完全履行协议约定的义务，经甲方或乙方合理催告后仍拒不履行的；(c)、任何一方未履行协议义务，使他方不能实现合同目的的。翻译作业：1、 The Licensee shall, at the request of the Licensor and at the Licensors expense, give full cooperation to the Licensor in any action or claim brought or threatened to be brought in respect of the Licensed Trademarks, including joining in as a party to any proceedings.2、Notwithstanding anything contained in this agreement , Party A shall pay the deposit on or before Oct. 3,2005. 3、 The company may continue, notwithstanding any agree
