3、ateof_,withitsprincipalofficelocatedat_,hereinafterreferredtoas“sponsor.”witnesseth:whereas,sponsorandfoundationhaveamutualinterestinpromotingresearchrelatedto_,hereinafterreferredtoasthe“field;”andwhereas,_ofthestateuniversityofnewyorkat_hasdevelopedexpertiserelatingtothefield;andwhereas,sponsorhas

4、approvedfundingtosupportaresearchprojectentitled“_,”hereinafterreferredtoasthe“project”whichwillbecarriedoutby_;now,thereforeinconsiderationofthepremisesandthemutualcovenantshereinaftercontained,thepartiesagreeasfollows:1.scopeofworkthefoundationagreestouseitsbesteffortstoconductandcarryouttheprojec

5、tdescribedinthescopeofwork,exhibita,whichisattachedtoandmadeanintegralpartofthisresearchagreement.2.reportsduringthetermofthisresearchagreement,pensationfixedpricea)inconsiderationofresearchservicestobeperformedpursuanttothisres

6、earchagreement,sponsorshallmakefixedpaymentsinthetotalamountoffeedollars.thisamountshallbepaidtofoundationuponsubmissionofinvoicesaccordingtothefollowingschedule:_onexecutionofthisresearchagreement_b)aninterestpenaltyof1.5%permonthwillbeaddedtothetotalinvoiceamountofpaymentifnotreceivedwithinforty-f

7、ive(45)daysoftheinvoicedate.costreimbursablea)infullandcompleteconsiderationoffoundationsperformanceunderthisagreement,thesponsorshallreimbursefoundationforallowablecostsincurredinaccordancewiththetermsofthisagreement,upto_dollars,whichshallbespentinaccordancewiththebudgetsetforthinexhibita,attached

8、hereto.reimbursementshallbemadetofoundationuponsubmissionofinvoicestosponsorasprovidedbelow.foundationwillsubmitmonthly;mptlyafterreceiptofeachinvoiceorvoucher,sponsorshall

9、makepaymentthereon.b)aninterestpenaltyof1.5%permonthwillbeaddedtothetotalinvoiceamountofpaymentifnotreceivedwithinforty-five(45)daysoftheinvoicedate.4.termthisagreementshallbeeffectiveon_andshallcontinuethrough_unlessterminatedsoonerorextendedashereinafterprovided.5.terminationeithersponsororfoundat

10、ionmayterminatethisresearchagreementatanytimebygivingthirty(30)heeventoftermination,sponsorshallreimbursefoundationforcontractualcommitmentsandfinancialobligationsincurredbyfoundationinperformanceofthisresearchagreementpriortosuchterminatio

11、n,ifsuchfinancialobligationsorcontractualcommitmentscannotbecanceledbythefoundation.itisunderstoodandagreed,however,intheeventthatfoundationhasevidencethatsponsorisindefaultuponanyofitsobligationshereunder,foundationshallbeentitledtoeithersuspendthecontractuntilanacceptableremedyisestablished,ortote

12、rminatetheagreement.suchterminationshallbeeffectiveimmediatelyuponreceiptofofficialwrittennotificationfromfoundation.foundationshallalsobeentitledtopursueanyrightsorremedieswhichfoundationmayhaveagainstsponsorbyreasonofsuchdefault,andfoundationmaywithholdanypaymentstosponsorforthepurposeofsetoffunti

13、lsuchtimeastheexactamountofdamagesmaybedetermined.6.changeinprojectdirectorifforanyreasonthefoundationprojectdirectorisunabletofulfilltheresponsibilitiesrequiredtocarryoutthisresearchagreement,thepartiesshallnegotiateingoodfaiththecontinuanceofthisresearchproject.however,ifanotherprincipalinvestigat

14、orsatisfactorytosponsorcannotbeagreedupon,heeventofterminationbysponsor,foundationshallbereimbursedforallcostsitincursinconnectionwiththisresearchagreementwhicharisefromcommitmentsmadebyfoundationpriortoreceiptofnoticeoftermination,providedthecommitmentsca

15、prietaryinformationitisunderstoodthatinthecourseofcarryingoutthisresearchagreement,sponsorandfoundationmaywishtoshareproprietaryinformation.thepartiesagreetousetheirbesteffortstopreventdisclosureofinformationwhichisclearlymarkedasproprietarytoanyoneotherthanthose

16、individualswhohaveaneedtoknowthisinformationforpurposesofcarryingouttheirobligationsinconnectionwiththisresearchagreement.8.publicationsthefoundationprojectdirectorand/orfoundationsprojectstaffshallhavetherighttopublishtheresultsofanyresearchconductedunderthisresearchagreement.9.inventionsandlicense

17、sa)foundationshallholdtitletoallinventions(includingknowhow)whicharediscoveredduringtheconductofworkunderthisresearchagreementutilizingfoundationorstateuniversityofnewyorkfacilities.saidinventionsarehereinafterreferredtoas“foundationinventions.”b)nolicenseorotherrightsinfoundationinventionsaregivent

18、oorreceivedbysponsorexceptasspecificallyprovidedforherein.c)foundationherebygrantstosponsora_dayoptiontoacquireanexclusivelicensetofoundationinventions.the_dayperiodoftheoptionshallcommenceonthedateofdisclosureoffoundationinventionstosponsorbyfoundation.shouldsponsorexerciseitsoptionunderthisparagra

19、ph,thepartiesshallnegotiateamutuallyacceptablelicenseagreement.d)sponsoragreestoreimbursefoundationforalldirectcostsofpatentingnewtechnologydevelopedunderthisresearchagreementifsponsoracquiresrightsinsaidtechnology.e)ifbothsponsorfacilitiesandfoundationand/orstateuniversityofnewyorkfacilitiesareused

20、incarryingoutworkwhichleadstoaninventionunderthisresearchagreement,thesponsorandfoundationshallholdjointtitletosaidinvention.sponsorshallbeentitledtoexercisetheoptionandlicensingrightssetforthabovewithrespecttofoundationsinterestinsaidjointinventions.f)inventionsmadeusingsponsorfacilitiesexclusively

21、shallbelongtosponsor.10.assignmenta)neitherpartymayassignorotherwisetransferthisresearchagreementandtherightsacquiredhereunderwithoutthewrittenconsentoftheotherparty;thisconsentshallnotbeunreasonablywithheld.however,sponsormayassignortransferitsinterestinthisresearchagreementaslongassuchassignmentor

22、transferisaccompaniedbyasaleorothertransferofsponsorsentirebusinessorotherbusinesstowhichthisresearchagreementrelates.apartydesiringtoassignortransferthisresearchagreementshallgivetheotherpartythirty(30)dayspriornoticeofsuchassignmentortransfer.ifnoreasonableobjectionsareraised,thentheassignmentortr

23、ansfershallbedeemedtohavebeenapproved.however,anassignmentortransfershallnotbedeemedtobeapprovedunlessthepartytowhichthisagreementisassignedagreesinwritingtobeboundbythetermsandconditionsofthisresearchagreement.b)thisagreementshallaccruetothebenefitofandbebindinguponthesuccessors,assigns,heirs,andpe

24、rsonalrepresentativesofthepartieshereto.11.noticeallnotices,demands,andothercommunicationshereunder,exceptexchangesoftechnicalinformation,shallbedeliveredpersonallytothepartytowhichitisaddressed,ormailedtosuchpartybyregisteredorcertifiedmail,returnreceiptrequested,withpostagethereonfullyprepaid.said

26、ynotices,demands,andothercommunicationssomailedshallbedeemedtohavebeenreceivedbytheaddresseeseven(7)erninglawthisresearchagreemen

27、tshallbeconstrued,governed,interpreted,andappliedinaccordancewiththelawsofthestateofnewyork,u.s.a.,exceptthatquestionsaffectingtheconstructionandeffectofanypatentshallbedeterminedbythelawofthecountryinwhichthepatentwasgranted.14.modificationsthisagreementmaybechanged,amended,modifiedorextendedonlyby

28、awritingdulyexecutedbytherespectivepartieshereto.15.severabilitytheprovisionsofthisresearchagreementareseparable,andintheeventanyprovisionsofthisresearchagreementaredeterminedtobeinvalidorunenforceableunderanycontrollingbodyoflaw,suchinvalidityorunenforceabilityshallnotinanywayaffectthevalidityorenforceabilityoftheremainingprovisionshereof.16.indemnificationsponsorherebyagreestoindemnifyfoundationforanyclaimsoractionsthatarebroughtagainstfoundationbythirdpartiesbecauseofsponsorsuseormisuseofthereportsortechnologywhichareprovided
