4、量标准及包装： 原装包装，未经使用过的、全新的，合法销售渠道供应，产品质量符合出口国相关质量标准并检验合格。Quality standard & packaging:original packaging and legal supply of sales chann els. The product quality con forms to the releva nt quality sta ndards of the exporter andhas passed the in spect ion.关于商品效期：若商品效期在36个月及以上的，则实际供应商品的可用效期不低于30个月；若商品效期在

5、30个月，则实际供应商品的可用效期不低于 24个月；若商品效期在24个月，则实际供应商品的可用效期不低于18个月；若商品效期在18个月及以内的，则实际供应商品的可用效期不低于 15个月。特殊商品双方协商约定商品效期说明。Available period of commodities: if the available period of commodities lasts for 36 mon thsand over it, the n the available period of the actual supplied goods shall be not less tha n30 mon

7、ot less tha n 18 mon ths; and if the available period of commodities lasts for 18 mon ths and is with in it, the n the available period of the actual suppliedgoods shall be not less tha n 15 mon ths. For special commodities, both parties shall reach an agreeme nt on the in struct ions for the availa

8、ble period of commodities.甲方承诺所供应的商品是正规渠道合法合规的商品，甲方需对商品来源链路负责，需要有供应渠道的合法 授权，并最终对商品的合规合法负责。如果一旦出现被证明提供的是假冒伪劣商品，甲方需要承担由此产 生的一切后果，乙方保留对其追责的权利。甲方须保证本采购合同对应的产品合乎生产国对应的法律法规 要求的各项质量技术标准。Party A shall promise that the goods supplied by it have reregulated, lawful and complia ntcha nn els. Once it is revealed and proved that the supplied commodities bel ong to fake and in ferior commodities, Party A shall bear all th

10、e ensuing con seque nces and Party B shall reserve the right to in vestigate the acco un tability of Party A.Party A shall promise that all the products related to this con tract shall meet all kinds of quality and tech nical sta ndards required by the laws and regulati ons of the produc ing coun tr

11、y.三、商品交付商品交付方式为：此商品订单按照 进行交易，甲方需做好订单商品的海外出口相关工作，并协助乙方做好订单商品国内报关、报检及入库上架等事宜及其他必要协助。Goods delivery way: In this order, the commodity price is price. Party A has the obligation to assist Party B to deal with all export affairs of commodities in this order.甲方需在乙方定金到账后的个工作日内做好订单商品的发货工作，到目的地 交货日期不晚于*年*月*日

12、。甲方必须确保采购商品报关单证(发票、装箱单、提单)与实际装运商品明细的一致 性，否则货物到港后造成乙方无法办理报关入库等工作由甲方负责；甲方所交付的货物包装及运输包装 物必须符合行业习惯和中国法律规定，否则造成无法交付由甲方负责；在合同约定期限内甲方未能及时交 货的，甲方需要承担违约责任。Party A shall do the shipme nt work of all commodities in the order very well with in *daysafter sig ning the con tract. If Party A has breached the con t

13、ract and can t timely deliver the goods withi n the stipulated time limit in the con tract, Party A shall bear the risk of g oods loss, damage and destructi on; and after the goods delivery or if Party A refuses to de liver goods or delays goods delivery due to the default of Party B, then the risk

14、of goods loss, damage and destructi on shall be borne by Party B. Party A shall en sure that the infor mati on contained in customs cleara nee docume nts (in voice, pack ing list and bill of ladi ng) shall be ide ntical with the actual shipme nt products, or else Party A shall be resp on sible for t

15、he results en sued, like Party B failed to clear the customs; The products packagi ng an d shipme nt pack ing shall meet the trade practice and Chin ese laws and regulati ons, or elseParty A shall be resp on sible for the results en sued; If Party A could not deliver the produ cts with in the agreed

Party A shall provide the effective logistics expenses li sts as certificates of settleme nt.五、违约责任5. Liability for Breach of Contract1本合同签订后，自“第四条”定金

21、支付后，如果甲方没有按照合同规定的日期供货，除本合同第六条所规定的不可抗力之外，如确因特殊原因导致部分或全部订单商品未能按期交付的，甲方需提前7天以书面形式通知乙方，并经乙方确认同意后以补充协议另订责任和交付约定等说明。如甲方未按上述规定执行 甲方应按每天*的应付款项支付违约金给乙方。未能按期交付的订单商品，甲方有义务通过调拨等方式 提供相应商品以满足乙方因延期交付产生的零售订单需求。1. 22、upply in accorda nee with the give n date in the con tract, because of other special causes that lead the late delivery of partial or all orders except the force majeure stipulated in Article 6 of the con tract, Party A shall inform Party B in writing 7 days in advanee, and it needs the confirmation

23、 of Party B agreement to supplement the agreement,make clear the resp on sibility and arran geme nt for delivery, etc. If Party A fails to perform in accorda nee with the provisi ons men ti oned above, it should pay the breach pen alty to Party B accord ing to * payables per day. The goods that Part

24、y A failed to deliver on schedule, Party A shall provide for Part B by allocating methods such as suppl ying corresp onding goods to meet the dema nd of Party B retail orders caused by the delays.如果甲方违约不按期交货超过7(包含)天或者乙方违约终止采购，都应当承担本订单总价款*的违约金。If Party A delays delivery over 7 (containing) days or Pa

27、compe nsate for all the losses for the other party (in clud ing direct loss, loss of expectati on ben efit and cost of advocat ing rights, etc.).3、甲方对交付商品需严格遵守本合同第二条的质量约定，如果交付商品保质期与约定不符乙方可要求退货退款，由此造成的相关费用需要甲方承担；如由于交付的商品质量不符或者证明假冒伪劣产品而造成对 乙方的任何损失，甲方需承担全部责任。3. Party A must strictly abide by the con tr

If the expirati on date of the delivery of goods does not accord with the con tract, Party B may request retur ns and refun ds, and the result ing related expe nses shall be borne by Party A; If any loss of Party B caus

Revocati on & Termin ati on of Con tract双方协商一致的，可以终止合同的履行。一方根本性违约的，另一方有权解除合同，但应当及时书面通知到对方。If both sides reach a unanim ous agreeme nt through con sultati on, they can term i

31、n ate the impleme ntatio n of the con tract. If one party has breached the con tract fun dame ntally, the otherparty is en titled to termi nate the con tract but shall timely no tify the other party in written form.2、不可抗力2. Force Majeure 因火灾、战争、罢工、自然灾害等不可抗力因素而致本合同不能履行的，双方终止合同的履行，各自的损 失各自承担。不可抗力因素消失后

32、，双方需要继续履行合同的，由双方另行协商。If the con tract is un able to be carried out owing to fires, wars, strikes, n atural disasters and other force majeure factors, both parties can term in ate the performa nee of the contract and each of them shall bear their losses respectively. After all force majeure factors v

33、ani sh, if both parties n eed to continue to perform the con tract, they shall separately discuss over it.因不可抗力终止合同履行的一方，应当于事件发生后15日内向对方提供有权部门出具的发生不可抗力事件的证明文件并及时通知对方。未履行通知义务而致损失扩大的，过错方应当承担赔偿责任。If any party term in ates the performa nee of con tract due to force majeure, it shall providethe other par

If any party fails to fulfill its obligati ons so as tocause further losses, the blam

35、able party shall be liable for the compe nsati on.3、其他约定事项3.Other Stipulated Matters双方联系人或授权代表在履行合同过程中对对方所作的任何承诺、通知等，若以书面盖章确认的，都 对对方具有约束力，具有不可撤销性。In the process of perform ing the con tract, if all commitme nts and no tificati ons made by the con tact pers ons for two sides or authorized represe nta

36、tives are con firmed through writte n and affixed seal form, they are all binding to each other and have irrevocabili ty.签订或履行合同过程中，非经对方书面同意和盖章确认的，一方对另一方任何人员的个人借款，均不 构成一方对另一方的预付款或已付款款项。In the process of sig ning or impleme nting the con tract, uni ess one party gains the writ ten consent and approva

37、l in the form of affixed seal, the pers onal debt of one party to any pers onnel of the other party does not con stitute the prepayme nt or prepaid items o f one party to the other party.双方联系地址、电话等信息发生变化的，应当及时通知到对方，因信息变更等原因导致一方损失的， 由过失方承担相应的责任。If there is any cha nge in in formati on such as the add

38、ress and phone nu mber of both part ies, one party shall timely inform the other party .In the case that cha nge of in format ion causes losses to one party, the faulty party shall bear the corresp onding resp on sib ility.本合同未约定的事项，由双方另行签订补充协议，补充协议与本合同书具有同等法律效力。As for the matters that are not men t

39、io ned or agreed in the con tract, both parties shallen ter into suppleme ntary agreeme nts. The suppleme ntary agreeme nts have the same legal effect as this con tract.甲方应当在签订合同时向乙方提供其合法经营的证明文件，并加盖有法律效应的企业公章或法人签署 确认，作为本合同的附件。签订本合同时，双方确认的合同附件为本合同不可分割的组成部分，与本合同具有同等法律效力。At the time of sig ning this co

40、n tract, the con tract annex con firmed by the two parties s hall act as the in separable part of the con tract and it is equally valid with the contr act.4、争议解决4. Dispute Settleme nt本合同履行过程中产生争议的，双方可协商解决。协商不成的，应向乙方所在地人民法院提起诉讼解决。Both parties can n egotiate on disputes that occur in the performa nee of this con tract. If no settlement is reached, they shall lodge a complaint to the local people
