2、agreement.2.assignment2.1theagentherebyagreestograntthesoledistributorshipofthecommoditiestothedistributorintheterritoriesforaperiodstipulatedinsection4.2.2thedistributorhastheexclusiverighttosellthecommoditieswithintheterritories.3.termsandconditions3.1thedistributorshallexclusivelydistributezxmcom

3、adecommodities.itcannotsellotherchinamadebrandsofmotorcycles,mopeds,scooters,atv,andtricycleswithoutanyapprovalfromtheagent.3.23.3theagentandthemanufacturershallnotsell,deliver,ordistributethecommoditiestootherentitiesorpersonalitiesinthemorocco.thedistributorshalldohisbestefforttodistributethecommo

4、dities.3.4thedistributorshallfromtimetotimeendeavorenoughmarketingandadvertisementtopromotethecommoditiesintheterritories.3.5thedistributorshallbuildupthedealernetworkandestablishorappointservicecenterindifferentareastoprovidewarrantyserviceforthecommoditiessoldtocustomersinordertoguaranteethecustom

5、ersatisfactionoftheaftersalesservices.dealernetworksshallbebuiltupasfollows:city20042005total:3.6theagentandmanufacturershallsupplyattheirowndiscretion2%sparepartsofthecommoditiestothedistributorforwarrantyservices.thedistributorshallkeepadequatenon-warrantyservicesrelatedsparepartstoensurecustomers

6、satisfactionontheaftersalesservice.3.7thedistributorshallwarrantthecommoditiesundernormalwearandtear,10,000km.or1yearfromthedateofsalestocustomer,whichevercomesfirst.shouldamajormanufacturingqualityproblemoccur,distributorshallinformtheagentimmediatelyforremedyactionwhichwillbeattheexpensesofmanufac

7、turerandagent.3.83.9themanufacturerandagentshallsupplypartswhenthedistributorplacestheorder.themanufacturerandagentshalltrainthesalesmenandtechnicalpersonsattheexpenses,andprovidethetechnicalsupportforthefuturedevelopment.3.10thedistributorshallreporttotheagenttheinventorystatusofmotorcycleandsparep

8、artseverymonthorattherequestoftheagentandmanufacturerforthecommoditiesandparts.3.11thedistributorshallupdatetheagentanyinformationoncompetitors,policies,laws,regulations,taxes,dutiesandothermattersthatwillaffectthedistributionandsalesofthecommodities.3.12theagentandmanufacturershallindemnifythedistr

9、ibutorwithrespecttocustomersclaimsonwarrantyofpartsandcommodities.3.13theagentandmanufacturerdisclaimallotherwarrantiesincluding,withoutlimitation,theimpliedwarrantyofmerchantability.3.14theagentandthemanufacturershallnotbeliableatanytimeforanyconsequential,incidental,directorindirectdamagestakenpla

10、ceintheterritories.4.validityandrenewalofagreement4.1thisagreementherebydrawnbetweentheagentandthedistributorwillbevalidforaperiodoruntilsuchtimebothpartiesagreetoterminatesuchagreement.thisagreementisvalidfromthedateofthisagreementtilldecember2005andrenewableannuallysubjecttotheconditionthatdistrib

13、istributor,andthelatterbegiventheopportunitytoexplainandrectifyit.5.3agentanddistributorexpresslyagreethatanycontroversyorclaimarisingoutof,inconnectionwith,orrelatingtothiscontractortheinterpretation,performanceorbreachthereof,shallbesubmittedforarbitrationinchinaapplyingchinalaw.forthispurpose,thepartiesrecognizethatthisagreementisdeemedtohavebeenmadeinchina.5.4theagreementwillautomatical
