Party A and Party B en trusted to un dertake desig n, and reached the follow ing agreeme nt:1. Commitme ntParty A en trusted Party BD

2、raft desig n periodwork ing days2. Desig n FeeTotal desig n fee: RMB3. Payme nt:a. Party A should pay 60% of total designing fee once signing thecon tract, i.e RMB.b. After con firm ing the desig ning schedule and style, and whe n inn eed of adjusti ng on electric desig ns, Party A should pay 30% of

After fixing the complete designing schedule, Party A should pay the bala nee of the desig n fee, i.e RMB, Party B should hand over the prin ti ng CD after recei ving the bala nee of payme nt.4. Period and means of delivery of the desig n pla n.a. Party B must complete th

4、e draft of design within the time agreedby the two parties. If party B can not complete on time due to reduplicative cha nges from Party A, the delivery time can be put off. To en sure the smooth cooperati on, Party A must confirm or make suggesti on withi n three work ing days after receipt ofthede

5、sig n from Party B, Party B should not exceed five work ing days to feedback the suggesti on.b. Party A should supply the n ecessary desig ning in formatio n with in20 worki ng days after sig ning of the con tract. As Party A (not supply complete in formatio n and so on) make the desig n delayed, if

6、 delayed time more tha n three mon ths (subject to the date of con tract), Party A should pay the bala nee desig n fee, Party B will carry on maki ng the desig n. If more tha n six mon ths, this con tract will automatically be term in ated. Party B will supply the origi nal CD. If Party A still need

7、 Party B to make the design, Party A should pay an ther palette and desig n fee.c. After the final confirmation of the design, Party B should supplythe colored prints and electro nic docume nts.d. Party A should bear the actual cost if needs the printing sample.5. In tellectual Property.a. Before Pa

8、rty A pay off all the design fee, Party B own the copyright,Party A can not use this design, and have no any right of this works.b. Party A have the right to sig n the Copyright Tran sfer Con tract, tohave the proprietary rights, rights of use and alterationsafterpay ing off the payme nt. Copyright

9、of desig n not used by Party A still bel ongs to Party B, Party A do not have any right for this.c. After the final confirmation by Party A, if as the changes of PartyAcompa ny n ame or commodity n ame to cha nge the desig n pla n or have all different idea with the original plan, it should be as ne

10、w plan, and Party A should pay the balanee fee, and sign new con tract, Party B will make new desig n pla n.d. After paying off, Party B can not alter the design and give anyother compa ny.6. Resp on sibility and authoritya. Responsibility of Party A(1) Party A should try their best to supply the in

11、formation for this desig n.(2) Once finding the mistake, oversight or disagreement with thecon tract, Party A should inform Party B in writi ng timely, andParty B should make ame ndme nt in time.(3) Party A should abide by the payme nt terms in the con tract.(4) Party A should make the confirmation

12、for all the documentsand thi ngs that n eed con firmed timely.(5) Party A have the right to give a suggestion for Party Bdesignand make the works accords with the en terprise culture.b. Responsibility of Party B(1) Party B must make the plan and creative design according tothe requireme nt in the co

13、n tract made by Party A, and makefull use of specialized knowledge and experienee, to supply first desig n and service to Party A.(2) Party B should supply all the design documents, making sizesand desig ns of every period accord ing to the all requireme ntof the con tract and appe ndix, and complet

14、e the desig n.(3) Party B should make the design according to the things thatcon firmed by Party A critically.(4) Party B should make the design creation as the requirement ofParty A and supply the satisfied works.7. Breach of Dutya. Party A to term in ate the con tract before draft desig n completed,Party B will not return the deposit. Party A to terminatethe con tract after the final desig n, they should pay all the fees.b. Party B to termi nate the con tract without cause, to return all the fees to Party A.8.
