8、双方协商达成一致。Parr- A will sigil Purchasing Agtccmcnr directly with pnxluccrs or ics agents, and rhe payment term of goods will be negotiated and agreed by Party A aild the Seller.6. 偲金的计算、给付方式、给付时间：Commission calculation, payment methods, payment time 甲方同意按照采购产品总金额的(1-5) %*付佣金给乙方，支付日期为付款给卖方的同一天， 佣金汇入乙方指

12、ment reduced to writing and signed by both Parries 9. 不可抗力：Force Majeure由于水灾、火灾、地烹、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导 致不能或暂时不能全部或部分履行本协谋，该方不员贵任。但是，受不可抗力事件影响的一方须 尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件 的证明寄交对方。Eithcr parn* shall not be held responsible for failure or delay to perform all or any pare of

Should no serdement be reached chroui negoriauon, the case shall then be submi teed for arbicrarion to the China Intcriiarional Economic and Trade Arbicrarion Commission (Beijing) and the rules of this Commission shall be appl

16、ied. The award of chc arbitration shall be final and binding upon both parties.
