9、rra ngeme nt四、劳动报酬Article4 Working Remuneration(一)甲方依法制定工资分配制度,并告知乙方。甲方支付给乙方的工资不得低于市政府公布的当年度最低工资。Party A is en title to adjust salary of Party B. 12、 time.五、社会保险和福利待遇Article 5 Social Insurance and Welfare(一)甲乙双方按照国家和省、市有关规定,参加社会保险,缴纳社会保险费。Party a and Party B must p artie ip ate in social in sura nee and pay social in sura nee p remiums on a mon thly basis in aeeorda nee with the n ati onal and provin cial law.(二)乙方患病或非因工负伤,甲方应按国家和省、市的有关规定给予乙方享受医

13、疗期和医疗期待遇。Where P arty B has con traeted an ill ness or susta ined a non-work-related injury, Party A should give PartyB medical treatme nt and medical leave accorda nee with Nati onal or provin cial regulati on.(三)乙方患职业病、因工负伤的,甲方按中华人民共和国职业病防治法、工伤保险条例等有关法律法规的规定执行。Where Party B has con tracted an occ

14、up ati onal diseases or in dustrial injury, p arty A have to impi eme nt related p rovisi ons accord ing to the occ up ati on disease preven ti on law, in dustrial injury in sura nee regulatio ns and other releva nt laws and regulati ons.(四)甲方为乙方提供以下福利待遇party A p rovides the follow ing ben efits for

15、 party B六、劳动保护、劳动条件和职业危害防护Article 6 Labor P rotection, Working Conditions and P rotections against Occup ational Hazards(一)甲方按照国家和省、市有关劳动保护规定,提供符合国家安全卫生标准的劳动作业场所和必要的劳动防护用品,切实保护乙方在生产工作中的安全和健康。P arty A shall give Party B education and training p rograms relating to labor safety, p rofessional skills a

16、nd labor disc ip lines etc. According to the requirements of state labor p rotection and safe-production, Party A shall provide necessary working condition to ensure Party B s safety andhealth.(二)甲方按照国家和省、市有关规定,做好女员工和未成年工的特殊劳动保护工作。Party A must con scie ntiously carry out releva nt p rovisi ons formu

17、lated by the state for the p rotect ion of female and un der-aged empio yees.(三)乙方从事.作业,可能产生职业危害,甲方应采取防护措施,且按照国务院卫生行政部门的规定组织上岗前、在岗期间和离岗时的职业健康检查,并将检查结果如实告知乙方。职业健康检查费用由用人单位承担。The Empioyee is engaged in the , possible occupation hazard, Empioyer should take protective measures, and in accorda nee with

Occ up ati on health inspection fees shall be borne by the empio yer.(四)乙方有权拒绝甲方的违章指挥和

19、强令冒险作业;对甲方危害生命安全和身体健康的行为,乙方有权要求改正或向有关部门举报。The Empio yee must strictly abide by rules of safe op erati ons duri ng work ing pro cess, and has theright to refuse p ecca nt comma nd and the right to dema nd correct ion or report to the releva nt dep artme nts.七、规章制度Article 7 Regulation and Rules(一)甲方依法

20、制定的规章制度,应当告知乙方。Party A draw the regulati on and rules up accorda nee to law and shall inform Party B.(二)乙方应遵守国家和省、 市有关法律法规和甲方依法制定的规章制度,按时完成工作任务,提高职业技能,遵守安全操作规程和职业道德。Party B shall obey the related Law and the Regulatio n which is draw up by P arty A; to compi ete task on time, comply with the safety

21、rules and occ up ati on moral.(三)乙方自觉遵守国家和省、市计划生育的有关规定。P arty B shall comply with the Family Planning regulati on accorda nee to the Law.八、劳动合同变更Article 8 Alternation of Contract甲乙双方经协商一致,可以变更劳动合同。变更劳动合同应采用书面形式。变更后的劳动合同文本双方各执一份。Both of Party A and Party B reach a consen sus on alterati on of con tra

Both p arties shall kee p a copy of revised con tract.九、劳动合同解除和终止Article 9 Dissolution and Termination of Contract(一)甲乙双方协商一致,可以解除劳动合同。Where P arty A and Party B reach a consen sus, the con tract can be term in ated.(二)乙方提前三十日以书面形式通知甲方,可以解除劳动合同;乙方试用期内提前三日通知甲方,可以解

23、除劳动合同。To term in ate the con tract, Party B shall inform P arty A in writte n no tice in a thirty days adva nee. Party B in three days adva nee no tice to P arty A in p robati on p eriod.(三)甲方有下列情形之一的,乙方可以通知甲方解除劳动同:In any of the follow ing circumsta nces, Party B may no tify Party A to term in ate t

24、his con tract1、未按照劳动合同约定提供劳动保护或者劳动条件的;Failure on the part of P arty A to p rovide worki ng con diti ons as agreed upon this con tract.2、未及时足额支付劳动报酬的;Failure on the part of P arty A to pay labour remun erati on.3、未依法为乙方缴纳社会保险费,经乙方要求甲方缴纳,超过一个月仍未缴纳的;Party B shall pay social in sura nee prem iums fall s

25、hort of legal p rovisi ons, Party B request Party A to pay, not pay more tha n a mon th;4、规章制度违反法律、法规的规定,损害乙方权益的;Bylaw violates the legal p rovisi ons & regulati ons, damage to P arty Bs rights and in terests;5、以欺诈、胁迫的手段或者乘人之危,使乙方在违背真实意思的情况下订立或者变更本劳动合同,致使劳动合同无效的;or change theBy means of fraud and in

26、 timidati on or po siti on of vuln erability, so that Party B con clude labor con tract in violati on of the true meaning of the case, the labor con tract is in valid;6、免除自己的法定责任、排除乙方权利,致使劳动合同无效的;Esca ping their own legal respon sibilities and elim in ati ng P arty B s rights lead to the labor con t

27、ract in valid;7、违反法律、行政法规强制性规定,致使劳动合同无效的;In violati on of laws, adm ini strative regulati ons of the man datory p rovisi on s,the labor con tract isin valid ;8法律、行政法规规定乙方可以解除劳动合同的其他情形。Legal and admi nistrative regulati ons. Party B may termi nate the labor con tract situati on.(四)甲方以暴力、威胁或者非法限制人身自由的

28、手段强迫乙方劳动的,或者甲方违章指挥、强令冒险作业危及乙方人身安全的,乙方可以立即解除劳动合同,不需事先告知甲方。Party A forces P arty B to work by viole nee, threat or illegal limitati ons of Party B freedom or P artyParty BA forces Party B to work by mea ns of force, threat or illegal restrict ion of personal freedom.may no tify Party A of term in at i

29、ng the con tract at any time.(五)乙方有下列情形之一的,甲方可以解除劳动合同:The Company may dismiss the Empio yee at any time without further no tice if the Empio yee:1、在试用期间被证明不符合录用条件的;Is P rove n to be incomp ete nt for the employing requireme nt duri ng his/her p eriod of p robati on;2、严重违反甲方的规章制度的;Seriously breach la

30、bor disci pli nes or regulati ons as st ipu lated by the Company3、严重失职,营私舞弊,给甲方造成重大损害的;Seriously n eglects his duty and en gages in malp ractices for selfish en ds, thus caus ing sig ni fica nt harm to the in terests of the Company.4、同时与其他用人单位建立劳动关系,对完成本单位的工作任务造成严重影响,或者经甲方提出,拒不改正的;Party B holds ano

31、ther job without the p ermit of Party A, which seriously affects thecompi eti onofParty Awork task, or Party B refuses to correct the error after P arty A warning;5、以欺诈、胁迫的手段或者乘人之危,使甲方在违背真实意思or的情况下订立或者变更本劳动合同,致使劳动合同无效的;By means of fraud and in timidatio n or po siti on of vuln erability, so that Par

32、ty A con eludecha nge the labor con tract in violati on of the true meaning of the case, the labor con tract is in valid;6、被依法追究刑事责任的。Is found guilty accord ing to the laws of P RC.(六)有下列情形之一的,甲方提前三十日以书面形式通知乙方或者额外支付乙方一个月工资后,可以解除劳动合同,劳动合同法第四十二条规定的情形除外:In any of the followi ng circumsta nces, Party A

33、may termi nate this Con tract upon p rior writte n no tice ofthirty (30) days to Party B or one month salary in lieu of the no tice,ex pect forty-sec ondLabor Law ofthe PeopIes Republic of China :1、乙方患病或者非因工负伤,在规定的医疗期满后不能从事原工作,也不能从事由甲方另行安排的工作的;Party B, due to sick ness or injury in flicted off the j

34、ob, can not resume his or her work or do the other job reassig ned by P arty A after sp ecified p eriod of medical treatme nt;2、乙方不能胜任工作,经过培训或者调整工作岗位,仍不能胜任工作的;Party B is unq ualified, eve n after a trai ning or job adjustme nt.3、劳动合同订立时所依据的客观情况发生重大变化,致使劳动合同无法履行,经甲乙双方协商,未能就变更劳动合同内容达成协议的。The objective

35、 con diti ons on which the con tract is based have materially cha nged to the exte nt that it is impo ssible to p erform the con tract while both p arties cannot reach an agreeme nt to ame nd the con tract to reflect the cha nged con diti ons.(七)有下列情形之一,甲方需要裁减人员二十人以上或者裁减不足二十人但占甲方职工总数百分之十以上的,甲方应提前三十日

36、向工会或者全体职工说明情况,在听取工会或者职工的意见,并将裁减劳人员方案向人力资源保障(劳动)部门报告后,可以裁减人员,动合同法第四十二条规定的情形除外:One of the following circumstances,Party A would require reductions in staff of 20 peopleor more reduction of less than 20 but accounts for more than 10 per cent of the total number ofParty workers, Party A shall be thirty

38、aw of the Peoples Republic of China:1、依照企业破产法规定进行重整的;Party A is declared bankruptcy legally;2、生产经营发生严重困难的In case Party A is face bad bus in ess situati on;3、企业转产、重大技术革新或者经营方式调整,经变更劳动合同后,仍需裁减人员的;Enterp rise tran sformatio n,Major tech no logical inno vati on or Op erati on mode adjustme nt.After ame

39、ndme nt of employment con tracts , still n eeds to reduce its workforce;4、其他因劳动合同订立时所依据的客观经济情况发生重大变化,致使劳动合同无法履行的。The basis for the con clusi on of the con tract has greatly cha nged so that the con tract can no Ion ger be carried out,while both p arties cannot reach an agreeme nt on modify ing the c

40、on tract by mutual n egotiati on.(八)有下列情形之一的,劳动合同终止:The con tract will term in ate in case any of the follow ing occurs:1、劳动合同期满的;The labor con tract expires;2、乙方达到法定退休年龄的;Party B shall reach the statutory retireme nt age;3、乙方死亡,或者被人民法院宣告死亡或者宣告失踪的;Party B is dead, pronounced dead or pronoun ced miss

41、 ing by the peop les court;4、甲方被依法宣告破产的;Party A is declared bankruptcy legally;5、甲方被吊销营业执照、责令关闭、撤销或者甲方决定提前解散的;Party A bus in ess lice nse is revoked; P arty A is comp elled to close dow n or dissolve; or Party A decides to dissolve in adva nee6、法律、行政法规规定的其他情形。Other situati ons st ipu lated in laws a

42、nd adm ini strative p rovisi ons十、经济补偿(一)符合下列情形之一的,甲方应当向乙方支付经济补偿Article 10:Ec ono mic compen sati onParty A shall pay econo mic compen sati on to P arty B in follow case;1、甲方依据本劳动合同第九条第(一)项规定向乙方提出解除劳动合同并与乙方协商一致解除劳动合同的;P arty A to Party B in accorda nee with the labor con tract i n Article 9 ( a ) th

43、e p rovisi ons of prop osed dissoluti on of the labor con tract , and in con sultati on with the P arty B agreed to termi nate the labor con tract;2、乙方依据本劳动合同第九条第(三)项、第(四)项规定解除劳动合同的;Party B in accorda nee with the labor con tract in Article 9 (3) or p aragra ph (4) p rovides labor con tract is termi

44、 nated ;3、甲方依据本劳动合同第九条第(六)项、第(七)项规定解除劳动合同的;Party A accord ing to the labor con tract of article 9 ( 6 ) , the p rovisi ons of p aragra ph ( 7) of the labor con tract is term in ated ;4、除甲方维持或者提高劳动合同约定条件续订劳动合同,乙方不同意续订的情形外,依据本合同第九条第(八)项第1目规定终止固定期限劳动合同的;In additi on to p arty a to maintain or imp rove

46、rticle ninth ( eight ) of fourth, fifth eyes required to term in ate the labor con tract;6、法律、行政法规规定的其他情形。Other situati ons st ipu lated in laws and adm ini strative p rovisi ons.(二)甲乙双方解除或终止本劳动合同的,经济补偿的发放标准应按劳动合同法以及国家和省、市有关规定执行。甲方依法应向乙方支付经济补偿的,应在乙方办结工作交接时支付。Both p arties resc ind or termi nate the
