Party A agrees not to en ter in to a con tractual relati on ship with any third party en tity in order to sell the product in the AnnexIIto the territory, Party B agrees not to sell similar of other man

5、an pieces during the validity of thisagreeme nt.4. 代理区域：Territory:仅限于韩国、新西兰、澳大利亚In Korea, New Zeala nd, Australia n5.价格和付款：Price and Payme nt terms:5.1价格：甲方同意给予乙方相关系列产品最优惠的人民币价格（或每种产品的详细价格表，见附件三）Prices: Party A agrees to provide Party B the most favorable price for the produced produces.（Annex 皿）5.2

8、ng to actual producing situation but it shall within days maximum.9.商情报告Market Report为使甲方充分了解现行市场情况，乙方承担至少每季度一次或在 必要时随时向甲方提供市场报告，内容包括与本协议代理商品的进口 与销售有关的地方规章的变动、当地市场发展趋势以及买方对甲方按 协议供应的货物的品质、包装、价格等方面的意见。乙方还承担向甲 方提供其他供应商类似商品的报价和广告资料。In order to keep Party A well in formed of the prevaili ng market con di

9、ti ons, Party B should un dertake to supply Party A, at least once a quarter or at any time when necessary, with market reportsconcerning changes of the local regulations inconnectionwith the import and sales of the commoditycovered by this agreement, local market tendency and the buyer's comme

10、nts on quality, packi ng, price, etc. of the goods supplied by Party A un der thisagreeme nt. Party B shall alsosupply party A with quotationsand advertising materials onsimilar products of other suppliers.10.广告及费用Advertis ing and Expe nses根据乙方的销售活动和市场运作活动计划甲方有义务向乙方提 供广告支持，包括提供样本，宣传册，电子版样本和大型的广告图画 等

12、territorywithin the validity of this agreeme nt, and shall submit to PartyA all audio and video materials intended for advertising for prior approval.11. 技术支持和培训条款：Tech no logy support and training terms:11.1技术资料支持：甲方应向乙方提供较为详细和精准的图册和电 子版。Tech ni cal Support: party A provides party B a more detail a

13、nd accurate books and electro nic comp onen ts.11.2技术培训：甲方有对乙方售后技术人员来国内进行维修技术培 训的义务。Tech nical trai ning: party A has the obligati ons to train partyB' s after-sale tech ni cal pers onn el.12. 工业产权In dustrial Property Rights12.1在本协议有效期内，为销售有关产品，乙方可以使用甲方拥有 的商标，并承认使用于或包含于产品中的任何专利商标、版权或其他工业产权为甲方独家拥

14、有。一旦发现侵权，乙方应立即通知甲方并协助甲方采取措施保护甲方权益。Party B may use the trade-marks owned by Party A for the saleof the productcovered here in withi n the validity of thisagreeme nt, and shall ack no wledge that all pate nts, trademarks, copy rights or any other in dustrial property rights used or embodied in the pro

15、duct shall rema in to be the sole properties of Party A. Should any infrin geme nt be found, PartyB shall promptlynotify and assist Party A to take steps toprotect the latter's rights.12.2乙方不得申请注册附件一所列商标或者申请与其商标相同或相 似的商标。未经甲方专门允许的情况下，乙方在任何时候都不得表述 其拥有商标的权利和商标所有权。乙方必须同意不作出任何损害商标 权利或所有权的行为或事件。Party

16、 B shall not apply for the registration of the trademarks inAnnex I or cause to be done so in whole or in part or other trademarks similar thereto with respect to the products or any other products in territory. Party B shall not represent at any time that it has any right or title in and to the Tra

17、demarks except as otherwise specifically provided for here in and shall agree not to do or cause to be done any act or thing which may in any way impair the right or title of the Trademarks.13.协议有效期Validity of Agreeme nt13.1协议生效:此协议自有关当事人签署之日起生效。Effectivity of sole age nt agreeme nt: the sole age nt

20、方被发现违背协议条款，甲方有权终止协 议。During the validity of this agreement, if party B is found to have violated the stipulati ons here in, party A has the right to termi nate this agreeme nt.14.不可抗力Force Majeure由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协 议，该方不负责任。但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事

21、件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。Either party shall not be responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other eve nts which could not be predicted, con trolled, avoided or overcome by the relative party. However, the pa

22、rty affected by the eve nt of Force Majeure shall in form the other party of its occurre nee in writing as soon as possible and thereafter send a certificate of the eve nt issued by the releva nt authorities to the other party within 15 days after its occurre nee.15仲裁条款:Arbitrati on此协议适用于中华人民共和国法律。

23、如有争端，双方友好协商解 决。如协商不成的，均应提交中国国际经济贸易仲裁委员会天津国际 经济金融仲裁中心，按照申请仲裁时该会实施的仲裁规则进行仲裁。 仲裁裁决是终局的，对双方均有约束力。This agreement is enforceable in China court of laws and regulati ons.
