JOB DESCRIPTION工作内容2.1 Subject to the business needs of the

7、Company,the Employee shall work at the Company as在公司经营需要的前提下,员工应在公司担任 职务。2.2 Detail Job description具体工作内容和职责(以中文表述为准)2.3 The Company may change the Employee 's position based on its business needs and the Employee 's professional abilities, skills, and work performance.公司可根据其业务需要以及员工的专业技能和工作

8、表现等调整 员工的工作岗位。3. WORKING HOURS,HOLIDAYS, AND LEAVE工作时间、节日、和假期3.1 Based on the nature of the Employee's position, theEmployee's working hours are stipulated according to item _ below:基于员工工作岗位的性质,员工的工作时间如下文第项所述:(i) Standard working hours: The Employee shall work 8 hours a day and 40 hours per

9、week; or标准工作时间:员工应每日工作八小时,每周工作四 十小时;或(ii) Flexible working hours: The Employee shall perform his/her duties at the Companyflexibly and in a timely manner, pursuant to the business needs of the Company and based on the requirements of the Employee'sposition. As the Employeehas flexible working ho

10、urs, the Employee hereby explicitly acknowledges that he/she shall not be entitled to overtime payment as other employees who have standard working hours may be for their work after normal working hours at the Company or during holidays.不定时工作时间:根据公司的业务需要和员工工作岗 位的要求,员工应灵活和及时地履行其在公司的职责。因 为员工的不定时工作时间,员

11、工特此确认:与其他实行标 准工作时间的员工不同,该员工不因为在标准工作时间之 外的时间和节假日工作而享受加班费的待遇。3.2 The Employee shall be entitled to working days ofannual paid leave during the first calendar year of service. For each subsequent calendar year, the days of the annual paid leave of the Employee shall increase by one (1) day, provided th

12、at, the maximumdays of annual paid leave is fifteen (15) working days. For any calendar year that the Employee does not work for the Companyfor a full year, the days of annual paid leave for the Employee shall be calculated pro-rata on the basis of the actual months that the Employee has worked for

13、the Companyin that year.员工在第一个日历年的服务期间享受个工作日的带薪年假。 在随后的日历年度里,员工的带薪年假天数将每年增加一( 1) 天,但最多不超过十五( 15)个工作日。在任何日历年度中, 如果员工在公司没有工作满一整年,则员工的带薪年假天数将 按员工该年度在公司实际工作的月数按比例计算。The Employee shall take annual paid leave based on the business needs of the Company and shall follow relevant corporate approval procedure

14、s for taking annual paid leave so as to ensure that the business of the Companywill not be adversely affected owing to the absence of the Employee.员工应根据公司的业务需要并应依照公司的有关批准程序 安排带薪年假,以保证公司的业务不会因员工休假而受到不利 影响。3.3 The Employee shall enjoy the Chinese public holidays, statutory leave applicable to the conc

15、erned Employee, and all other holidays that are granted in accordance with the rules and regulations of the Company.员工应享受XX的公共节假日、适用于该员工的法定假期、 以及按照公司的规章制度确定的其他全部假期。4. LABOUR PROTECTION AND WORKING CONDITIONS劳动保护和劳动条件The Company shall provide the Employee with the necessary working conditions and fac

16、ilities/equipment. The Company shall also establish and maintain a labor security and sanitary systemthat comply with applicable laws and regulations on workplace health and safety.公司应为员工提供必要的劳动条件和设施 /设备。公司亦应 建立和保持一个符合工作场所健康和安全法规规定的劳动安全 和卫生体系。5.REMUNERATION劳动报酬5.1 The Company shall provide the follo

17、wing remuneration tothe Employee:公司应向员工提供下列待遇:(i) A base salary of RMBYuan per month;Notwithstanding the forgoing, during the probationary period as set forth in Section 1.3 above, the base salary shall be at the amount of RMB Yuan per month; The monthly salary shall be paid on 10 in each month.月基本工

18、资为人民币元 (尽管有上述规定, 在上文第1.3 条规定的试用期内,月基本工资为人民币 元);月薪应于每月 10 日支付。(ii) A year end bonus, based on the Employee's performance, at the Company's discretion (notwithstanding the forgoing, for the first calendar year at the Company, the year end bonus of the Employee will be paid pro-rata on the basi

20、 Agreementand the Company's employee handbook.公司的标准员工福利,特别包括在本合同中和公司员 工手册中规定的带薪年假和医疗保险。The Employee hereby agrees that the Companymayat its sole discretion and from time to time adjust the remuneration of the Employee after discussion and consultation with the Employee according to the Compan

21、9;y s relevant compensation and benefits policy.员工特此同意:经与员工讨论和协商,公司可自行酌处, 根据其相关薪酬 xx 政策不时地调整员工的待遇。5.2 The Company shall make a mandatory social insurance contribution (including the portion that the Employee is obligated to contribute) to the relevant social insurance agencies for the Employee at th

22、e Company's own cost.公司应向相关的社保机构自费为员工缴纳法定的社会保险 (包括员工个人应承担的部分)。5.3 The Companyshall deduct and withhold from the Employee's monthly salary the corresponding amount of individual income tax that the Employee is obligated to pay according to law.公司应从员工的月工资中依法代为扣缴员工应缴纳的相应 个人所得税。5.4 If the Employ

23、ee follows the system of "standard working hours" as stipulated in item (i) of Section 3.1 above, the Company shall make overtime payments to the Employee for his/her overtime work for the Company in accordance withChinese law. Notwithstanding the foregoing, any overtime work must be appro

24、ved in advance by the relevant managementof the Companyaccording to the relevant rules and regulations of the Company.如果员工按照上文第3.1条第(i )项规定的“标准工作时 间”工作,公司应根据 xx 法律的规定就员工的加班工作向员工 支付加班费。尽管有上述规定,任何加班需经公司相关管理层 按照公司的有关规章制度事先批准。6. LABOR DISCIPLINE, RULES, AND REGULATIONS OF THE COMPANY劳动纪律和公司的规章制度6.1 The

25、Companyshall be entitled, in its sole discretion, to formulate and revise its labor discipline and its corporate rules and regulations from time to time, provided the Company notifies the Employee of any new or revised labor discipline, or corporate rules or regulations before they take effect.公司有权自

26、行酌处,不时地制订和修订其劳动纪律和公司 规章制度;但是,在任何新制订或修订的劳动纪律或公司规章 制度生效前,公司应通知员工。6.2 The Employeeshall carefully read and fully understand all labor discipline, rules, and regulations of the Company; and, the Employee shall strictly comply with and abide by the same.员工应仔细阅读、充分理解、并严格执行公司的全部劳动 纪律和规章制度。Any violation of

27、the labor discipline, rules, or regulations of the Company shall be deemed a serious violation of the Agreement.任何对公司的劳动纪律或规章制度的违反均应被视为本合 同项下的重大违约。6.3 As a condition of employment, Employee shall sign and agree to abide by the Confidentiality, Non-Competition and Intellectual Property Rights Agreeme

28、nt, which is attached as Exhibit A hereto.作为本合同的条件, 员工应签署并同意遵守 保密, 竞业禁 止及知识产权保护协议(见本合同附件 A)。7.AMENDMENT, NULLIFICATION, AND TERMINATION OF THISAGREEMENT合同的变更、解除和终止7.1 Except as otherwise specified herein, any amendment to this Agreement shall be made jointly by the Parties in writing.除本合同另有约定之外,本合同的

29、任何修订均应由双方共 同书面做出。7.2 This Agreement may be nullified and then deemed null and voidif mutually agreed to in writing by both Parties.经双方书面协商一致,可解除本合同7.3 Termination of the Agreement合同终止7.3.1 This Agreement shall be terminated in any of the following circumstances:有下列情形之一的,本合同终止:(i) the Agreement expir

30、es and is not renewed according to Section 1.2 above;合同期满并且未依照上文第 1.2 条续延;(ii) the Employee has lost the relevant professional qualification required for performance of his/her working duties as agreed herein (e.g., driver's license, accountant's qualification);员工不再具有为履行其在本合同项下的工作职责所要求的相关专业资

31、质,例如,驾驶执照,会计师资格;(iii) the Employee retires in accordance with applicable Chinese law, dies, or is declared dead or disappeared by a court;员工根据 xx 法律退休,死亡,或被法院宣告死亡或 失踪;(iv) the Company goes into bankruptcy, dissolution, or revocation;公司破产、解散、或者被撤销;(v) the Employee has been confirmed by aqualified exa

32、mination agency as having partially lost the capacity to work owing to an occupational disease or an on-duty injury; and, the Companyhas paid relevant disability subsidy according to law;员工患职业病或因工负伤, 已被合格的鉴定机构确认 为部分丧失劳动能力,并且公司已依法支付伤残就业补助 金;(vi) the Employee has been confirmed by a qualified examinat

33、ion agency as having completely or materially lost the capacity to work owing to an occupational disease or an on-duty injury; the Company has paid relevant disability subsidy according to law; and, the Company and the Employee have consulted and reached agreement to terminate this Agreement; or员工患职

34、业病或因工负伤, 已被合格的鉴定机构确认 为完全或大部分丧失劳动能力, 公司已依法支付伤残就业 补助金;并且,公司和员工协商一致终止本合同;或(vii) any other circumstances as provided for in law or any other termination events that the Company and the Employee have agreed herein.法律规定的任何其他情形、 或公司和员工在本合同中 约定的任何其他终止情形。7.3.2 Notwithstanding anything to the contrary in Sect

35、ion 7.3.1 hereof, in the case of any of the following circumstances, this Agreement shall not be terminated in accordance with Section 7.3.1 above until the following circumstance disappears:不论上文第 7.3.1 条有何不同规定,有下列情形之一的, 本合同应顺延至下列情形消失时方可根据上文第 7.3.1 条被终 止:(i) the Employee is undergoing a prescribed p

36、eriod of medical treatment for an illness or for an off-duty injury;员工患病或者非因工负伤,在规定的医疗期内;(ii) the Employee (if the Employee is a female) is pregnant, in confinement or nursing; or员工(若是女员工)在孕期、产期、哺乳期内;或(iii) other circumstances under which the applicable law prohibits the termination of this Agreemen

37、t.适用法律禁止本合同终止的其他情形。7.4 The Companymayunilaterally and immediately nullify this Agreement in any of the following circumstances where:有下列情形之一的,公司可以单方面随时解除本合同:(i) the Employee has failed to satisfy the specified recruitment requirements of the Company during the probationary period as set forth in Sec

38、tion 1.3 above;员工在上文第 1.3 条规定的试用期内被证明不符合 公司的有关录用条件;(ii) the Employee has seriously violated the labor discipline or the rules or regulations of the Company;员工严重违反劳动纪律或者公司的规章制度;(iii) the Employee has breached material agreements entered between the Company and the Employee, including but not limited

39、to , the Confidentiality, Non-Competition and Intellectual Property Rights Agreement( See Exhibit A );员工违反和公司另行签订的重大协议, 包括但不限于, 保密, 竞业禁止及知识产权保护协议(见附件 A);(iv) the Employee has committed an action of serious dereliction of duty or corruption, and thereby caused substantial harm to the interests of the

40、 Company, for example, causing serious injury or death of another person;员工严重失职或营私舞弊, 并因此造成对公司利益的 重大损害,例如,致使他人重大伤亡;(v) the Employee provided false information in his/her application for the position (e.g., information pertaining to his/her identity, education background, and employment history);员工在应

41、聘时提供虚假信息, 例如,身份、教育背景、 和工作经历;(vi) the Employee is subject to criminal penalty; or员工被依法追究刑事责任的;或(vii) Other circumstances as provided by applicable law.适用法律规定的其他情形7.5 Unilateral Nullification by the Company公司单方解除合同7.5.1 The Companymay unilaterallynullify this Agreement withthirty (30) days advance wri

42、tten notice in any of the following circumstances where:有下列情形之一的,公司可以单方解除本合同,但是应当 提前三十( 30)日书面形式通知员工:(i) the Employee has fallen ill or has sustained off-duty injury and cannot engage in the original work or any other work assigned by the Company to him/her upon the conclusion of his/her medical tre

43、atment;员工患病或者非因工负伤, 医疗期满后不能从事原工 作,亦不能从事公司安排的其他工作;(ii) the Employee has been incapable of doing his/her job and remains incapable of doing so after receiving training or being transferred to another post; or员工不胜任工作,经过培训或者调整工作岗位仍不能 胜任工作;或(iii) there has occurred a major change to the objective circums

44、tances under which this Agreement was consummated, which has rendered this Agreement incapable of being performed, and the Parties have failed to reach an agreement on the amendmentto this Agreement after consultation.本合同订立时所依据的客观情况发生重大变化, 致使本合同无法履行,经双方协商仍不能就变更合同达成一致7.5.2 However, the Company shall

45、not nullify this Agreement in accordance with Section 7.5.1 above in any of the following situations:但是有下列情形之一的,公司不得依据上文第 7.5.1 条的 规定解除本合同:(i) the Employee has suffered from an occupational disease or has sustained an on-duty injury, and it has been confirmed that the Employee has completely or part

46、ially lost the capacity to work;员工患职业病或因工负伤, 并被确认完全或者部分丧 失劳动能力;(ii) the Employee is undergoing a prescribed period of medical treatment for an illness or for an off-duty injury;员工患病或者非因工负伤,在规定的医疗期内;(iii) the Employee (if the Employee is a female) is pregnant, in confinement or nursing; or员工(若是女员工)在孕

47、期、产期、哺乳期内;或(iv) other circumstances under which the applicable law prohibits the Company from nullifying this Agreement.适用法律禁止公司解除本合同的其他情形。7.6 Unilateral Nullification by the Employee员工单方解除合同7.6.1 Generally, the Employee may unilaterally nullify this Agreement by serving ninety (90) days advance wri

48、tten notice to the Company.通常情况下,员工经提前九十( 90)天书面通知公司,方 可单方解除本合同。7.6.2 Notwithstanding the provision of Section 7.6.1 above, the Employee shall be entitled to unilaterally and immediately nullify this Agreement under any of the following circumstances:尽管有上文第 7.6.1 条的规定,有下列情形之一的,员工 可随时通知公司并单方解除本合同:(i)

49、 during the probationary period as set forth inSection 1.3 above;在上文第 1.3 条规定的试用期内;(ii) the Companyis unable to pay the salary in accordance with this Agreement; or公司未能按照本合同支付劳动报酬;或(iii) the Company forces the Employee to work by means of violence, threat, and illegal restriction of the Employee'

50、;s personal freedoms.公司以暴力、威胁、或者非法限制人身自由的手段强 迫劳动。7.7 The Companymay nullify this Agreement by meansof laying off the Employee in accordance with the relevant statutory procedures if the Companyexperiences serious hardship in its business operation and it is necessary to lay off its employees.若公司遭遇严重

51、的经营困难必须裁员时,公司可以依据相 关的法定程序通过裁员的方式解除本合同。7.8 If applicable, in the event that either Party nullifies this Agreement without serving advance written notice as stipulated in Sections 7.5.1 or 7.6.1 above, the Party shall indemnify the losses of the other Party.在适用的情况下,若一方未按照上文第 7.5.1 条或第 7.6.1 条的规定以事先书面通

52、知的形式解除本合同,该一方应赔偿另 一方的损失。7.9 In case this Agreement is nullified or terminated pursuant to the terms and conditions of this Agreement and as stipulated above, the Company shall issue a written certificate to the Employee to evidence that the employment relationship between the Company and the Employe

53、e has ended.若本合同根据本合同的条款和上述规定被解除或终止,公司应向员工出具书面证明, 以证明公司和员工的劳动关系结束。8. ECONOMIC COMPENSATION AND INDEMNITY经济补偿和赔偿8.1 If applicable, the Company shall make severance payment to the Employee in accordance with applicable Chinese law where this Agreement is nullified or terminated.如适用,在本合同被解除或终止时, 公司应依照

54、xx 有关法 律的规定给予员工经济补偿。8.2 Where the Company recruits the Employee by means of headhunting, provides the Employee with training at the Company's expense, or provides any special preferential treatment to the Employee, if the Employee nullifies this Agreement in violation of the relevant agreement(s

55、) between the Company and the Employee, then the Employee shall reimburse the Company the expenses in accordance with the specific agreement(s).在公司通过猎头聘用员工、出资培训员工、或给予员工特 殊待遇的情况下,若员工违反公司和员工间的有关协议解除本 合同,则员工应依据相应协议补偿公司的相应费用。8.3 If this Agreement is nullified due to the Employee'sbreach of this Agre

56、ement or the Non-Competition and Intellectual Property Rights Agreementbetween the Company and the Employee, and the Employee has caused losses to the Company, the Employee shall compensate the losses of the Company.若因员工违反本合同或公司和员工间的保密 , 竞业禁止及 知识产权保护协议导致本合同被解除,并且员工给公司造成损 失的,则员工应该补偿公司的损失。9. LABOR DIS

57、PUTES劳动争议9.1 The formation of this Agreement, its validity, interpretation, execution and settlement of disputes shall be governed by the relevant laws and regulations of China.本合同的成立、效力、解释、签订和争议的解决应受相关 xx 法律法规的管辖。9.2 Where any dispute arises from, out of, or in connection with this Agreement,either

58、 Partymay file a lawsuit with the relevant People's Court of China within sixty (60) days after the occurrence of the dispute.若因本合同引起或产生与本合同有关的任何争议,任何一 方均可在争议发生后的六十( 60)天内,向有关的人民法院提 起诉讼。10. MISCELLANEOUS附则10.1 This Agreement shall take effect as of the signature date hereof.本合同自签署 xx 生效。10.2 Thi

59、s Agreementshall be written in both Chinese and English, in two (2) original copies.
