产品销售区域独家代理协议(中英文)

1、EXLUSIVE AGENCY AGREEMENT OF PRODUCTS SALE供货公司（厂）：光电有限公司（以下称甲方）Party A Supplier （Factory） : Optoelectr onic Co.,Ltd代理公司（厂）： （以下称乙方）Party B Age nt （Compa ny）:一、 委任 Appointment甲方指定乙方为其独家代理，为第二条所列商品和第三条所列区域的顾客中招揽订单，乙方接受上述委任。Party A hereby appo ints Party B as its Exclusive Age nt to solicit orders for

5、final settlement value of actual supply products as a penalty , and keeps the right to persue theresponsibility of Party B, including but not limited to any economic losses caused by recovery.四、 商情报告 Market Report为使甲方充分了解现行市场情况，乙方承担至少每季度一次或在必要时随时向甲方提供市场报告，内容包括与本协议代理商品的进口与销售有关的地方规章的变动、当地市场发展趋势以及买方对甲方

6、按协议供应的货物的品质、包装、价格等方面的意见。乙方还承担向甲方提供其他供应商类似商品的报价和广告资料。In order to keep Party A fully understand the prevailing market conditions, Party B should un dertake tosupply Party A, at least once a quarter or at any time whe n n ecessary, with market reports concerningchanges of the local regulations, local m

7、arket tendency and the buyers comments on quality, packing,price, etc in connection with the import and sales of the commodity covered by this agreement, Party Bshall also supply party A with quotations and advertis ing materials on similar products of othersuppliers.五、 广告及费用 Advertis ing and Expe n

11、 do un ilateral term in ati on of the con tract .七、 货物供应、运输与货款支付Product supply, shippi ng, payme nt1、 乙方应提前 15 天提交书面订货计划(传真或电子邮件)，以便甲方有足够时间备货。Party B should put in the order pla n ( by Fax or email ) 15 days in adva nee , so that Party A has enough time to prepare the products.2、 乙方提交订货计划后 15 天内，甲方得

12、到确认后，乙方须在10 个工作日内将货款汇致甲方所指定的帐户里，如在10 个工作日内未收到货款，甲方有权把此订单视为无效。Party B submits the order within 15 days , Party B con firms the order . 13、d , Party A has the right to regard the order as in valid one .3、 甲方应在收到货款后在双方协商后的7 - 15 工作日提供产品。After receive the payment , Party A should delivery the products within 7- 15 workdays underthe con sultati on of both parties.4、甲方负责将货物运达乙方指定地点，运输工具由双方协定后再做决定，不得善自决定。Party A takes charge of shipp ing th

14、e products to the appo in ted place by Party B , the means oftransport is considered under the mutual agreement , can not do it without authorization .八、 品质保证 Guara ntee for Products Quality货物验收以双方确认的样品为准，如对质量有异议，买方应自产品收到之日起三日内书面告知卖方并保持货物完好，对产品安装使用后出现的质量问题，在产品质量保证期内，卖方只负责维修或更换所供应产品外，不承担任何其他责任。That t

16、stallation , with in quality guara ntee period of products , the Seller is only resp on sible to maintain or cha ngethe supplier products , not bear others .九、 违约及合同解除 Breach and term in ati on of the con tract1、双方应严格按照合同执行，遇到有分歧的情况，应友好协商，达成新的一致意见，并形 成补充合同，与本合同具有同等效力。Both Parties should be strict ac

If there is a disagreement ,both Parties should consult friendly and reach a new agreement , furthermore form suppleme ntaryagreeme nt with the same efficacy as this Agreeme nt .2、在合同有效期内，双方中任何一方，由于以下原因造成违约时，另一方可以解除合同。During the term of this agreement , an

18、y Party who breaches the contract caused by following reasons ,the other Party can terminate the contract .（1）如乙方对代理区域内的客户疏于管理或其它原因导致给甲方造成物质损失或使甲方的 企业形象受到影响时；When the Party B treats the customers in Territory region with lack of management or other reasonswhich makes the Party A bears the material d

19、amage or makes the corporate image of Party A with anybad effect , the Party A can terminate the contract .（2）符合本合同第三条第 2 项情形时；If the condition meets with the Condition 2 , the Third Article of the agreement（3）乙方违反甲方的规定价格政策，造成销售市场混乱时；The Party B violates prescriptive Price Policy by Party A , cause

20、the sales market confusion .（4）乙方未按实际情况向甲方通报市场情况，或所通报的内容不实，给甲方的业务造成严 重影响时。The Party B won t inform the actual state of market to Party A , or the notification is not truth , whichcauses the serious effect on the business of Party A .十、 合同解除后的处理 Treatment upon termination 1、合同解除后，双方清算完毕后，如无其它异议时，甲方应于

21、方交纳的保证金。After terminate the constract and both Parties have settled accounts , if there is not any objection , PartyA need to return the security deposit back to Party B within 7 workdays according to this agreement.2、合同解除后一年之内，乙方或乙方的工作人员不得利用在代理甲方产品期间获得来自甲 方的经营信息进行同类业务的拓展；Upon termination of the con

22、tract, Party B or any staff of Party B can t use the business operationinformation from Party A during Party B as an agent of Party B s products to proceed the expansion ofthe Similar business within one year .十一、 不可抗力 Force Majeure 由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导 致不能或暂时不能全部或部分履行本协议， 该方不负责任

23、。 但是， 受不可抗力事件影响的一 方须尽快将发生的事件通知另一方，并在不可抗力事件发生 15 天内将有关机构出具的不可 抗力事件的证明寄交对方。Either party shall not be held responsible for failure or delay to perform all or any part of this agreementdue to flood, fire, earthquake, drought, war or any other events which could not be predicted, controlled,avoided or ov

However, the party , who is affected by the event of ForceMajeure , shall inform the other party its occurrence as soon as possible and thereafter send acertificate of the event issued by the relevant authorities to the other party within 15 days after itsoccurrence.十二、仲裁 Arbitration 因履行本协议所发生的一切争议应通过友好协商解决。如协商不能解决争议，则应将争议提 交中国国际经济贸易仲裁委员会（北京） ，依据其仲裁规则进行仲裁。仲裁裁决是终局的，对双方都有约束力。All disputes arising from the performance of this agreement shall be settled thro
