2、NOWTHEREFORE:ThePartiesagreetotheTermsandConditionsasfollows:在此：双方同意以下的合同条款SCOPEOFTHECONTRACT:合同适用范围：a)TheSeller,underfullauthorityandresponsibility,declarestha thehasthecapabilityandunrestrtedrighttoselltheGoldandguaranteesthatheiscapabletolegallyeporttheGoldDust.卖方在完全权利和责任下，声明其有才能和自由权利去销售黄金及保证是合法出

3、售。Sellermustpaythefulloflocaltaes,duties,insurance,smelting/assay,governmentfees,shippingcostfromlocationofgoldtoloadingairport,shippingcostfromdepartureoforintobuyerdesignatedairport.卖方必须全额支付当地税费，关税，保险，检验，政府费用，从当地到机场运费，机场到最终买方目的地机场运费。Afterthegoldisdeliveredtobuyerdesignatedairport,SellerRepresentat

4、iveorShippingAgentmustallowthebuyertoseeandinspectthewholequantityoftheproductinperson.SellerRepresentativeorShippingAgentisnotallowedtoaskforrandomslefeeordiplomatfeeorsecuritystoragefeeorreleasechargeorwarehousefee,etc.Paymentismade100atagobyswifttransferaftersatisfactoryfinalassayreportforthewhol

5、equantityinbuyerselectedrefinery.当黄金运送到达买方目的地机场，卖方代表人或运输代理必须同意让买方亲自看和检测全部的数量。卖方代表人或运输代理不能收取随机抽样费或者外交费或者平安保管费或者仓库发放费等等，100 的货款必须在买方的精炼厂对全部数量做出最终的满意报告后进展电汇。b)TheBuyer,underfullcorporateauthorityandresponsibilitydeclaresthatheandhisassociateshavethefullcapabilityurchasetheun-refinedgoldandsuchpurchasew

6、illbeincreasedwithoptionsofannualetensions.买方在完全法人权利和责任下声明其和其合作伙伴完全由才能去采购未提炼的黄金及今后将会增加年度采购量。AnyecuseofdelayedorpartialpaymentisnotaeptedafterfinalassayandthevalueaeptedbybothBuyerandSeller.当双方承受最终的检验报告和承受其价值后，任何的延迟或局部付款理由都不再承受。c)Shouldanyirregularitiesduringthecourseofthiseerciseiseecuteddetailsshal

10、rencyonly.本协议的参考价格将是美元转帐DELIVERYTERMS:交货条款a)ThedeliverytermsforthisS.P.A.agreementshallbeonaCIFbasis(byAir-cargo)totheBuyersdesignatedairport本协议的交货条款为 CIF(空运)到买方目的地机场b)TheSellerwillpayalltaes,duties,insurance,etc,inthecountryoforin.卖方将在原产国支付全部的税费，关税，保险等b)TheSellerwillbeartheshippingcostfromthedepart

11、urepoint(Ara,Ghana)totheBuyersdesignateddestinationairport.卖方将要承当从出发站阿克拉到买方目的地机场运费c)TheBuyerwillclearshipmentofGoldDustthroughCustomsattheportofimport.TheBuyerwilltransportthegoldfromBuyersdesignatedairportundertheSellersnamebutattheBuyersCosttotheBuyersdesignatedrefinery.买方将在进口港通过海关进展黄金的清关e)TheBuye

12、rwillbephysallypresentatCustomsoftheportofimportandtoinsureallprocedureshavebeenfollowedandactualdeliverywaspletedtotherefinery.BuyerwillnotifytheSellerofsuessfulpletionofeventsinwrittenform.买方将要在进口海关确保整个流程是按照实际的完好交货到精炼厂，买方要以书面形式通知卖方事情已成功办理完成了。f)LegalOwnershipofGoldDustisretainedbytheSelleruntilthep

13、aymentinfullisreceivedbySellersbankfromtheBuyer.黄金的法定所有权保存在卖方手里直到收到买方的所有货款。PAYMENTTERMS:付款方式：FinalpaymentfortheGoldshallbemadebyWireTransfertotheSellersdesignatedBank,within48hoursafterreceiptoffinalassayreportfromtherefinery.PaymentNotewillserveaspartofthecontractandhasthesamelegaleffect.在收到精炼厂的检验报

14、告的 48 小时内，最终的货款将通过转账到卖方指定的银行账户，付款通知将视为合同的一局部及拥有相等的法律效力PROCEDURE:程序：1.BuyersignsthisAgreementande-mailsittoSellerforhissignature.SellersendssignedAgreementtotheBuyerviae-mail.买方签了这个协议并通过邮件发给卖方签名。2.TheBuyershalladvisehis/herbanktoissueaSwiftmessageMT799ForproveoffundasabilitytoaffectthepaymentafterAss

15、ayreportforthevalueofthegolddustandsentviaSWIFTtoSellersBankasasecurityforthetwoparties.买方要通知其银行发出 MT799 的电文做资金支付才能证明以便验货认可后能电汇给卖方银行的对双方的保证。3.UponreceiptofconfirmationslipofthebankMT799bySellersnominatedbankSellermencepackangofthesaidquantityanddeliv ertothechoeofRefineryoftheBuyerforfinalAssaytonec

16、essitateout-rightfullpayment一旦卖方指定银行收到 MT799 电文确实认书，将会着手包装所说的数量和交货到买方选择的精炼厂做最后的检验以便全款的顺利支付4.Within10workingdaysofreceiptoftheconfirmationslipoftheMT799,theSellerwilldeparttoBuyersdestination.在接到银行 MT799 确实认电文 10 天内，卖方将动身去买方的目的地5.TheBuyermustinspectandconfirmthewholelotofthesaidquantityinperson.买方必须亲

17、自进展整批货数量的检验和确认6.AssaywillbeconductedatBuyers aountatthepresenceofbothbuyerandSellerinBuyerschoeofrefineryin当买方和卖方现场在买方指定的精炼厂时，检验费将由买方账号扣除7.PaymentwillbefacilitatedbyanAuthorityInvoefromtheSeller.付款将按照由卖方出具的一份权威发票进展。8.PaymentbytheBuyershallbemadetotheSellersdesignatedBankwithin5daysafterreceiptoffina

18、lassayreportfromtherefineryanditsvaluewillbeaeptedbybothBuyerandSeller.在接收到由买方指定的精炼厂发出的双方都承受的最后检验报告的 5 天内买方要付款给卖方指定的银行。DOCUMENTS:文件：Theshipmentanddeliveryshallbeidentifiedwithallassignedcontractreferencecodesandnumbers.SellerrovidethefollogdocumentstoBuyerpriortoarrivalofthegold:发货和交货应该等同于所签合同参考的编号和数字，卖方提早提供以下文件给买方a)TwoorinalsofCommercialInvoesinfavouroftheBuyer2 份买方赞同的正式的商业发票b)CertifateOfOrin 原产地证c)CertifateOfOwnership 所有者证明d)EportPermit
