11、13、付款条款 Terms of payment卖方与买方在签订合同之日，买方按照规定提供订单的详细信息之后，卖方按照买方要求，根据实际情况安排生产。如出现突发情况需要取消订单，买方必须在3个工作日之内，通知卖方，确保双方利益不受损失。After the seller and buyer signed the contract,the buyer needs to offer the detailedinformationof the order and the seller needs to arrange the order according to the therequireme nt

20、by the buyer.14、超期库存规定 Regulati ons for overdue inventory :买卖双方经充分协商对超期库存管理约定如下：超期库存的概念：自卖方通知买方货物准备完毕且入库之日起超过十五(15)天未发的货物正常库存时间：自卖方通知入库之日起不超过十五(15)天超正常库存时间的，每超一天，买方自愿承担合同总金额的2%乍为违约金，违约金从买方支付的订金中直接扣除，超正常库存时间二十五(25)天的，买方构成违约，卖方可单方面解除合同，自卖方解除合同的通知到达买方时本合同终止，买方货款不予返还。The two parties have reached the fol

23、due time exceeds twenty-five(25) days, it shall be deemed as the breach of Con tract by the Buyer, and the Seller thereby can un laterally resci nd the Con tract. The Con tract shall termi nate whe n the Seller ' s no tificati on for resci nd is received by the Buyer whose payme nt shall not be

30、照其程序仲裁。仲裁机构的裁决具有最终效力，双方必须遵 照执行。仲裁费用由败诉一方承担。仲裁机构另有裁定的除外。仲裁期间，合同中除仲裁部分外，其他条 款仍应继续履行。本合同的澄清、解释、签署及争议处理都将适用中华人民共和国法律。Any and all disputes aris ing from the performa nee of the Con tract shall be subject to frien dly negotiationfor resolution. 33、rification, interpretation, execution and dispute resolvement of this Contract.18、违约责任 Liability for breach of Contract 买卖双方应严格按照合同约定履行，一方违约给对方造成损失的，违约方应承担相应的违约责任，违 约责任范围包括但不限于违约金、仓储费、维护管理费、二次销售的差价、实际损失、实现债权的费用 (仲 裁费、律师费、差旅费)及相关费用。如出现买卖双方之间出现不可协调争议之后，由卖方当地法院进行 裁决。The Seller and the Buyer shall perfo
