1、劳动合同EmploymentContract由以下双方签订BETWEEN以及AND第九章知识产权ChapterNineIntellectualProperty33. 甲方拥有、作为被许可人或授权使用人的任何已注册的或已提交注册申请的商标、甲方标识及产品、服务标识(包括但不限于文字和图像)受有关法律保护。非经甲方书面授权,乙方在任何情况下均不得使用甲方前述或将来取得的商标或标识。Trademarks,logoorproductsandservicesmarks(includingbutnotlimitedtolettersandpictures),whichhavebeenregistereda
2、ndorhavebeensubmittedforregistration,ownedorfiledbytheEmployerorwheretheEmployeristhelicenseeorauthoriseduserareprotectedundertherelevantlaws.TheEmployeeisprohibitedfromusinganyofthesemarkscurrently(orinthefuture)filed,ownedand/orregisteredwithoutwrittenauthorisationfromtheEmployer.34. 由甲方和/或甲方的关联单位
3、创作的任何作品全部或部分权力、权利和利益,包括但不限于书籍、文字、录像、录音、电影均属于甲方排他所有。除非经甲方书面许可,乙方不因受聘于甲方而当然获得前述任何作品的任何权利,也不得在任何时间以任何方式使用、复制、修改、传播上述作品。Allorpartofrights,title,andinterestinandtotheworkscreatedbytheEmployerand/oritsaffiliates,includingallbooks,texts,audiotapes,videotapes,filmsetc,arethesoleandexclusivepropertyoftheEmpl
4、oyer.ExceptwhenspeciallypermittedinwritingbytheEmployer,theEmployeehasnorightstosuchworksandshallnotuse,copy,amendordisseminatetheseworksatanytime.35. 如果乙方在从事甲方安排的工作期间创作出任何作品,甲方享有署名权,甲方享有著作权的其它知识产权(“知识产权”)。在知识产权的未完整自动归属于甲方的情况下,乙方同意将其在雇佣期内创作的作品所产生的任何知识产权以及权益转让给甲方。ForworkscreatedbytheEmployeewhileperf
5、orminghis/herdutiesfortheEmployer,theEmployershallenjoyandownallintellectualpropertyrights("IPR”)ofsuchworks.WherefulltitletotheIPRdoesnotautomaticallyrestwiththeEmployer,theEmployeeherebyassignstotheEmployeralltheEmployee'sinterestinanyIPRintheworkscreatedinthecourseoftheEmployee'sempl
6、oyment.第十章合同的变更和解除ChapterTenModificationandTerminationoftheContract36. 如果本合同订立时所依据的客观情况发生了重大变化,致使本合同不能履行,双方同意可以书面形式对本合同作出相应的变更。IncasethisContractisrenderedredundantduetosubstantialchangesintheobjectivesituationinwhichthisContractisbasedwhenitissigned,thePartiesmayamendthisContractinwritinguponmutual
7、agreement.37. 如果乙方发生如下任一情况,甲方有权解除本合同且无须向乙方支付经济补偿金:Incaseoneofthefollowingeventsoccurs,theEmployershallbeentitledtoterminatethisContractwithoutpayinganydamages/compensationstotheEmployee:a) 在试用期间被证明不符合录用条件的(包括但不限于以下情形:乙方工作能力、表现等在试用期间被证明不符合工作岗位需求的;乙方未能按照国家、地区政府机构和/或甲方要求提供相关资料,致使甲方无法办理录用及社会保险缴纳等手续的;非甲方
8、的原因,相关主管部门拒绝向乙方发放以下任何一项许可:(i)工作许可、外国专家证;(ii)Z签证;(iii)居留许可(若非因甲方原因导致乙方未能及时办理外国人来华工作手续文件,甲方无需承担任何责任);TheEmployeefailstosatisfyemploymentconditionsduringtheprobationperiod(including:(1) TheEmployee'sperformancefailstomeettherequirementsofhis/herroleduringprobationperiodTheEmployeeisunabletocomplete
9、proceduresforrecruitmentandsocialinsuranceduetotheEmployee'sfailuretoproviderelevantdocumentsasrequiredbytheauthoritiesand/ortheEmployer(2) NotduetothefaultoftheEmployer,theauthoritiesrefusetoissueanyofthefollowingpermissionstotheEmployee(i)workpermit/foreignexpertcertificate;(ii)Z-Visa;or(iii)r
10、esidentpermit.TheEmployerisnotresponsibleforanyconsequencesarisingfromfailuretocompleteproceduresorobtainrelevantdocumentsforaforeignerworkinginthePRCifitisnotcausedbytheEmployer);b) 严重违反甲方的规章制度的;TheEmployeecommitsaseriousbreachofanyoftheEmployee'srulesandregulations;c) 严重失职,营私舞弊,给甲方造成重大损害的(“重大损
11、害”包括下情形:给甲方造成经济损失的;使甲方受到相关行政部门或上级主管部门的处罚的:使甲方声誉、行业地位等无形财产受到损失的);TheEmployeecommitsanactofseriousderelictionofdutyormalpractice/corruption,causingtheEmployertosuffersubstantialdamages('substantialdamages'includeeconomicdamages;causingtheEmployertobereprimandedbyrelevantauthorities;causingdama
12、gestoreputation,statusintheindustryandotherintangiblepropertiesoftheEmployer);d) 同时与其他用人单位建立劳动关系的;simultaneouslyestablishedanemploymentrelationshipwithanothercompany;e)以欺诈、胁迫的手段或者乘人之危,使甲方在违背真实意思的情况下订立或者变更本合同,导致本合同无效的(如乙方被查实在订立或变更本合同过程中向甲方提供虚假资料、信息或隐瞒个人真实情况的,即视为乙方以欺诈的手段使甲方在违背真实意思的情况下订立或变更本合同);through
13、deception,coercionortakingadvantageoftheEmployer,causing/inducingtheEmployertoenterintothisContractormadeanamendmenttheretoagainsttheEmployer'sgenuineintention,therebyresultinginthisContractbeingdeemedtobeinvalid(IftheEmployeeisfoundtoprovidefalseinformationordocumentsorconcealhis/heractualcondi
14、tionswhensigningoramendingthisContract,he/shewillberegardedascausingtheEmployertoenterintothisContractbywayofdeception.f)被依法追究刑事责任的;TheEmployeeisfoundguiltyofacriminaloffence;g)其他法律规定的情况。otherprovisionsasstipulatedundertherelevantlawsandregulations.38. 如果乙方发生下列任一情形,甲方有权提前三十(30)天书面通知或以额外支付一个月的工资代替该通知
15、解除本合同:Incaseoneofthefollowingeventsoccurs,theEmployershallbeentitledtoterminatethisContractsubjecttothirty(30)dayspriorwrittennoticeorbypayingone-monthsalaryinlieutotheEmployee:a)乙方患病或者非因工负伤,医疗期满后,不能从事原工作也不能从事由甲方另行安排的工作的;wheretheEmployeeisunabletotakeuphis/heroriginalworkoranyworkspeciallyarrangedby
16、theEmployeruponcompletionofhis/hermedicaltreatmentoruponrecoveryfromnon-workrelatedinjury;b)乙方不能胜任工作,经过培训或者调整工作岗位,仍不能胜任工作的;wheretheEmployeeisunqualifiedforhis/herworkandremainsunqualifiedevenafterreceivingtrainingorbeingtransferredtoanotherworkpost;c)本合同订立时所依据的客观情况发生重大变化(包括但不限于甲方发生迁移、经营方式变更、组织结构调整、停
17、止运营或延期开始运营),致使本合同无法履行,经双方协商无法就本合同的变更达成协议的。wheretheobjectiveconditionstakenasthebasisofthisContracthavechangedmaterially(includingrelocation,changeinoperationmodel,adjustmentoforganizationstructure,ceaseoperationorsuspensionorpostponementofoperationoftheEmployer)whichrenderedthisContractredundant,and
18、noagreementormodificationofthisContractcanbereachedafternegotiationsbetweentheParties.39. 乙方提出解除劳动合同,应当至少提前()个月(试用期内,适用本合同第二条的约定)向甲方发出书面通知。在此情况下,甲方无需对乙方承担任何经济补偿责任。乙方在任何情况下高职都应当与甲方办理完毕工作交接手续,包括但不限于交接乙方工作、返还当时占有的甲方财物和文件资料、结清应退赔款项。TheEmployeemayterminatethisContractbyservinganatleast()months(exceptduri
19、ngtheprobationperiodwhereClause2shallapply)priorwrittennoticetotheEmployer.UnderthiscircumstancetheEmployershallnotbeliabletoprovideanycompensationtotheEmployee.TheEmployeeshallfollowtheEmployer'shandoverprotocolbeforehisorherlastdayattheCompany.第十一章赔偿和补偿ChapterElevenIndemnityandCompensation40.
20、乙方违法解除本合同,违反法律法规、违反本合同约定的义务、违反甲方规章制度的规定或者在工作期间存在过错,给甲方造成损失的(包括财产、利润或声誉损失),或对其他甲方造成伤害,甲方有权要求乙方赔偿上述损失。甲方有权从乙方工资中扣除相应的款项,但该扣除不得违反法律法规的规定;不够扣除的,甲方有权就剩余部分向乙方追偿。IftheEmployeeterminatesthisContractinviolationoftherelevantlawandregulations,thetermsofthisContract,therulesandregulationsoftheEmployerorcommitsa
21、nactofmisconductduringwork,causinganydamagetotheEmployer,theEmployerhastherighttodeductsuchlossessufferedfromthesalaryoftheEmployee.Thedeductionshallnotviolateanylawsorregulationsandifthedeductioncannotcoveralllosses,theEmployerisentitledtorequiretheEmployeetopayfortheremainder.41. 根据法律规定,甲方应当支付乙方经济
22、补偿金的,该经济补偿金在乙方依甲方要求办理完毕工作交接手续后支付。IncasetheEmployershallpaycompensationtotheEmployeeinaccordancewiththerelevantlaw,suchcompensationshallbepaidtotheEmployeeaftercompletinghandoverproceduresbytheEmployeeinaccordancewiththeEmployer'srequirements.第十二章争议的解决ChapterTwelveDisputeResolution42. 因本合同的解释,履行、
23、解除或终止而产生的或与本合同有关的任何争议,双方应首先通过友好协商解决。不能协商一致的,任何一方都有权在争议发生后根据法律规定向有管辖权的劳动仲裁委员会提请仲裁。如果一方对仲裁裁决不服,可以在收到裁决书之日起15日内向汽地人民法院起诉。Alldisputesarisingfromtheinterpretation,performance,dissolutionorterminationofthisContractorinconnectionwiththisContractshallbesettledbythetwopartiesthroughfriendlyconsultations.Inca
24、senosettlementcanbereached,eitherpartyshallhavetherighttoapplyforarbitrationtothecompetentLabourArbitrationCommitteepursuanttorelevantlawsafterthedisputeoccurs.Ifonepartyisnotsatisfiedwiththearbitrationaward,itshallbeentitledtoapplytothelocalPeople'scourtforjudgmentwithin15daysafterreceivingthea
25、rbitrationaward.第十三章资料保障ChapterThirteenDataProtection43. 在不抵触适用的个人资料/私隐条例法律/规定的前提下,乙方同意甲方收集、持有、使用及披露乙方的个人资料,以作与乙方聘任有关的任何用途,包括薪资管理、绩效、监督、培训与发展规划、健康与安全管理、税务、保安及管控、退休金与福利管理、业务规划及与上述用途直接有关的任何其他用途。Subjecttotheapplicableprovisionsrelatingtopersonaldata,theEmployeeconsentstotheEmployercollecting,holding,us
26、inganddisclosinghis/herpersonaldataforanypurposesconnectedwithhis/heremployment,includingpayrolladministration,performance,monitoring,traininganddevelopmentplanning,healthandsafetyadministration,tax,securityandaccesscontrol,pensionandbenefitadministration,andbusinessplanningandanyotherpurposesdirect
27、lyrelatedtosuchpurposes.44. 个人资料可由甲方关联机构或第三方代表甲方处理、分析及取用。在此情况下,个人资料将受严格的保密及保安守则保障,仅根据甲方指示使用。个人资料亦可转移予有合法角色和理由持有、使用、处理及转移与聘任相关的资料以作上述用途的人等,包括外部人等,例如政府部门、银行、保险公司、/第三方服务供应商。Personaldatamaybeprocessed,analysedandaccessedonbehalfoftheEmployerbyothertheEmployer'saffiliates,andbythirdparties.Inthiseven
28、t,thepersonaldata,willbeprotectedbyastrictcodeofsecurityandonlyusedinaccordancewiththeEmployer'sinstructions.Personaldatamayalsobetransferredtopartieswhohavealegitimatereasontouseprocessandtransferemployment-relateddata,includingoutsidepartiessuchasgovernmentdepartments,banks,insurancecompaniesa
29、ndthirdpartyserviceprovidersappointedbytheEmployer.第十四章信息技术与监察ChapterFourteenITandMonitoring45. 为确保遵守监管机构规定,以及保障本身雇员、公司社群和运营,甲方保留监察乙方于受聘期间可使用的电话记录、互联网用途、电话留言、电邮和甲方所提供的所有电了设备的权力。甲方将合理地运用其取用权,但是重要的是乙方知悉使用甲方设备或处所进行的所有通讯和活动假定非作私人用途。Toensureregulatorycomplianceandfortheprotectionofitsemployees,thecompany
30、communityanditsoperation,theEmployerreservestherighttomonitortheEmployee'stelephonelog,internetusage,voicemail,e-mailandallotherdigitaldevicesthathavebeenprovidedbytheEmployerwhichtheEmployeemayuseduringhis/heremployment.TheEmployerwillusethisrightofaccessreasonably,butitisimportantthattheEmploy
31、eeisawarethatallcommunicationsandactivitiesontheEmployer'sequipmentorpremisescannotbepresumedtobeprivate.46. 乙方同意遵守甲方不时有效的有关其提供的所有电子设备使用的政策条款,包括电邮、电话、移动电讯设备和社交网站的使用。TheEmployeeagreestoabidebythetermsoftheEmployer'spoliciesregardingtheuseofalldigitaldevicesprovidedbytheCompany,includingemail,
32、telephone,mobilecommunicationdevicesandtheuseofsocialnetworkingsitesfromtimetotimeinforce.第十五章其他ChapterFifteenMiscellaneous47. 本合同在履行中,如中国政府和当地政府新颁布的有关法律、法规、规章和地方政府规定、甲方规章制度规定与本合同条款发生矛盾时,应以新颁布的有关法律、法规、规章和地方政府规定、甲方规章制度规定为准。Incaseofdiscrepanciesexistingbetweentherelevantlawsandregulationsandrulesnewly
33、promulgatedbytheNationalandlocalgovernment,theprovisionsoflocalgovernmentandrulesandregulationsoftheEngagementandthetermsandconditionsofthisContract,thenewlypromulgatedlaws,regulations,rules,theprovisionsoflocalgovernmentaswellasrulesandregulationsoftheEmployershallprevail.48. 乙方向甲方声明和保证,乙方有权合法地签署及履
34、行本合同并受本合同约束,不存在可能构成妨碍甲方签署和履行本合同的法律障碍:乙方签署和履行本合同,不违反乙方与任何第三方签订的协议、合同或其他法律文件的约定。TheEmployeeconfirmstotheEmployerthattheEmployeehastherighttosignandperformthisContractandbeboundbythecontractlegally;therearenolegalimpedimentsfortheEmployeetosignorcomplywiththisContract.Signingand/orimplementingthisContr
35、actwillnotviolateanyothercontractsoragreementssignedbytheEmployeewithathirdparty.49. 签署本合同时,乙方已阅读并同意遵守本合同、本合同附件、甲方员工手册及其它规章制度的所有条款和规定。TheEmployeeagreestocomplywithalltheitemsandconditionsofthisContract,AppendixesofthisContract,theStaffHandbookandotherrulesandregulationsoftheCompanyattheexecutionofth
36、isContract.50. 本合同以中英文签署,一式两份,甲乙双方各执一份。两种语言具有同等法律效力。如两种语言文本存在分歧,则应以中文文本为准。ThisContractiswrittenintheEnglishandChineselanguagesandismadeintwooriginals,oneforeachparty.Twoversionshavethesamelegaleffect.Intheeventofanyconflictorinconsistencybetweenthetwolanguageversions,theChineseversionshallprevail.51

42、租赁房屋),并确认住宿有关的任何费用,包括但不限于租金、保证金、税费、中介费、管理费(如有)、有线电视和网络安装费及使用费、电费、水费、燃气费等公共事业费用及停车费、电话费以及其他费用、维修费、因损坏导致的赔偿费用或因延迟支付保证金、租金导致的迁约金,均由乙方自行承担。甲方可能在乙方自行安排住宿过程中提供必要的协助,但乙方因住宿产生的任何问题,包括但不限于与房东因任何问题产生纠纷、邻里纠纷、事故或损害,均与甲方无关,由乙方与房东和/或相关方自行解决。甲方在任何情况下均不承担前述问题产生的任何责任。PartyBagreestomakenecessaryarrangementforhis/hero

44、cludingelectricity,water,gasetc.andparkingcharges,telephonechargesandothercharges,maintenancecosts,compensationforpropertydamage,liquidateddamagescausedbylatepaymentofthesecuritydepositandrent.PartyAmayprovidenecessaryassistanceintheprocessofPartyBarranginghis/herownaccommodation,butifanydisputesreg
45、ardingtotheleasedpropertyarise,includingbutnotlimitedtothedisputeswiththelandlordforanyreason,neighborhooddisputes,anyaccidentsordamages,itshallberesolvedamongPartyBandthelandlordortherelevantindividualsorentitiesthemselvesandPartyAshallnotinanycircumstancesbeinvolvedinthedisputesorbearanyliabilitie
46、s.4.2甲方在乙方作为雇员期间将会以下形式(由甲方全权决定)向乙方提供住宿:(i)预先安排的住宿如宿舍;或(ii)住房津贴。如果甲方选择了后者,甲方将根据乙方、其配偶和受供养子女情况每月向乙方支付住房津贴。“乙方配偶”、“受供养子女”指与乙方同住且无收入之人士。住房津贴金额由甲方考虑了所有相关因素之后全权决定。乙方在签订租赁协议之前应获得甲方书面确认甲方同意提供予乙方的住房津贴之金额。PartyAshallprovideaccommodationtoPartyBduringhisorhertenurewiththecompanyintheformof(i)pre-arrangeaccommo

50、oPartyA.5. 医疗保障Medical乙方及与其迁居到公司所在城市的受供养者将获甲方提供门诊和住院医保计划保障。此计划由甲方不时全权酌情决定采纳。TheEmployeeanddependentsthatrelocatetothecitywherethecompanyislocatedwiththeEmployeewillbecoveredbytheEmployer'smedicalinsuranceschemeforbothout-patientandin-patientmedicaltreatmentThisschememaybeadaptedbythecompanyatits

53、Contractisafixedterm/non-fixedtermLabourContract:固定期限劳动合同,期限为年月日(“起始日”)起至年月日止。ThisContractshallcommenceonto2.2.试用期为【】个月或甲方酌情全权决定延长的时期。试用期若被延长,甲方将及时通知乙方。一方在试用期内提前七口通知另一方,可以解除劳动合同。TheEmployee's除受雇期开始时,乙方已在公司所在城市居住的,在受雇期开始时,甲方将安排乙方飞往公司所在城市的经济舱机票。如双方实际履行本合同满年的,在受雇期结束时,乙方亦可获从公司所在城市飞回与其永久居住地最接近的国际机场的经
54、济舱机票。ExceptfromthesituationthatPartyBislivingatthecitywherethecompanyislocatedatthebeginningoftheemploymentperiod,aneconomicflighttothecitywherethecompanyislocatedwillbearrangedbytheEmployeratthebeginningoftheemploymentperiod.Attheendoftheemploymentperiodaneconomicflightwillbeprovidedfromthecitywher
