Buyer shall provide assista nceif n ecessary5. 產品檢驗（INSPECTION）産品檢驗地點由採購方確定（在供應方工廠的合理區域或其他採購方指定之地點）。產品只有經過檢驗合格方能交付給採購方。產品檢驗標准由採購方制定，經供應方確認後執行。若産品經檢驗不合格，則採購方可要求供應方換貨或由採購方自行重工返修，由此産生的相 關費用或責任（含逾期交貨責任）由供應方承擔。產品檢驗合格或特別批準出貨並不能免除供應方的產品保

8、證責任。因供應方交貨產品品質不良導致採購方客戶索賠費用及直接費用（運費,重工費,包裝費等）由供應方負全責.6. 交貨（DELIVERY）供應方應嚴格按照約定的交貨日期、交貨地點及方式交付貨物。採購方收到供應方交付的各 方面均完全符合要求的産品的日期爲實際交貨日期。採購方對交貨日期有特殊規定（如 CTC客戶的產品以貨櫃送到碼頭後倉庫開具的書面資料顯示的開閘日期為交貨日期）的，以該特 殊規定的日期為交貨日期。Seller agrees to ship products to the Buyer ' sdesignated place of delivery in time with the

12、包裝要求，採購方未在規定時間內提供的。7.貨款結算與支付（PAYMENT）貨款采用T/T電匯方式，採購方有權通知供應方將供應方應支付採購方的退貨金、違約金、 損害賠償金、扣款、重工返修費用及其他費用從採購方應支付的貨款中進行相應扣除。採購方應於當批訂單產品出貨後14個工作日內根據供應方提供In voice金額將貨款支付給供 應方.採購方延遲付款 的，每遲延一日應支付供應方遲延貨款千分之5的違約金。8. 免除責任保障（PRODUCT LIABILITY）在不影響採購方其他權利的前提下，無論本合同其他條款作何規定，對於任何和所有由於產 品質量或權利缺陷而産生的或與之有關的控告、訴訟、行政處罰、成本

13、和支出，包括但不限 於，律師費、訴訟費、債務、損害以及與個人傷害或死亡有關的各種權利請求或權利要求， 供應方應承擔責任，並同意給予採購方賠償，並使採購方免受該等事宜的損害。採購方給予必要的協助。9. 知識產權及商業秘密保護（INTELLECTUAL PROPERTY AND CONFIDENTIALITY）採購方所提供之造型，結構,圖面,模具，供應方未經採購方書面同意，不得生產制造或提供給 第三方.供應方要嚴守商業秘密，採購方所提供之本質上屬於機密的資訊，包括但不僅 限於， 產品,單價信息，技術資料等未經採購方書面同意，均不得复製留存或泄漏於第三方，如違反,供應方應向採購方支付 拾萬 元（人民

14、幣）違約金/單次,並賠償需方因此所遭受的全部損失。10. 商業和社會道德規范 COMMERCIAL ETHIC CODE AND SOCIAL BENEFIT ）供應方必須遵守採購方的商業道德規范政策，不得向採購方公司的任何人員提供任何金錢或 以其他各種形式提供與金錢有關的各種禮物，禮品和服務等利益。如有違反，供應方要一次 性支付違約金伍萬元人民幣，且採購方可隨時終止本協議。供應方必須遵守制造地的所有勞動法律法規，不得使用法律禁用之人員。供應方必須遵守制造地的所有關於環境保護的法律規范。供應方同意接受採購方對供應方執行上述條款之情形不定期進行稽核。11. 其他約定事項（OTHERS ）供應方對

15、採購方所派的驗貨人員在供應方廠區內的財產和人身安全負有保障責任。供應方承 諾對採購方驗貨人員在供應方之財產損失和人身損害承擔完全賠償責任。並採購方有權決定 是否終止雙方的業務關系。供應方應免費提供出貨量2%勺零件（包括但不限於，拉手,合頁，螺絲,抽屜滑杆等小零件）作為 採購方之客戶售後服務使用，如有超出則採購方需下訂單購買，供應方應以成本價供應採購方負責第三方公司的首次樣品測試，驗廠及驗貨之費用，但因供應方產品品質不良、工 廠自身問題、運輸問題未能通過檢驗，需補驗之費用由供應方承擔（採購方有義務於檢驗前 提供相關之要求及規範）12. 合同的有效期及終止 （TERM AND TERMINATIO
