The EMPLOYEE will have t

If n ecessary due to the man ageme nt orga ni sati on of theCOMPANY and or the com pete nee and abilities of theEMPLOYEE the COMPANY may adjust the positio n, duties and respon sibilities of theEMPLOY EE.若由于本公司管理编制的需要及/或由于该员工本人资格与能力的原 因,本公司可在必要的情况下对该员工的职务和工作职责

6、进行适当 调整。ARTICLE 2: TRIAL P ERIOD第二条:试用期2.1The trial p eriod will start on the date of sig nature of thisCONTRACT. The duration of the trial p eriod is three (3)实用标准mon ths. Duri ng the trial period the EMPLOYEE will be bound by all articles of thiscon tract.试用期自本合同签署之日起开始,时间为三个月。在试用期间,该 员工受本合同全部条款所约

7、束。2.2After the sp ecified trial p eriod and if no no tice of term in ati on is give n theEMPLOYEE automatically becomes empio yed un der the terms and con ditio ns of thisCONTRACT.在约定的试用期内,若该员工没有收到关于解除劳动关系的通知, 在试用期满后,该员工自动转为本公司正式员工,执行本合同规定 的条款。ARTICLE 3: DURATION OF THE CONTRACT第三条:合同期限3.1The durati

8、 on of this CONTRACT is twenty-four(27)本合同期限为27个月。3.2This CONTRACT maybe exte nded upon agreeme nt of bothP ARTIES. An exte nsion to this CONTRACT shall come into force only after a written agreeme nt has bee n sig ned by bothP ARTIES.本合同经合同双方同意后可以续签。只有在合同双方签署书面协议 后,续签的合同方能生效。ARTICLE 4: SALAR Y第四条:工

9、资4.1 The COMPANY shall define its own salary p olicy in accorda nee with regulati ons st ipulated by the state and municipal governme nt. 10、华人民共和国和北京市有关政策法规制定本公司的员 工工资标准。本公司保证该员工的月工资将不低于当地政府规定的最 低工资。4.2The EMPLOYEE will receive a grossVmonthly or口annualsalary of 3,000.00 renminbi (RMB3,000.00) and in crease thereafter the basis of the staffp erforma nee, the econo micdevel opment of the COMPANY and accord ing to the salaryp olicy of the

11、 COMPANY app roved by the Board of Directors of the COMPANY, and etc.该员工税前工资将为V每月或口每年叁仟元人民币,今后将按照该员 工的工作表现、本公司的经济效益以及由本公司制定并经董事会批准 的工资标准每年递增。4.3Such salary shall be tran sferred to the bank acco unt desig nated by the EMPLOYEE betweenthe third and fifth day of each mon th.上述工资将于每月3号至5号期间汇入该员工所指定的银行账

12、户。ARTICLE 5: P REMIUM & BONUS第五条:奖金及分红5.1At the full discretio n of the Chairma n and based upon his/her gen eral attitude andthe result of his/her work and fulfilme nt of his/her objectives detailed with his/herman ager and at the beg inning of each cale ndar year the EMPLOYEE will be en titledto a

13、n annual bonus not exceedi ng one (1) month of salary and shall be paid to the EMPLOYEEfor each fullcale ndar year which the EMPLOYEE works for the COMPANYin two (2) in stalme nts the followi ng year.经本公司董事长同意,并且根据该员工的工作态度、工作成果及其 上级主管规定之工作目标的完成状况,该员工将有权在每个公历年 初享受年终奖金(奖金总额不超过该员工的月工资)。员工为公司 工作满一年时,奖金将

14、于次年分两次发放给个人。实用标准文档ARTICLE 6: P ERSONAL INCOME TAX第六条:个人所得税6.1The EMPLOYEE shall pay in dividual in come tax in accorda neewith the releva nt laws and regulati ons of the PeopleRe public of Chi na. The COMPANY shall withhold such amount and pay it to the comp etent tax bureau.该员工须按照中华人民共和国相关法律法规缴纳个人所

15、得税。本公 司将为该员工代扣代徼个人所得税,并将应纳税款上交相应税务机 关。ARTICLE 7: TRAINING第七条:培训7.1 The COMPANY will establish an EMPLOYEE tra ining system and pro vide n ecessary tra iningto the EMPLOYEE in accorda nee with the releva nt laws and regulati ons of the Peoples Republic of China and as the COMPANY needs.本公司将依照中华人民共和国有

16、关法律法规及公司需求,为该员工 设计一套培训体系,向该员工提供必要的培训。实用标准文档ARTICLE 8: WORKING HOURS第八条:工作时间The COMPANY will imp leme nt worki ng hour system of forty mi nim um(40) hours per weekin accorda nee with the releva nt laws and regulati ons exclusive of lunch time.本公司依照相关法律法规实行每周40小时工作制(每周工作时间不 得少于40小时),不包括午餐时间。The worki

17、ng hours are from Mon day to Friday from 9:00AM to 6:0 0PM with a one (1) hourfor lunch that may vary in time so as to have at least one staff member in the office duringlunch time.工作时间从周一至周五,每天上午9点至下午6点,午餐时间为一 个小时。午餐时间将根据具体情况进行安排以确保届时至少有一名 员工留守办公室。Subject to the op eration needs the COMPANY may ado

18、 pt irregular worki ng hour system orcalculate the work ing hours on syn thetic basis.根据实际工作需要,本公司可能采用不规则时间工作制或依照综合 标准计算工作时间。The COMPANY may exte nd the worki ng hours of the EMPLOYEE after con sultation with theEMPLOYEE accordi ng to the releva nt laws and regulati ons.依照有关法律法规,与该员工进行协商后,本公司可以延长该员工

19、 的工作时间。The COMPANY pays the EMPLOYEE 300 perce nt of the salary, based on an hourly amountaccord ing to Article 4, hereto for work ing duri ng official p ublic holidays.8.18.28.3实用标准文档若需要员工在法定节假日加班,公司将根据本合同第4条中所列工 资标准计算出该员工的每小时工资,并按照每小时工资标准的3倍 支付加班工资。8.4Notwithstanding what provided hereof the COMPA

20、NY shall extend the working hoursregardless of Article 8.1 and Article8.3in any of the following cases:若出现下列情况,无论是否符合本合同第8.1条和第8.3条中的规 定,本公司均可延长工作时间:a. Immediate action which must be carried out in case ofnatural disasters, accidents or other events that will endanger the EMPLOYEEslife, health, prop

21、erty, or safety;由于发生自然灾害、事故或其它危及该员工生命、健康、财产及 安全的事件,必须采取紧急措施;Urgent repair which must be carried out in case of breaking down of operation equipment,communication, transportation and other facilities which will endanger COMPANY business orpublic interest;由于运营设备、通讯设备、运输设备及其它设备发生故障,危害 到本公司的业务或公共利益,必须进行

22、紧急维修;Continuous of the operation or business of the COMPANY which shall not be interruptedon stipulated holidays and rest days.由于无法因为法定休假和双休日而中断本公司持续开展的经营运 作或业务;Overhaul and maintenance of the equipment which shall only be made on stipulatedholidays and rest days; and只能在法定休假和双休日进行的设备检修与维护;Emergency

24、si ons of any releva nt collective labour con tract.除本合同所规定之条款外,该员工还须遵守中华人民共和国相关法 律法规、本公司制定的规章制度,以及其它劳动合同方面的相关规 定。The EMPLOYEE must resp ect and execute any and all formalin structi ons give n to him/her regard ing the duties and respon sibilities of his/hertasks of work.该员工须遵守并执行一切与其工作职责有关的正式指令。In

25、cases of an offen ce, gross misc on duct, and or any violati on of labour disci plinethe COMPANY will normally carry out the followi ng p rocedure:若该员工出现过错、严重过失及/或其它违反劳动纪律的行为,本公 司一般依照以下程序对该员工进行处罚:1-Oral war ning口头警告2-First written warning第一次书面警告3-Final written warning第二次书面警告4-Dismissal开除However the

26、COMPANY reserves the right to omit any of these stages as the case may be.然而,本公司有权根据实际情况对上述某些步骤进行调整。The EMPLOYEE has the right to app eal aga inst writte n warnings or dismissal to the LabourDispute Committee if any.该员工有权针对其受到的书面警告或开除决定向劳动争议委员会提 出申诉(如需)。9.19.29.39.49.5实用标准文档ARTICLE 10: SICKNESS & IN

27、JUR Y LEAVE第十条:病假及伤假The EMPLOYEE will be en titled to sick ness and injury leaves in accorda nee with the relevant laws and regulati ons.该员工有权根据相关法律法规享受病假及伤假。The EMPLOYEE applying for sick ness or injury leave shall fill in aleave app lication formand get appro val from his/her man ager. Leave for m

28、ore tha n two (2) daysshall be appro ved by the Chief Executive Officer of the COMPANY and submitted to theOffice Man ager, Huma n Resources Man ager or their Man ager for verificati on and filing before going for leave.申请病假或伤假时,该员工应填写“休假申请表”,并必须得到其 上级主管的准许。若该员工的休假超过两(2)天,则需经本公司首席 执行官允许,且应在休假前将“休假申请

29、表”提交至行政经理、人 力资源部经理或直属上级经理以供审核及存档。In case of any sudde n sick ness or injury the EMPLOYEE shall inform his/her man agerno later tha n the end of the first day.A writte n con firmati on shall be submitted to the OfficeMan ager and Huma n Resources Man ager for verificati on and fili ng within two (2)d

30、ays after he or she comes back to work.若该员工突发疾病或受伤,需在当天结束前通知其上级经理,并在 返回岗位后的两(2)个工作日内将书面说明提交行政经理及人力资源 部经理以供审核及存档。If the EMPLOYEE is abse nt for more than one (1) week he/she must en sure that the ChiefExecutive Officer are kept in formed of the p rogress at weekly in tervals.10.110.210.3实用标准文档若该员工的病假

31、超过一周,该员工必须每周向首席执行官报告其病 情状况。10.4The EMPLOYEE taking sickness or injury leaves for more than one (1) day must pro videa medical certificate issued by a qualified doctor. Failure or refusal to pro vide thecertificate or pro vidi ng false or in accurate in formatio n will be deemed as a grossmisc on duc

32、t.若该员工休病假或伤假超过一天,必须提供由专业医师出具的病假 条。若该员工无法或拒绝提供病假条或提供虚假信息,将被视为严 重过失。ARTICLE 11: LABOUR SAFET Y & HY GIENE第十一条:劳动安全及劳动卫生保障The COMPANY will establish a sou nd labour safety and hygie ne facilities and shall strictlyimp leme nt rules and sta ndards of labour safety and hygie ne of the People Rep ublicof

33、Chi na, con duct labour safety and hygie ne educatio n, p reve nt accide nts and reduceocc up ati onal hazards.本公司将建立一套合理的劳动安全卫生保护措施,严格落实中华人 民共和国劳动安全卫生制度和标准, 开展劳动安全卫生教育, 防止 事故发生, 减少职业病危害。The COMPANY shall p rovide the EMPLOYEE with labour safety and hygie ne con diti onsand n ecessary articles in co

34、n formity with the releva nt laws and regulati ons.本公司将依照有关法律法规为该员工提供劳动安全卫生条件以及必 要的设备。11.111.2实用标准文档11.3The EMPLOYEE shall have the right to refuse to carry out anydan gerous op eratio n forced upon him/her by man ageme nt personnel in violati on ofthe releva nt regulati ons.若该员工的上级主管违反相关法律法规,要求其从事危

35、险性工作, 该员工有权拒绝。ARTICLE 12: SOCIAL INSURANCES第十二条:社会保险12.1The COMPANY must join social in sura nee schemes for theEMPLOYEE in accorda nee with the releva nt laws andregulations of the Peoples Republic of China and shall payon time social in sura nee prem iums to the social in sura nee in stitutio ns a

36、ccording to the sta ndards set by the local authorities.本公司严格遵守中华人民共和国有关法律法规为该员工缴纳社会保 险,并且依照当地政府部门制定的标准将保险费按时、全额支付给 社会保险机构。ARTICLE 13: HOLIDA YS第十三条:休假The EMPLOYEE enjoys statutory holidays for official p ublic holidays, wedd ing, and funerals in line with the releva nt laws and regulations of the P

37、eoples Republic of China.该员工依照中华人民共和国有关法律法规享受法定休假,包括法定 节假日、婚假、丧假、产假。The EMPLOYEE is en titled yearly (for a full year worked) to a p aid annual vacatio nof ten (10) work ing days exclusive of thestatutory holidays.13.113.2实用标准文档该员工在本公司工作满一年后有权享受每年十个工作日的带薪年假,不含法定节假日。The holidays referenee period is f

38、rom the first day of January to the thirty firstday of December. Holidays accrued duri ng one p eriod have to be take n on the following holiday p eriod. For the first year of employment, holidays will be accrued at prorata temp oris.每年1月1日至12月31日作为一个休假年度,当年未休的假期只 可累积到次年使用。在本公司工作未满一年的新员工可在次年享受 年假,具体

39、的年假天数按照其实际工作时间计算。13.3After the EMPLOYEE completes five (5) years of continuous work for the COMPANY theEMPLOYEE is en titled yearly (for a full year worked) to one (1) further worki ng dayof p aid annual vacati on for each full year which the EMPLOYEE works for COMPANY, butthe paid ann ual vacation

40、shall not exceed twe nty (20) worki ng days in the aggregate.该员工在本公司任职满五年后,在本公司每工作满一年,每年可以 增加一个工作日的带薪年假,但每年带薪年假累积最多不超过二十 个工作日。13.4All leave must be taken at times agreed with the ChiefExecutive Officer of the COMPANY ten days in adva nee.所有休假必须提前10天向本公司申请并获得首席执行官的同意。ARTICLE 14: EXCLUSIVITY & NON-CO

41、MP ETITION第十四条:唯一性及非竞争协定14.1The EMPLOYEE must devote in full all his/her worki ng time to the COMPANY.该员工在本公司工作期间必须勤奋敬业。实用标准文档It is strictly forbidden for the EMPLOYEE to have any other pro fessi onal activity forhimself/herself or and relatives or and third p arties eve n free of charge.严格禁止该员工在本公司

42、任职期间为其自身及/或亲属及/或第三方提供任何有偿或无偿专业劳动。The EMPLOYEE un dertakes n ot to exercise directly or in directly on behalf of any competitor to the COMPANY eve n as free of charge or for himself/herself any activity whichmay comp ete with the bus in ess of the COMPANY for one (1) year after the term in ationof th

43、e prese nt CONTRACT. This Article14.3is n ot app licable if term in ation of the CONTRACT is due to COMPANY for otherreas ons tha n the ones covered by Article 14 and Article 15.该员工与本公司解除本合同后一年内不得直接或间接地代表本公司 的任何竞争对手从事任何可能伤及本公司利益的有偿或无偿活动。 若由于其它原因而非本合同第14条和第15条解除本合同的,不适 用本合同第14.3条。The EMPLOYEE shall p

44、ay the COMPANY an amou nt ofRMB10,000 to RMB100,000 as a pen alty clause if he/she doesn ot com ply with Article 14.1., Article 14.2., and Article 14.3. hereto. This amountdoes not in clude the p ossible actualdamages which may be claimed by the COMPANY.若该员工违反本合同第14.1条、第14.2条及第14.3条的规定,其 必须向本公司支付1万-

45、10万人民币作为赔偿。该笔赔偿不包括本 公司对可能造成的实际损害进行索赔的金额。ARTICLE 15: CONFIDENTIALITY第十五条:保密协定14.214.314.4实用标准文档The EMPLOYEE shall keep strictly secret and con fide ntial andnot to disclose to any third P ARTY any and all tech ni cal, econo mic, finan cial, client or marketi ng in formati on acquired from the COMPANY

46、 and or obta in ed because of his/heractivities in the COMPANY.该员工须严守公司机密,不得向任何第三方透露自本公司处获得的 及/或由于该员工在本公司任职而获得的任何技术、经济、财务、客 户或市场信息。The EMPLOYEE shall not use any such in formati on for any purpose whatsoever exce pt within and for the tasks, duties, and respon sibilities provided in this CONTRACT.该员

47、工亦不得将上述信息用于本合同规定之工作职责以外的一切活The EMPLOYEE agrees that any disclosure or non authorised use of such in formatio nshall be con sidered as a serious misc on duct exce pt in the case whereby the EMPLOYEEhas received a p rior writte n p ermissi on from the COMPANY man ageme nt.该员工认同,除非该员工已事先收到本公司管理部门发出的书面许

48、 可,否则,泄露上述信息或在未被授权的情况下使用上述信息将被 视为严重过失行为。The EMPLOYEE shall co mply with his/her confiden tiality obligati ons pu rsua nt tothis Article 15 for the whole term of this CONTRACT and durati on of five (5) yearsafter the term in ation of the CONTRACT.该员工在本公司任职期间以及在本合同解除后五(5)年内应当按照本合同第15条的规定遵守保密协议。The EMP

49、LOYEE shall pay the COMPANY an amou nt ofRMB10,000 to RMB100,000as a pen alty if he/she does notcom ply with his/her con fide ntiality obligati ons pu rsua nt tothis Article 15. This amount does n ot in elude the p ossibleactual damages which may be claimed by the COMPANY.15.1动。15.215.315.4实用标准文档若该员

50、工违反本合同第15条的规定,没有尽到其应尽的保密义务, 则该员工必须向本公司支付1万-10万人民币作为赔偿。该笔赔偿 不包括本公司对可能造成的实际损害进行索赔的金额。ARTICLE 16: RES PO NSIBILITIES OF THE P ARTIES第十六条:双方职责16.1Either of the P ARTIES shall p erform its respon sibilities underthis CONTRACT strictly in accorda nee with the pro visi on hereof.合同任何一方都应按照本合同所规定的条款严格履行各自职责

51、。16.2Either of the PARTIES should bear responsibilities forcompen sati on if it violates this CONTRACT, i nfrin ges upon the in terests of theother P ART Y and causes damages to the otherP ART Y.若合同任何一方违反本合同以及损害本合同另一方的利益并给本合 同另一方造成损害,该方承担违约责任。ARTICLE 17: TERMINATION OF THE CONTRACT第十七条:合同终止17.1Eithe

52、r of the P ARTIES shall be en titled to termi nate thisCONTRACT for reas ons exp ressly pro vided by the releva nt laws and regulationsof the Peoples Republic of China. Such termi nation of this CONTRACT shall comply with thep roceedi ngs pro vided by the releva nt laws and regulati ons.实用标准文档合同任何一方

53、均有权依照中华人民共和国相关法律法规终止履行本合同。本合同的终止须遵照有关法律法规操作进行。Furthermore the COMPANY may terminate the CONTRACT for any one of the following reasons:此外,在下列情况下,本公司可随时解除本合同:a.The EMPLOYEE has a conflictbetween personal interest and the interest of the COMPANY in dealing with supplier,customers, and individuals of ot

54、her organisations doing or seeking to do business withthe COMPANY.该员工在与本公司的供货商、客户及其它机构的人员开展业务或 收集业务信息期间发生其个人与本公司利益上的冲突。b.The EMPLOYEE has asked for or received any advantage or benefits either in monetaryor non monetary term of any kind form persons or organisations having businessactivities directl

55、y or indirectly with the COMPANY.该员工向与本公司有直接或间接业务往来的任何个人或机构索取 或收受任何货币或非货币形式的财物或好处。c. The EMPLOYEE fails to perform his/her responsibilities under Articles 14 and Article15 of this CONTRACT.该员工违反本合同第14条和第15条的规定。d.The EMPLOYEE left from his/her work for more than five (5) working days without priorcon

56、sent from the ChiefExecutive Officer except in the case of force majeure which prevent the EMPLOYEE frominforming the Chief Executive Officer.该员工事先未经首席执行官准许擅自离岗超过五个工作日,若因 不可抗力导致该员工无法通知首席执行官除外。The EMPLOYEE may also hand over a written notice of his/her resignation for personalreasons 30 days ahead. 57、f the EMPLOYEE does not provide the COMPANY with one17.217.3实用标准文档months notice, he/she should pay to the COMPANY onecalendar month of salary and allowance mentioned in Article4 as the compensation.若由于其个人原因,该员工可提前三十天以书面形式提出辞职。若 该员工没有提前三十天向公司递交辞呈,该员工将向公司支付依本合同第4条所规定的一个月的月工资及补助作为补偿金。The COMPANY shall

58、pay to the EMPLOYEE any compensation pursuant to relevant laws andregulations of the PeopleRepublic of China in case of termination of this CONTRACT unless otherwise provided bythe laws or resulting from the occurrence of the termination events agreed by PARTIEShereof or resignation of the EMPLOYEE

59、for personal reasons. The maximum amount ofcompensation by the COMPANY will not exceed one calendar month of salary and allowancementioned in Article 4若本合同解除,本公司将遵照中华人民共和国有关法律法规向该员 工支付补偿金,该补偿金总数不超过本合同第4条所规定的一个月 的月工资与补助总额。合同双方依法另行约定解除本合同或者该员 工出于个人原因提出辞职的除外。In case of termination of this CONTRACT due to fault of theEMPLOYEE or resignation of the EMPLOYEE for personalreasons:若因该员工的过失或该员工出于个人原因解除本合同,则:a. COMPANY need not pay to the EMPLOYEE the yearly bonus provided in Article 5 hereto;and本公司无须向该员工支付本合同第5条规定的年终奖金;b. The EMPLOYEE shall refund to the COMPANY all the
