15、r;P*ro*ductsasmanufacturewditthhemanufacturinpgrocessesandtechnologiesprovidedbyPartyAtoPartyCandPartyDisalsoinconformitywithapplicablequalitystandardsprescribedbyrelatedcompetentauthoritiesofthePeoplesRepublicofChinaregardingskin-careproductsorcosmetics.第三条*产*品*的生产Manufactureof*Products、丙方和丁方保证：无论何

16、时、且无论本合同是否有效。（1）在未接1、以下品牌的各类*产*品*由甲方直接生产，并提供给乙方进行销到乙方的书面订单的前提下，丙方和/或丁方不生产任何的*产*品*；（2）丙方和/或丁方依据乙方书面订单生产的所有*产*品*只*能依据乙方书面订单所载的要求销售给乙方，不得自得销售或提供给任何第三方销售；4、乙方保证：作为*产*品*在中国境内的销售商，其进货渠道仅限于依据本合同约定的渠道（即依据本合同约定分别向甲方、丙方或丁购入相应品牌的*产*品*后销售），乙方不得向非本合同当事方购入来自于任何渠道的*产*品，*但本合同另有约定的除外。anduntilotherwiseprovidedherein.

17、第四条产品的质量和包装QualityandPackageofProducts1、甲方、丙方和丁方提供的*产*品*的质量均应符合中华人民共和国官方规定的关于护肤品或化妆品的质量标准；Thequalityofsuch*ProductsasprovidedbyPartyAPartyCaswellasPartyDhereundershallbeinlinewithapplicablequalitystandardsregardingappropriateskin-carperoductsorcosmeticsthatmaybeprescribedbyrelatedcompetentauthoritie

18、softhePeoplesRepublicofChina.2、甲方、丙方和丁方提供的*产*品*的包装应能保证产品的质量、无任何的破损，并且适合邮寄、运输、储存的等物流环节；Thepackageofsuch*ProductsasprovidedbyPartyPartyCaswellasPartyDhereundershallbeappropriatetoensurethequalityofproducts,preventthedeliveredproductsfromanypossibledamage,aswellastologisticsordistributionsuchasdelivery

19、bypost,transportandstorage,etc;3、*产*品的*包装随货出售。3hepackagoef*Pr*od*uctswillbesoldtogetherwithsuch*Productsthatmaybesoldtocustomers.第五条交货方式TermsofDelivery、甲方、丙方和丁方应收到乙方的书面订单后内内回复乙方，在得到乙方确认后的_日_内_发货；、交货时间和交货地点：乙方在订单中指定的时间和地点；、运输方式：在保证产品质、安全、无瑕疵和交货时间前提下的任何方式；、费用和风险的承担：费用由发货方负担：在货物验收通过前，货物毁损灭失的风险由发货方负担。第六

20、条验收方法乙方收货后，应在收货到后的当日及次日（次日为假期的，验收日顺延至假期最后一天的次日）依据本合同各方共同确认的验收标准对货物进行验收。乙方在验收过程中有异议的，应及时通知发货方并妥善安排退货、调换等手续。第七条付款、付款时间：乙方在货物验收合格后的P内付款；、付款方式：，以人民币结算。paidbywayofinRMB.第八条知识产权和商业秘密Article8IntellectualPropertyRightsandTradeSecrets1、本合同涉及的*产*品的*所有品牌的商标权均归甲方所有，甲方授权乙方在宣传、销售*产品*时*可使用上述商标以及甲方的名称，授权丙方的丁方在生产*产*

23、riting,maynotusebeyondtheirrespectiveconferredauthority(ultvraires)norshallpermitanythirdpartytousethesaidtrademarksorPartyAsname,asappropriate,foranyreasonwhatsoeverandbyanymanner.2、甲方依据本合同向乙方、丙方和丁方提供的所有涉及*产*品*制造的工艺、技术、流程等资料均属甲方所有，乙方、丙方和丁方应对上述秘密承担保密义务，不得向非本合同当事泄漏。第九条违约责任、乙方违反本合同第一条、第二条第4款、第三条第4款约定的，甲方可解除本合同，取消对乙方的授权，并要求乙方支付人民币元的违约金，但甲方事后追认的除外。2、甲方违反本合同第二条
