6、rationoftherelevantL/C.装运前电汇。ByT/Tbeforeshipment见票付款交单。ByD/Patsight9装船条件（TermsofShipment）:_10商品查验及索赔（InspectionandClaim）:10.1两方同意，货物的质量及数目或重量以国家进出境查验检疫局或生产者考证为准。假如买方对所运货物质量有异议时，可以在货到目的港30天内向卖方提出索赔。假如买方对所运货物数目或重量有异议时，可以在货到目的港15天内向卖方提出索赔。买方向卖方索赔时，应供给卖方同意的查验机构出具的查验报告。卖方关于因为自然原由或属于保险企业、船企业、其余运输机构或邮局责任造成

8、rarrivalofthegoodsattheportofdestination,lodgeagainstTheSelleraclaim.Incaseofaquantity/weightdiscrepancy,TheBuyershall,within15daysafterarrivalofthegoodsattheportofthedestination,lodgeagainstTheSelleraclaim.Theclaim(s)shouldbesupportedbyInspectionCertificateissuedbyapublicsurveyorapprovedbyTheSeller

9、.ItisunderstoodthatTheSellershallnotbeliableforanydiscrepancyofthegoodsshippedduetonaturalcauses,orcausesfallingwithintheresponsibilitiesoftheinsurancecompany,shippingcompany,othertransportationorganizationorpostoffice.10.2买方有义务依据需要获得入口同意证，并安排开立信誉证并/或按合同要求付款。假如买方不可以在合同规按限时内将信誉证开到卖方或按合同规定付款或开来的信誉证不符合

10、合同规定，而在接到卖方通知后10天内仍不可以实时办好修正，则卖方有权撤掉合同或缓期交货，并有权提出索赔。TheBuyershallundertaketotakethenecessarystepstoobtainimportlicenseifrequiredandtoarrangetheopeningofL/Cand/oreffectremittancesasrequiredinthiscontract.IncasetheLetterofCreditortheremittancesdosenotreachTheSellerwithinthetimestipulatedinthiscontract

12、rcompensation.11不可以抗力（ForceMajeure）:11.1合同任何一方因不可以抗力事件不可以执行合同的全部或部分义务时，不担当当何责任。Non-performancebyapartyisexcusedifthatpartyprovesthatthenon-performancewasdueto“ForceMajeure”11.2本合同所称不可以抗力事件是指合同两方在订立合同时不可以预示、对其发生和结果不可以防范其实不可以战胜的事件，如战争、火灾、地震、政策变化等。“ForceMajeure”inthiscontractreferstoanimpedimentbeyondc

13、ontrolandthatitcouldnotreasonablybeexpectedtohavetakentheimpedimentintoaccountatthetimeoftheconclusionofthecontractortohaveavoidedorovercomeitoritsconsequences.Suchimpedimentincludeswar,fire,earthquakeandgovernmentalorderorregulation,etc.11.3遇到不可以抗力的一方必然在事故发生时立刻电告另一方并在事故发生后天内将事故发生地有关机构出具的事故证明书用航空邮寄另

14、一方为证。ThepartywhofailstoperformmustnotifytheotherpartybycablewithintheshortestpossibletimeoftheoccurrenceoftheForceMajeureandwithin15daysthereinsendbyregisteredairmailtotheotherpartyaCertificateasevidenceissuedbytherelevantauthoritiesoftheplacewheretheaccidentoccursforconfirmationbytheotherparty.12仲裁

15、（Arbitration）:全部因本合同而发生的或与本合同有关的争议均应提交北京中国国际经济贸易仲裁委员会，并依据该会的仲裁规则进行仲裁，该仲裁的判决为终局判决，对两方均有拘束力。本合同全部争议的解决依据中国法”AnydisputearisingfromorinconnectionwiththisContractshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommissioninBeijingforarbitrationwhichshallbeconductedinaccordancewiththeCommiss

16、ionsarbitrationrulesineffectatthetimeofapplyingforarbitration.Thearbitralawardisfinalandbindinguponbothparties.AlldisputesofthecontractshouldbesolvedaccordingtoChineselaw.13其余（Miscellaneous）:（备选条款forchoice）假如由买方供给商标和包装设计方案，买方应在装船期前60天将经确认的设计样本及其余有关资料的最后确认以快件寄送卖方。如发生违犯有关专利、商标法律的状况，由买方担当责任。Ifthetradem
