Mazut100-75，QuantityFiftythousandtonspermonthx10主题:俄罗斯产重质燃料油（Mazut100-75）,數量5萬公噸/每月x10Weagreetothisnon-circumventionandnon-disclosureagreement.(BasedonICCpublicationlatestParisEdition)我们同意遵守此保密与不跨越合约，此合约根据ICC出版最新巴黎版本作成。Weagreethatallinformation,includingcontacts,names,programs,introductiontoindividuals,companies,programs,andallotherindividualsorentitiesandallcontracts,procedures,forms,lettersandailothercommunicationsbetweenusbelongtothepersonorcompanyprovidingit,andcannotbedisclosedtootherswithoutpriorconsentoftheprovider.Thisagreementbindsanypersonorentitywhicheitherpartyisamemberof,principaloragentfor,associatedwith,employeeof,assignee,consultant,heir, successor, client, contractor, supplier, or which could benefit financially frompresentand,future,businessand/orcontactsorinformationofeitherparty.告诉其它人。此合约之效力及于双方当事人及所属之成员、合伙人、合作伙伴、受雇得金钱之利益者。Weagreetocontactandinformtheotherpartywithallnecessaryinformation,data,andintroductionpriortomeetingwithorcontactinganythirdpartyconnectedwithtransactioncoveredinanywaywithfinancialdealingsbetweenthepartiesbysendingacopyofeachcontactand/orcommunicationwiththeprovider.我们同意在双方之任一方与彼此介绍之第三者会面或接洽之前，得将必要之信息告知签署合约之对方：对涉及价格、数量或合约相关之交涉，须将往来之资料复印一份发送予对方，让对方了解交易进行之状况。Facsimile,andE-maildocumentsshallhavethesameforceandeffectasoriginals.传真或电子邮件（E-mail）的档与原稿具有同等之效力。Thisagreementisanevergreendocument.Itappliestoaguaranteeforallfuturetransactionperiods,beyondthedateaffixedbelow.Itappliestoalltransactionsnowandinthefuturebetweentheparties,includingsubsequentrenewals,extensions,re-negotiations,additions,rollovers,oranyparallelthirdpartyagreementoftheincludingtransactionswithparent/subsidiaryand/orotherpersons,companiesorentities.Itisvalidandenforceableregardlessofthesuccessoffailureoftheinitialtransactionorthesuccessorfailureofanyproject.本合约生效日以后进行之所有交易，保障双方之权益，范围含盖各项交易其后之续约、展延、重新协议、增加项目或与平行第三者签订的类似合约、对象包含与签约对方同一Page2of5层面之其它人士、公司、机构及签约对方往上追朔（Parent）或往下延伸（Subsidiary）的关系之交易，且不论首次成功与否，也不论任何个案其做成与否，均属有效且具约束力。Non-Disclosure: Signatories agree to keep confidential addresses, employeesnames,faxnumbers,names,phonesnumbers,andotherrelatedpartieseitherdirectlyorindirectlyconcededtoallsuchidentifyinginformationshallnotbedisclosed,toanyonebyanothersignatorywithouttheexpresswrittenpermissionoftheintroducingsignatory.非泄漏机密：签署者之地址、描述、受雇者姓名、传真号码、电话号码及具有相关之不得由另一签署者泄漏给任何人。Non-Circumvention:Eachsignatoryagreenottomakecontactdirectoryorindirectlywithorbeinvolvedinanytransactionwithanyconfidentialpartiestothisagreementwithouttheexpresswrittenpermissionfromtheintroducingsignatory.非欺诈设陷：签署者任何一方皆同意若非经过书面许可，皆不得对本协议书也涉及人员和有受保密之一方，无论直接或是进行联络接触。Relationshipofsignatories:Exceptasotherwiseagreedtoinwriting,nosignatoryisproxyorpartneroftheothersignatoryorsignatories.签署者之关系：除非经过书面同意之下，任何一位签署者皆不得为他签署者之代理人或是合伙人。Weagreetoimmediatelyterminatecontactwithanythirdpartycontactattherequestthatcontact.Failuretocomplyshallconstitutecircumventionandtheoffendershallbeliableasabove.我们同意与任何第三者之接触中，一旦该接触被要求立即终止时，即须立即停止，若不遵守即构成越线行为，违反者须为此行为负责。Thepartiesagreethattheywillinwaycircumventtheotherinanyfinancialtransactionnoworinthefutureusingsuchinformation,orapproachinganysuchcontactdirectlyorthough.Anyotherpersonorentityuponbreachofanytermofthisagreement,theinjuredpartymayrecoverondemanddamaged,liquidateddamagesequaltowhattheirbenefitwouldhavebeen,orinjunctiverelief,pluslegalcostsandfees.Shouldcircumventionoccurorbeattempted,allpendingconnection,actionsandcontactsarisingoutoftheinformationshallbeimmediatelycancelled.Inadditiontolegalremedies,fees,oranticipatedcompensation,committedoragreedtoshallbedueandpayabletotheproviderimmediatelyupondemand.也不论是直接或是经由他个人或公司行号进行接洽时，绝不跨越合约中之对方私自进之应得利益，若为强制救济时，得加上诉讼与律师之费用－一旦发生越线或试图发生保证或同意支付之赔偿金与法律之费用，在对方提出时，违反之一方须立即支付之。Governinglaw:ClaimsanddisputesinconnectionwiththisagreementshallbeinaccordwiththeViennaConventions,unlessotherwisenoted,inwriting,TaiwanROCorHongKongwiththerespecttothevenueofanybreach.Page3of5管辖之法律：有关本协议书所牵连之索赔以及争端，将使用维也纳协约除有书面约定外，台湾或是香港法院皆为其管辖诉讼之法院。Breach:Intheeventofbreachofthisagreement,itisagreedthatthedamagedpartyreceives as damages any commission or other remuneration the defaulting partyreceiveseitherdirectlyorindirectly,asaresultofthebreach,oranycommissionthatthereferringpartywouldhaveearnedhadtherenotbeenabreach,atthedamagedpartiesoption.Inaddition,thedefaultingorbreachingpartyagreetopayallcourtcosts,legal fees and other related expenses upon award of judgment in any court competentjurisdictionovertheperson,entityofpropertyofthesignatoryagainstwhomitismade;andotherwisetopayotherrelatedexpenseswhetherincourtoroutofcourttocompelthepaymentofthedamagesprovidedforherein.违约：如有发生对本协议书之违约时，受影响损害之一方受到如佣金或是报酬金之损违约便可得到之利益，却因此违约而失去时，受有损害之一方因此可加以主张其损失要求。MiscellaneousProvisions:ClaimsanddisputesinconnectionwithorrelatingtoagreementshallbefinallysettledundertherulesofconciliationandarbitrationoftheInternational chamber of Commerce (ICC) (Rules) 1989 edition and amendmentsthereto,also,thatlettersofcredit,I.C.P.O.SandR.W.A.’smadeundertheauspicesofthisdocumentwillbegovernedasabove.Allsignatoriestothisagreementagreetosubmittoandbeboundbytheabovereferencesarbitration(orlaterICCamendmentsmayapply,exceptasexemptedbymutualagreementinwriting),ofallpartiesafterthedateoffirstnotarizationoftheagreement.其它约定条款：有关于本协议书所牵连之赔偿以及争端，将最终解决于国际商会(ICC)1989(I.C.P.O.SR.W.A.’s根据此档)所作的，均适用上述规定。本协议书中所有签署者皆遵从并愿受上述仲裁之约束（或者该国际商会日后修订之条款皆应依循，除非双方于所有各方再一次协议书公证之日后另以书面约定时，则可免除双方协议）。Pre-existingRelationship:Itisunderstoodthatanycontractrelationshippresentlyexistencepriortothesigningofthisagreementwillbeunaffected.先期关系：双方皆明白在本协议书签定之前，任何显示之契约关系均不具任何影响效力。TermsofAgreement:Thetermsofthisagreementshallbefive(5)yearsfromthedateofexecutionofthisagreement.Anditshallbeextendedfive(5)yearsfromthedateofanytransactionenteredintoorinitiatedbyanyofthesignatoriesorconfidentialparties.协议书之期限：本协议书有效期限自本协议书生效日期五年有效，这期限将自任何交易发生，或任何一位原签署人或应保密之一方签署延长生效日起，延长五年为期有效期限。Itisagreedthatnocommunicationswillbemadebytelephone,facsimile,oranyothermeansbyanypartiesinvolvedexpectasspecificallyagreedinwritingorthewrittenproceduresgoverningthetradetransactionthatwillforanaddendumtothisagreement.Page4of5除非明白以书面叙述，书面程序加以管制此交易，而让本协议书约定可追加时，任何涉及本协议书之一方皆不得运用电话、传真或其它工具作相互联系。Itisagreedthatwhenthisdocumentisthustransmittedbyfacsimiletelecopyisshallbeabindingenforceablelegaldocumentandacceptedbyallparties.当此文件被用传真，电传出去时，将成为被各方认定其具有法律上之强制及约束力。Thissignatoriesherebyagreethatthewillfulviolationoftheintentandessenceofthisagreementbyanynamedsignatorywillresultuponawardofjudgmentintheoffendingparty’sforfeitureofanyremunerationorbenefittheymaybeentitledtoduringthedurationofthisagreement.所有签署皆认为在本协议书有效期限内，如本协议书被任何具名签署者以本质上，意图上故意所破坏时，未违背者对违背者将有权要求法院判决对其进行任何报酬、利益之没收行动。Allpartiessigningthisdocumentfullywarrantthattheyareauthorizedtosignforanypartytheydoinfactsignforthepartiesfurtheragreethatthisagreementisacceptabletothemandtheirprincipalsandsuchagreementisevidencedbytheirsignatureaffixedhereto.(Furtherthataspecificdedicatedtrustcorporationistoadministerforbuyersanycontractcreatedinconnectionwiththisagreement.)所有签署此档之各方，皆完全保证被授权有此签舍能力，而且接受本协议书，并被授权之本人（授权人）所同意。以及此协议书为其签字而成立。（另外，此一特别声明赋予信托公司为买卖管理者，管理人何有关于本协议书所衍生之契约。）Inisfurtherunderstoodandagreedthatthisagreementisbindingonmembers,partners,shareholder,associates,officers,managers,agents,termsandcondition.在此见证下，所有签署者皆同意以上各条款之约定。COMPANYNAMESIGNATORY’SFULLNAMESPOSITON/TITLEINCOMPANYNATIONALITYPHYSICALADRESSEMAILADDRESSTELEPHONENUMBERSCELLPHONENUMBERSCOMPANYNAMESIGNATORY’SFULLNAMESPOSITON/TITLEINCOMPANYNATIONALITYPHYSICALADRESSEMAIL
