合作研发协议（英文）COLLABORATIVERESEARCHANDDEVELOPMENTAGREEMENT***ConfidentialmaterialredactedandseparatelyfiledwiththeCommission.ByandBetweenAAAandBBB,INC.(M,D,Y)TABLEOFCONTENTSDefinitionsResearchProgramPaymentReportsandRecordsConfidentialityandNon-disclosure6.IntellectualPropertyLicenses7.IntellectualPropertyandPatentRights8.TermandTermination9.RepresentationsandWarranties10.DisclaimersInsuranceNoticesDisputeResolutionMiscellaneousEXHIBITSExhibitAAAAPatentApplicationsExhibitBBBBPatentApplicationsExhibitCAnnualBudgetExhibitDProgramInventionsExhibitEResearchProgramExhibitFCPRProceduresCOLLABORATIVERESEARCHANDDEVELOPMENTAGREEMENTTHISCOLLABORATIVERESEARCHANDDEVELOPMENTAGREEMENTisdatedasof(M,D,Y)byandbetweenAAA,a(PLACENAME)company,havingaplaceofbusinessat(hereinafter,"AAA"),andBBB,INC.,a(PLACENAME)corporation,havingitsprincipalofficeandplaceofbusinessat(hereinafter,"BBB").WITNESSETH:WHEREAS,BBBhasdevelopedcertaintechnologyrelatedtoelectronicallyaddressablemicrochipoligonucleotidearrays("Arrays"),includingBBB'sAutomatedProgrammableElectronicMatrix("APEX")technology;andWHEREAS,AAAhasdevelopedcertaintechnologyrelatedtocombinatorialand/ormodularnanotechnology,includingitsExponentialLibrarybyAssociationofSublibraries("ELIAS")anditspRNA(andrelatedoligonucleotideanalog)technology;andWHEREAS,AAAandBBBhavepreviouslyenteredintoaLetterAgreementdated(M,D,Y)(the"LetterAgreement");andWHEREAS,inaccordancewiththetermsoftheLetterAgreement(includingtheparagraphsundertheheadings"PurposeofCollaboration"and"AgreementField"),AAAandBBBwishtoperformcertainresearchanddevelopmentactivitiesascontemplatedtherein.NOWTHEREFORE,inconsiderationofthemutualcovenantsandundertakingscontainedherein,thepartiesherebyagreeasfollows:1.DEFINITIONS.AsusedinthisAgreement:"Agreement"shallmeanthisAgreementandanyexhibits,appendices,attachmentsoraddendahereto,andanyrenewalsorextensionsofthisAgreement."AAAIntellectualProperty"shallmeanandincludeallpatentableandunpatentableinventions,ideas,discoveries,improvements,designrights,semiconductormaskworks,worksofauthorship,tradesecrets,know-howandanyequivalentsthereofwhichareinexistenceasoftheEffectiveDateorthereafter,asarenecessarytomake,havemade,useorsellaProductandareownedbyAAA,including,butnotlimitedto,AAA'sELIASandpRNAtechnologiesdisclosedintheAAApatentapplicationssetforthinExhibitAhereto(amendedwitheachnewAAApatentapplicationnecessarytomake,havemade,useorsellaProduct)."AAAPatentRights"shallmeanallpatentsandpatentapplicationsownedbyAAAwhichareinexistenceasoftheEffectiveDateorthereafter,includingthepatentapplicationssetforthinExhibitAhereto(amendedwitheachnewAAApatentapplicationnecessarytomake,havemade,useorsellaProduct),andwhichcontainaclaimnecessarytomake,havemade,useorsellaProduct,includingalldivisionals,continuations,continuations-in-part,re-examinations,reissues,andallforeignequivalentsofanyoftheforegoinginwholeorinpart."AAAProgramInventions"shallmeanallProgramInventionsmadeorconceivedbyemployeesorothersactingsolelyonbehalfofAAA;PROVIDED,however,thatAAAProgramInventionsshallnotincludeProgramInventionswhichutilizebothAPEXandELIASand/orpRNAtechnology."EffectiveDate"shallmean(M,D,Y)."ExecutiveCommittee"shallmeanacommitteewhichshall(i)beresponsibleforoverseeingtheResearchManagementCommittee,(ii)setstrategicgoalsunderthisAgreementandtheLetterAgreement,(iii)approveannualbudgetsfortheResearchProgram(theannualbudgetforthefirstyearandaproposedannualbudgetforthesecondyearoftheResearchProgramaresetforthinExhibitChereto),(iv)setresearchmilestonesand(v)decidewhenmilestoneshavebeencompleted.TheExecutiveCommitteeshallconsistofthree(3)membersappointedbyBBBandthree(3)membersappointedbyAAA.AlldecisionsoftheExecutiveCommitteemustbebyunanimousconsentofallmembersoftheExecutiveCommittee."JointProgramInventions"shallmean(i)allProgramInventionsmadeorconceivedbyemployeesorothersactingonbehalfofAAAjointlywithemployeesorothersactingonbehalfofBBBand(ii)allProgramInventionswhichutilizebothAPEXandELIASand/orpRNAtechnology."BBBIntellectualProperty"shallmeanandincludeallpatentableandunpatentableinventions,ideas,discoveries,improvements,designrights,semiconductormaskworks,worksofauthorship,tradesecrets,know-howandanyequivalentsthereofwhichareinexistenceasoftheEffectiveDateorthereafter,arenecessarytomake,havemade,useorsellaProductandareownedbyBBB,including,butnotlimitedto,BBB'sAPEXtechnologydisclosedintheBBBpatentsandpatentapplicationssetforthinExhibitBhereto(amendedwitheachnewpatentapplicationnecessarytomake,havemade,useorsellaProduct)."BBBPatentRights"shallmeanallpatentsandpatentapplicationsownedbyBBBwhichareinexistenceasoftheEffectiveDateorthereafter,includingthepatentsandpatentapplicationssetforthinExhibitBhereto(amendedwitheachnewpatentapplicationnecessarytomake,havemade,useorsellaProduct),andwhichcontainaclaimnecessarytomake,havemade,useorsellaProduct,includingalldivisionals,continuations,continuations-in-part,re-examinations,reissues,andallforeignequivalentsofanyoftheforegoinginwholeorinpart."BBBProgramInventions"shallmeanallProgramInventionsmadeorconceivedbyemployeesorothersactingsolelyonbehalfofBBB;PROVIDED,however,thatBBBProgramInventionsshallnotincludeProgramInventionswhichutilizebothAPEXandELIASand/orpRNAtechnology."PrimaryFilingCountries"shallmeanthe(PLACENAME)."Products"shallmeanproductsorapplicationsutilizingjointlydevelopedtechnologyincorporatingbothBBB'sAPEXtechnologyasdisclosedinExhibitBheretoandAAA'sELIASand/orpRNAtechnologyasdisclosedinExhibitAhereto."ProgramInventio
