-9-RestrictedStockDepositAgreement限制性股票存放协议核心提示：AGREEMENTmadeasof_________,_________,_________(M,D,Y)betweenAAA(Recipient)andBBBCorporation(theCompany).WHEREAS,Recipienthasbeenawarded_________shares(theShares)ofBBBCorporatioAGREEMENTmadeasof_________,_________,_________(M,D,Y)betweenAAA(Recipient)andBBBCorporation(theCompany).WHEREAS,Recipienthasbeenawarded_________shares(theShares)ofBBBCorporationCommonStock,$,_________parvaluepershare,inaccordancewithandsubjecttothetermsofthisAgreement.NOWTHEREFOREITISAGREED:1.RecipientwilldepositastockcertificateinthenameoftheRecipientfortheShares(theCertificate)withtheCorporateSecretaryofBBBCorporation(theEscrowAgent)anddulyendorseinblankandtransmittotheEscrowAgenttheattachedstockpower(theStockPower).2.TheEscrowAgentwillholdtheCertificateandStockPoweranddelivercertificatesrepresentingalloraportionoftheSharesandtheStockPowertotheRecipientortotheCompany,asthecasemaybe,inthemannerandatthetimessetforthherein.3.DuringtheperiodtheCertificateisheldbytheEscrowAgent,Recipientshall(i)havesuchrightswithrespecttotheSharesasarespecifiedinSections7(a)and(b)oftheBBBCorporation_________RestrictedStockPlan(theRestrictedStockPlan)thatwouldhavebeenapplicabletotheRecipienthadtheSharesbeenawardedtohimundertheRestrictedStockPlanand(ii)notsell,assign,exchange,transfer,pledge,hypothecateorotherwisedisposeoforencumberanyoftheShares.4.RecipientrepresentsthattheSharesarebeingacquiredbyhimforinvestmentandthathehasnopresentintentiontotransfer,sellorotherwisedisposeoftheShares,exceptincompliancewithapplicablesecuritieslaws,andthepartiesagreethattheSharesarebeingacquiredinaccordancewithandsubjecttotheterms,provisionsandconditionsofthisAgreement.Theseagreementsshallbindandinuretothebenefitoftheparties’respectiveheirs,legalrepresentatives,successorsandassigns.5._________(_________)oftheShareswillbereleasedfromescrowandfromallrestrictionsunderthisAgreementuponthesatisfactionofallapplicablefederal,stateandlocaltaxwithholdingobligationsarisingfromtheotherwiseunrestrictedgrantofsuchSharesonthedatehereof(theTax-OnlyRestrictedShares)._________(_________)oftheShareswillbereleasedfromrestrictionsunderthisAgreementon_________,_________,_________(M,D,Y)and_________oftheShareswillbereleasedfromrestrictionsunderthisAgreementoneachofthefirst,second,thirdandfourthanniversarydatesofthisAgreement,andacertificateforthesoreleasedShareswillbeissuedtoRecipientfollowing_________,_________,_________(M,D,Y)oreachsuchanniversarydate,asapplicable(allsuchsharesbeingreferredtoastheOtherRestrictedShares).Notwithstandingtheforegoing,(i)intheeventthattheRecipient’semploymentwiththeCompanyisterminatedbytheCompanywithoutcausetheOtherRestrictedSharesshallcontinuetovestforaperiodof12monthsfollowingsuchdateoftermination,and(ii)intheeventofseparationorterminationoftheRecipient’semploymentforanyotherreason,includingasaresultoftheRecipient’sdeathordisability,allunreleased,RestrictedShares(butnotunreleasedTax-OnlyRestrictedShares)shallbeforfeiteduponsuchseparationorterminationoftheRecipient’semploymentwiththeCompanyunlesstheCompensationCommitteeoftheBoardofDirectorsoftheCompanyelectstoterminatetherestrictionsonsuchshares.6.TheCompanyshallberequiredtowithholdtheamountoftaxesrequiredtosatisfyanyapplicablefederal,stateandlocaltaxwithholdingobligationsarisingfromallocationsoforthelapseofrestrictionsonShares.TheCompanyshallwithholdSharesforthispurposefromanyreleaseoftheSharesotherwisedistributabletotheRecipient,basedonthefairmarketvalueoftheShares;provided,however,thatthisSection6shallbeinoperativeifandtotheextentthatitsapplicationwouldresultintheestablishmentofaderivativesecurityandaputequivalentposition(eachasdefinedinRule16a-1promulgatedundertheSecuritiesExchangeActof1934,asamended(theExchangeAct)),inwhichcasetheCompanywillmakeotherappropriatearrangementswiththeRecipienttosatisfysuchtaxwithholdingobligations.7.TheCompanyherebyconfirmsthat(i)intheeventtheoutstandingsharesofCommonStockoftheCompanyshallbechangedintoanincreasednumberofshares,throughastockdividendorasplit-upofshares,orintoadecreasednumberofshares,throughacombinationofshares,thenimmediatelyaftertherecorddateforsuchchange,thenumberofSharesthensubjecttothisAgreementshallbeproportionatelyincreased,incaseofsuchstockdividendorsplit-upofshares,orproportionatelydecreased,incaseofsuchcombinationofshares;and(ii)intheeventthat,asresultofareorganization,sale,merger,consolidationorsimilaroccurrence,thereshallbeanyotherchangeinthesharesofCommonStockoftheCompany,orofanystockorothersecuritiesintowhichsuchCommonStockshallhavebeenchanged,orforwhichitshallhavebeenexchanged,thenequitableadjustmentstotheSharesthensubjecttothisAgreement(including,butnotlimitedto,changesinthenumberorkindofsharesthensubjecttothisAgreement)shallbemade.8.ThisAgreementshallbebindinguponandinuretothebenefitofthepartiesheretoandthesuccessorsandassignsoftheCompanyandtheheirsandpersonalrepresentativesoftheRecipient.9.ThisAgreementshallbegovernedbythelawsoftheStateofIllinoisapplicabletoagreementsmadeandtobeperformedentirelywithi
