-19-SoftwareLicenseAgreement软件许可协议#p#副标题#e#核心提示：[AAA,INC.LOGO]AAA,INC.ENDUSERAGREEMENTbyandbetweenAAA,Inc.(Sagent)locatedat_________(Address),and_________(Name)includingitssubsidiariesandaffiliates(theLicensee).1.LICENSEInaccordancewiththetermsherein,Sagentgrant[AAA,INC.LOGO]AAA,INC.ENDUSERAGREEMENTbyandbetweenAAA,Inc.(Sagent)locatedat_________(Address),and_________(Name)includingitssubsidiariesandaffiliates(theLicensee).1.LICENSEInaccordancewiththetermsherein,SagentgrantstoLicensee,andLicenseeacceptsfromSagent,aperpetualnon-exclusiveandnon-transferablelicensetousethecurrentobjectcodeversionofSagent’sSoftware.LicenseemayinstalltheSoftwareforthenumberspecifiedinthedescriptionoftheSoftwareattachedasExhibitA.Licensee’suseisrestrictedsothatLicenseemaynot:(a)Sublicense,sell,lease,orrenttheSoftware;(b)Decompile,disassemble,reverseengineertheSoftware;(c)CreateaderivativeworkoftheSoftware;(d)Usethesoftwarebymorethanthenumberofconcurrentusersthathavebeenlicensed;or(e)Revealbenchmarktests.2.COPIESThelicense(s)grantedhereininclude(s)therighttocopytheSoftwaretousetheSoftwareasspecifiedinScheduleApursuanttothislicenseandforarchivalandback-uponly.InordertoprotectSagent’scopyrightsintheSoftware,LicenseeagreestoreproduceandincorporateSagent’scopyrightnoticeinanycopy,modificationsorpartialcopy.3.LicenseemayphysicallytransfertheSoftwarefrom(asapplicable):(a)onestandalonecomputerornetworknodetoanotherstandalonecomputernetworknode;or(b)oneservertoanotherserver,providedtheSoftwareisusedononlyonecomputer,networknodeorserveratatime;or(c)thesamenumberofstandalonecomputers,networknodesorservertothesameotherstandalonenetworknodesorservers.4.PRICEANDPAYMENTLicenseeshallmakepaymenttoSagentfortheSoftwarelicensepursuanttothefeesandpaymenttermssetforthinExhibitA.5.SOFTWAREOWNERSHIPSagentrepresentsthatithasallrightsrequiredtolicenseetheSoftwareandallportionsthereofandtograntLicenseethelicense.6.OTHERSERVICESSagentmayprovideLicenseewithconsultingservices,softwaremaintenance,andtechnicalsupportthroughseparateagreements.7.TITLETOSOFTWARESYSTEMSTheSoftwareandallcopiesthereofareproprietarytoSagentandtitletheretoremainswithSagent.Allapplicablerightstopatents,copyrights,trademarksandtradesecretsintheSoftwareoranymodificationsorderivativeworksbelongtoandshallremaininSagent.Licenseeshallnotsell,transfer,publish,orotherwisemakeavailabletheSoftwareorcopiesthereoftoothers.Licenseeagreestosecureandprotecteachmodule,softwareproduct,documentationandcopiesthereofinamannerEndUserconsistentwiththemaintenanceofSagent’srightsthereinandtotakeappropriateactionbyinstructionoragreementwithitsemployeesorconsultantswhoarepermittedaccesstoeachprogramorsoftwareproducttosatisfyitsobligationshereunder.AllcopiesmadebytheLicenseeoftheSoftwareandotherprogramsdevelopedhereunder,includingtranslations,compilations,partialcopieswithmodificationsandupdatedworks,arethepropertyofSagent.ViolationofanyprovisionofthisparagraphshallbethebasisforimmediateterminationofthisLicenseAgreement.8.CONFIDENTIALITYEachpartyagreestoaffordtheotherparty’sProprietaryInformationthesamedegreeofprotectionagainstunauthorizeduseordisclosureaseachpartynormallyprovidesforitsProprietaryInformation,providedthateachparty’sobligationshallnotapplytoinformationwhich:(a)Isknowntothereceivingpartyatthetimeofdisclosurebythedisclosingparty;(b)Isnoworhereafterinthepublicdomainthroughnofaultofthereceivingparty;(c)Isdevelopedindependentlybythereceivingparty;and(d)Isgenerallyknownoravailablefromthirdpartieswithoutrestriction;andThetermProprietaryInformationmeansdocumentedinformationorsoftwarewhichatthetimeofitsdisclosuretothereceivingpartyisidentifiedasProprietarybyanappropriatestamporlegend.9.WARRANTY(a)SagentwarrantsthatSoftwarewillconform,astoallsubstantialoperationalfeatures,toSagent’scurrentpublishedspecificationswheninstalledandwillbefreeofdefectswhichsubstantiallyaffectsystemperformance.(b)TheLicenseemustnotifySagentinwriting,withinninety(90)daysofdeliveryoftheSoftwaretotheLicensee(notincludingdeliveryofanysubsequentmodificationstotheSoftware),ofitsclaimofanysuchdefect.IftheSoftwareisfounddefectivebySagent,Sagent’ssoleobligationunderthiswarrantyistousereasonablecommercialeffortstoattempttocorrectorworkarounderrors,replacedefectivemediaorreplacetheSoftwarewithfunctionallyequivalentSoftware.(c)SagentwarrantsthattheSoftwareshallnotcauseerroneousdatecalculationsduetomiscalculationsbytheSoftwareasaresultoftheyear_________datechange.SagentfurtherwarrantsthattheSoftwareincludestheabilitytomanageandmanipulatealldatainvolvingdatesordatefieldswhichincludeindicationofcenturytoensureyear_________compatibility.(d)THEABOVEISALIMITEDWARRANTYANDITISTHEONLYWARRANTYMADEBYSAGENT.SAGENTMAKESANDLICENSEERECEIVESNOWARRANTY,EXPRESSORIMPLIED,ANDTHEREAREEXPRESSLYEXCLUDEDALLWARRANTIESOFMERCHANTABILITYANDFITNESSFORAPARTICULARPURPOSE.SAGENTSHALLHAVENOLIABILITYWITHRESPECTTOITSOBLIGATIONSUNDERTHISAGREEMENTFORCONSEQUENTIAL,EXEMPLARY,ORINCIDENTALDAMAGESEVENIFITHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES.THESTATEDEXPRESSWARRANTYISINLIEUOFALLLIABILITIESOROBLIGATIONSOFSAGENTFORDAMAGESARISINGOUTOFORINCONNECTIONWITHTHEDELIVERY,USE,ORPERFORMANCEOFTHESOFTWARESYSTEMS.(e)IfanymodificationsaremadetotheSoftwarebyLicenseeduringthewarrantyperiod,thiswarrantyshallimmediatelybeterminated.CorrectionfordifficultiesordefectstraceabletoLicensee’serrorsorsystemschangesshallbebilledatSagent’sstandardtimeandmaterialcharges.(f)LicenseeagreesthatSagent’sliabilityarisingoutofcontract,negligence,strictliabilityintortorwarrantyshallnotexceedanyamountspayablebyLicenseefortheSoftwareidentifiedabove.10.INDEMNITYSagent,atitsownexpense,willdefendanyactionEndUserbroughtagainstLicenseetotheextentthatitisbasedonaclaimthatanysoftwaresystemusedwithinthescopeofthisLicenseAgreementinfringesanyU.S.patents,copyrights,licenseorotherpropertyright,providedthatSagentisimmediatelynotifiedinwritingofsuchclaim.Sagentshallhavetherighttocontrolthedefenseofallsuchclaims,lawsuitsandotherproceedings.InnoeventshallLicenseesettleanysuchclaim,lawsuitorproceedingwithoutSagent’spriorwrittenapproval.If,asaresultofanyclaimofinfringementagainstanypatent,copyright,licenseorotherpropertyright,SagentisenjoinedfromusingtheSoftware,orifSagentbelievesthattheSoftwareislikelytobecomethesubjectofaclaimofinfringement,SagentatitsoptionandexpensemayprocuretherightforLicenseetocontinuetousetheSoftware,orreplaceormodifytheSoftwaresoastomakeitnon-infringing.IfneitherofthesetwooptionsisreasonablypracticableSagentmaydiscontinuethelicensegrantedhereinononemonth’swrittennoticeandrefundtoLicenseetheunamortizedportionofthelicensefeeshereunder(basedonfouryearsstraightlinedepreciation,suchdepreciationtocommenceonthedateofthisAgreement).TheforegoingstatestheentireliabilityofSagentwithrespecttoinfringementofanycopyrightsorpatentsbytheSoftwareoranypartsthereof.11.TERMINATIONSagentshallhavetherighttoterminatethisagreementandlicense(s)grantedherein:(a)Upontendays’writtennoticeintheeventthatLicensee,itsofficersoremployeesviolatesanyprovisionofthisLicenseAgreementincluding,butnotlimitedto,confidentialityandpayment.(b)IntheeventofterminationbyreasonoftheLicensee’sfailuretocomplywithanypartofthisagreement,oruponanyactwhichshallgiverisetoSagent’srighttoterminate,Sagentshallhavetheright,atanytime,toterminatethelicense(s)andtakeimmediatepossessionoftheSoftwareanddocumentationandallcopieswhereverlocated.Withinfive(5)daysafterterminationofthelicense(s),LicenseewillreturntoSagenttheSoftwareintheformprovidedbySagentorasmodifiedbytheLicensee,oruponrequestbySagenttodestroytheSoftwareandallcopies,andcertifyinwritingthattheyhavebeendestroyed.TerminationunderthisparagraphshallnotrelieveLicenseeofitsobligationsregardingconfidentialityoftheSoftware.(c)Withoutlimitinganyoftheaboveprovisions,intheeventofterminationasaresultoftheLicensee’sfailuretocomplywithanyofitsobligationsunderthisLicenseAgreement,theLicenseeshallcontinuetobeobligatedforanypaymentsdue.TerminationofthelicenseshallbeinadditiontoandnotinlieuofanyequitableremediesavailabletoSagent.(d)LicenseemayterminatethisagreementatanytimeprovidedpaymentinfullhasbeenmadeandLicenseereturnstheoriginalandallcopiesofSoftwaretoSagent.12.TAXESLicenseeshall,inadditiontotheotheramountspayableunderthisLicenseAgreement,payallsalesandothertaxes,federal,state,orotherwise,howeverdesignated,whichareleviedorimposedbyreasonofthetransactionscontemplatedbythisLicenseAgreement.Withoutlimitingtheforegoing,LicenseeshallpromptlypaytoSagentanamountequaltoanysuchitemsactuallypaid,orrequiredtobecollectedorpaidbySagent.13.GENERAL(a)EachpartyacknowledgesthatithasreadthisAgreement,itunderstandsit,andagreestobeboundbyitsterms,andfurtheragreesthatthisisthecompleteandexclusivestatementoftheAgreementbetweentheparties,whichsupersedesandmergesallpriorproposals,understandingsandallotheragreements,oralandwritten,betweenthepartiesrelatingtothisAgreement.ThisAgreementmaynotbemodifiedoralteredexceptbywritteninstrumentdulyexecutedbybothparties.(b)DatesortimesbywhichSagentisrequiredtomakeperformanceunderthislicenseshallbepostponedautomaticallytotheextentthatSagentispreventedfrommeetingthembycausesbeyonditsreasonablecontrol.(c)ThisAgreementandperformancehereundershallbegovernedbythelawsoftheStateof_________(Placename).VenueshallbeinSantaClaraCounty,_________(Placename).(d)Noaction,regardlessofform,arisingoutofthisAgreementmaybebroughtbyLicenseemorethantwoyearsafterthecauseofactionhasarisen.(e)IfanyprovisionofthisAgreementisinvalidunderanyapplicablestatuteorruleoflaw,itistothatextent,deemedtobeomitted.(f)TheLicenseemaynotassignorsub-license,withoutthepriorwrittenconsentofSagent,itsrights,dutiesorobligationsunderthisAgreementtoanypersonorentity,inwholeorinpart.AsaleofsubstantiallyallofLicensee’sassetstoathirdpartyoranytransferofmorethan50%ofthevotingstockofLicenseetoathirdpartyshallnotconstituteanassignmentunderthislicense.(g)Theprevailingpartyinanyactionrelatedtothisagreementshallhavetherighttorecoveritsreasonableexpensesincludingattorney’sfees.(h)ThewaiverorfailureofSagenttoexercise,inanyrespect,anyrightprovidedforhereinshallnotbedeemedawai
