InAppendixI,pleaseinserttheinformationofthefacilitiesandequipments,themeterreadingforpublicutilityfeesandthekeynumbersuponhand-overoftheProperty.本租约正文条款为通用条款,对其任何补充、修改请于附件二中列明。

Themaincontextofthistemplatetenancyagreementprovidesgeneralterms,andanysupplementsoramendmentstowhichshallbestipulatedinAppendixII.请于本租约附件三中粘贴甲方(出租方)身份证明(如营业执照、身份证、护照等)以及该房屋的房产证的复印件。

InAppendixIII,pleaseattachthecopyofidentificationdocumentofPartyA(Landlord)(e.g.BusinessLicense,IDcardorpassport)andthecopyofthepropertyownershipcertificateoftheProperty.请于本租约附件四中填写包括房屋地址、建筑面积、租金、租赁期限、续租、保证金、交付日、甲方银行账户在内的商业性条款。其中第六条“租金”中第1-6项同时适用于酒店式公寓和非酒店式公寓;第7-11项仅适用于酒店式公寓;第5-6项所列会所会籍费、停车费,如属个人所得税应纳税项目,则应填写其单独金额,如非属于应纳税项目,则不应单独列明金额。

:甲、乙双方在平等、自愿、诚实信用的基础上,经协商一致,就乙方向甲方承租房屋事宜按以下条款及条件达成本租约(“本协议”):Onthebasisofequality,voluntarinessandgoodfaith,thisTenancyAgreement(this“Agreement”)ismadeinrelationtotheleaseoftherealestatefromPartyAtoPartyBonthetermsandconditionsmutuallyagreedbyandbetweenthePartiesheretoasfollows:一、 租赁房屋状况:StatusofthePropertytobeleased:甲方同意将其所有的房屋(“该房屋”,详见本协议附件四第1条)及其现有装修及家具、家电设施设备(“附属设施设备”,详见本协议附件一)在良好可租赁状态下租给乙方。该房屋建筑面积(详见本协议附件三)最终应以房地产权证/房屋所有权证记载为准。PartyAherebyagreestoleaseitsownproperty(the“Property”,PLEASEREFERTOClause1inAppendix4hereoffordetails)togetherwiththeexistingfitting-out,furnitureandelectricalappliances(the“Facilities&Equipment”,PLEASEREFERTOAppendix1hereoffordetails)thereiningoodandtenantableconditiontoPartyB.TheconstructionareaoftheProperty(PLEASEREFERTOAppendix3hereoffordetails)shallbefinallysubjecttotherecordoftherealestateownershipcertificate.该房屋仅供乙方(如乙方为个人)或乙方(如乙方为一家公司)之职员(“实际居住人”,详见本协议附件四第2条)作为住宅使用。ThePropertyissubjecttoresidentialuseonlyforPartyB(ifPartyBisanindividual)ortheemployee(s)ofPartyB(ifPartyBisacompany)(the“ActualResident”,PLEASEREFERTOClause2inAppendix4hereoffordetails甲方承诺并保证其对该房屋拥有合法完整的所有权,有权向乙方出租该房屋,该房屋他项权利状况应如本协议附件四第3条规定所示。PartyAundertakesandguaranteesitsfullandlegaltitletothePropertyandtherighttoleasethePropertytoPartyB,andsubjectonlytotheencumbrancesoverthePropertySETOUTINClause3inAppendix4hereof.二、 租赁期和续租:LeaseTermandRenewal:租赁期应为本协议附件四第4条规定的期限(“租赁期”)。Theleaseterm(the“LeaseTerm”)isSTIPULATEDINClause4inAppendix4hereof.租赁期届满,乙方如要求续租,须在本协议期满前贰(2)个月向甲方提出书面申请。在同等条件下,乙方享有优先续租权,续租期为本协议附件四第5条规定的期限。双方应在本协议期满前壹(1)个月签订续租协议。除租金、租赁期及本款规定之优先续租权外,续租协议的条款条件应与本协议相同。续租租金由双方根据届时市场价格合理商定,但调整幅度不得超过本协议附件四第5条规定的范围。UponexpiryoftheLeaseTerm,ifPartyBwishestorenewthelease,PartyBshallhavetheprioritytorenewtheleaseonthesameconditionforatermasSTIPULATEDINClause5inAppendix4hereof,providedthatPartyBshallissueawrittennoticetoPartyAtwo(2)monthspriortotheexpiryoftheLeaseTerm.ThePartiesshallenterintoarenewedtenancyagreementone(1)monthpriortotheexpirydateofthisAgreement.TermsandconditionsoftherenewedtenancyagreementshallremainunchangedasthoseunderthisAgreement,exceptforrent,leasetermandthepriorityofrenewalstipulatedhereunder.TherentfortherenewedtermshallbenegotiatedbetweenthePartiesaccordingtothethenfairmarketvalue,butthechangeintherentshallnotexceedtheextentSTIPULATEDINClause5inAppendix4hereof.三、 租金及支付方式:RentandPaymentMethod:租赁期内,本协议下之租金(“租金”)应如本协议附件四第6条规定所示。DuringtheLeaseTerm,therenthereunder(the“Rent”)shallbeSUBJECTTOClause6inAppendix4hereof.如租赁期首日所在的第一个日历月的租赁期间不足一个日历月,或者租赁期满或提前终止时的最后一个日历月内的租赁期间不足一个日历月,则该等月份的租金应按照该月内的实际租赁天数计算。 Shouldtheleaseperiodofthefirstcalendarmonth,inwhichthefirstdayoftheLeaseTermfall,beshortofacalendarmonth,ortheleaseperiodofthelastcalendarmonthpriortotheexpirationorearlyterminationoftheLeaseTermbeshortofacalendarmonth,therentforsuchmonthshallbecalculatedbasedontheactualdaysunderleasewithinthismonth.租金须按日历月以人民币支付,各月应付租金乙方应于当月的第十四(14)日或之前付清。尽管有前述规定,甲方应于每月付款到期日前的十四(14)日或之前提供税务发票予乙方,乙方应在收到甲方的税务发票后十四(14)日或上述付款到期日(以较晚的为准)内汇至如本协议附件四第9条所示的甲方银行账户,相关银行手续费由乙方承担。TherentshallbepaidinRMBonacalendar-monthlybasis,onorbeforethefourteenth(14th)dayofeachcalendarmonth.Notwithstandingtheforegoing,PartyAshouldissueataxinvoicetoPartyBatleastfourteen(14)dayspriortotheduedateforthepaymentoftherentonamonthlybasis,andPartyBshouldremitthepaymenttothePartyA’sbankaccountasSETOUTINClause9inAppendix4hereofbythelatterof(x)theexpirationoffourteen(14)daysafterreceivingthetaxinvoiceor(y)theabove-mentionedduedateforthepayment.Anyrelevantbankcharges如乙方逾期超过三十(30)日未付租金,且经甲方书面催告后仍未支付,则甲方有权终止本协议,乙方已支付之保证金(见下文定义)将用于所欠租金的抵偿,余额(如有)应在本协议终止后七(7)日内无息退还乙方。IftherenthasnotbeenpaidbyPartyBformorethanthirty(30)daysaftertheduedateandisstilloutstandingafterPartyAgivingdemandnoticeinwriting,PartyAisentitledtoterminatethisAgreement.TheDepositasdefinedbelowwillbeusedtooffsettheoutstandingrent.Andthebalance(ifany)shallberefundedtoPartyBwithinseven(7)daysupontheterminationofthisAgreementwithoutinterest.在租赁期内,租金不予增加。TherentshallnotbeincreasedduringtheLeaseTerm.四、 其它费用:OtherExpenses:租赁期内乙方所用电话费按电信局标准收费,每月结算实际用量(基本月租费由甲方承担)由乙方按单据自行缴付。TelephoneexpensesshallbepaidbyPartyBaccordingtoactualusageduringtheLeaseTermandbasedontheTelecommunicationBureaustandardtariffsandthebillsreceived(PartyAshallberesponsibleforthebasicmonthlytelephonefee.).租赁期内发生的公用事业费(包括水、电、煤气、取暖费)由乙方承担,但本协议另有规定的除外。Publicutilityfees(includingwater,electricity,gasandheatingcharges)incurredduringtheLeaseTermshallbebornebyPartyB,unlessotherwiseagreedhereunder.五、 保证金:Deposit:本协议签订后十(10)日内,乙方应按本协议附件四第7条规定的数额向甲方缴付租赁保证金(“保证金”),甲方应在本协议签订后向乙方提供付款通知,并应在收到保证金后五(5)日内向乙方提供收据。租赁期满,乙方如不再续租,或本协议提前终止,甲方应在租赁期满或提前终止,且乙方将应缴付的电话费及公用事业费付清或可自保证金中扣除该等电话费及依据公用事业费计量表度数计算的公用事业费后的七(7)日内将保证金无息退还。Withinten(10)daysuponexecutionofthisAgreement,PartyBshallpaytoPartyAthedepositACCORDINGTOClause7inAppendix4hereof(the“Deposit”).PartyAshallissueadebitnotetoPartyBaftersigningoftheAgreementandalsoissueareceipttoPartyBwithinfive(5)daysuponthereceiptoftheDepositfromPartyB.UponexpirationoftheLeaseTerm,ifPartyBdoesnotrenewthelease,orupontheearlyterminationofthisAgreement,PartyAshallrefundtheDeposit(withoutinterest)toPartyBwithinseven(7)daysafterPartyBhaspaidallapplicabletelephoneexpensesandthosepublicutilitychargesorafterdeductingtherefromsuchtelephoneexpensesandpublicutilitychargesascalculatedaccordingtothemeterreadingforpublicutilityfees乙方如违反本协议规定,致使甲方未能如期收取租金或因而发生费用开支,甲方可以根据实际损失以保证金抵付,不足部分甲方有权请求乙方赔偿,乙方必须在接到甲方付款通知后十(10)日内补足保证金。IfPartyBbreachesthisAgreement,sothatPartyAdoesnotreceivetherentbeforetheduedate,orsuffersadditionalexpenses,PartyAisentitledtoretainpartorthewholeDeposittocompensateitsactuallosses.IftheDepositisinsufficienttocoverPartyA’sloss,PartyAmayclaimagainstPartyBforcompensation,andPartyBshallmakeuptheDepositwithPartyAwithinten(10)daysuponreceivingthedemandnoticefromPartyA.六、 甲方的责任:PartyA’sResponsibilities:甲方须于本协议附件四第8条规定的交付日(“交付日”)前将该房屋及附属设施设备以良好、完整、清洁的状态交付乙方使用。甲方应尽量提供附属设施设备的说明书,或就附属设施设备的使用做出说明和指导。双方应按本协议附件一所示状况对该房屋及附属设施设备进行验收、记录公用事业费计量表度数并交付钥匙。自该房屋交接书签署并且钥匙交付之时起该房屋视为交付给乙方。PartyAshallhandoverthePropertyandtheFacilities&Equipmentinagood,completeandcleanconditiontoPartyBforusebeforethehand-overdateASSTIPULATEDINClause8inAppendix4hereof(the“Hand-overDate”).PartyAshallendeavortoprovidethemanualoftheFacilities&Equipment,orprovideexplanationandinstructiononhowtousethesame.ThePartiesshallinspectandacceptthePropertyaswellastheFacilities&EquipmentonsuchconditionsasindicatedinAppendix1,recordthemeterreadingforpublicutilityfeesanddeliverthekey.ThePropertyshallbedeemedashavingbeenhandedovertoPartyBupontheexecutionoftheletterofhand-overofthePropertyanddeliveryofthekeys如届时因甲方原因不能按时交付该房屋的,则双方同意本协议项下的交付日和租赁期相应顺延,且自逾期交付之日起,甲方应向乙方按日支付月租金的0.1%作为违约金。但如逾期交付超过十(10)日,则乙方有权解除本协议,并要求甲方赔偿乙方因此而遭受的任何损失。IfthePartiesfailstohandoverthePropertyduetoPartyA’sreason,thePartiesagreethattheHand-overDateandLeaseTermshallbepostponedandextendedaccordingly,andPartyAshallpaytoPartyBanamountof0.1%oftherentforeachdayindefaultaspenalty.Ifthehand-overisdelayedforoverten(10)days,PartyBisentitledtoterminatethisAgreementandclaimagainstPartyAforanylossesincurredtherefrom.甲方须自付费用负责对该房屋及其附属设施设备进行三(3)个月一次的定期维修维护,特别应在季节更替前对空调、取暖设施进行定期维修维护。除定期维修维护外,如出现不明原因的烟火、漏水溢水、漏电或漏气,或该房屋或其附属设施设备因其自身质量原因受到损坏时,甲方应在接到乙方通知之时起三(3)日内及时完成修缮工作并承担有关的费用。紧急情况下,如该损坏将对乙方人身或财产安全造成即时损害的,则甲方应在接到乙方通知之日起24小时内自费完成维修工作。若甲方未能在上述期限内修复的,乙方有权自行修理或更换,并且所产生费用由甲方偿付,乙方亦有权在下一期租金中扣除该等费用。如该房屋的任何损坏严重影响居住的(如空调、取暖设施持续失灵,或不明原因的烟火、漏水溢水、漏电或漏气持续出现,或乙方的财物因而发生重大损失),则乙方有权在书面通知甲方后单方面终止本协议,并不视为违约,甲方应在本协议终止后七(7)日内赔偿乙方因此而遭受的实际损失。但如乙方决定继续履行本协议,则甲方仍应继续履行该维修义务,并在维修期间,向乙方免费提供不低于该房屋条件的住所。PartyAshallberesponsibleforregularmaintenanceandrepairofthePropertyandtheFacilities&Equipmentonceeverythreemonths,especiallyforregularmaintenanceandrepairoftheair-conditionersandheatingfacilitiespriortotheshiftoftheseasons.Inadditiontotheregularmaintenanceandrepair,ifthereoccursafireorsmoke,leakageoroverflowofwater,leakageofelectricityorleakageofgas,forunknownreason,orthePropertyortheFacilities&Equipmentaredamagedduetotheirpoorquality,PartyAshallatitsowncostcompletetherepairworkwithinthree(3)daysuponreceivingthenoticefromPartyB.IncaseofemergencywheresuchdamagemayleadtoimmediatepersonalinjuriesordamagetoPartyB,PartyAshallcompletetherepairworkatitsowncostwithintwenty-four(24)hoursuponreceivingPartyB’snotice.IfPartyAfailstorepairwithintheabove-mentionedperiod,PartyBmayrepairoreffectthereplacementitself,andthereaftertobereimbursedbyPartyA,ordeductsuchexpensessoincurredfromthenextduerent.IfanydamagetothePropertyseverelyaffectsPartyB’srighttousethePropertyasaresidence(e.g.,continuousnon-operationofair-conditionersorheatingfacilities,orcontinuousfireorsmoke,leakageoroverflowofwater,leakageofelectricityorleakageofgas,forunknownreason,ormaterialdamagestotheassetsofPartyBtherefore,etc.),PartyBmayunilaterallyterminatethisAgreementuponservingPartyAawrittennotice,whichshallnotbedeemedasbreachingofthisAgreement,andinwhichcasePartyAshallcompensatePartyBforPartyB’sactuallosswithinseven(7)daysuponterminationofthisAgreement.However,ifPartyBdeterminestocontinuetheperformanceofthisAgreement,PartyAshallcontinuetoperformitsobligationforrepairandmaintenance,andprovidePartyBwithaccommodationsonconditionnoworsethanthatofthePropertyforfreeduringtheperiodforrepairandmaintenance.如在租赁期内,该房屋发生所有权全部或部分的移转或其他影响乙方权益的事情时,甲方应保证所有权人或其他影响乙方权益的第三者,能继续遵守本协议所有条款,反之如乙方权益因此而遭受损害,甲方应负赔偿责任。DuringtheLeaseTerm,ifalloranyofthetitletothePropertyisassignedoranyotherhappeningaffectstherightsandinterestsofPartyBinrelationtotheProperty,PartyAshouldguaranteethattheowneroranyotherthirdpartythataffectstherightsandinterestofPartyBcontinuetoperformthisAgreementontermshereof.Otherwise,PartyAshallbeliableforcompensatingPartyBforthelossoftherightsandinterestssosuffered.在乙方按期支付租金的情况下,甲方有义务按时向物业管理处缴纳物业服务费及向有关收费单位缴纳有线电视使用费、卫星电视使用费(如适用)等根据约定应由甲方负责缴纳的费用。甲方应提前为乙方办理一切手续以保证乙方于交付日入住并正常享有物业服务,并确保乙方持续享有该等服务。PartyAisobligedtopaythepropertymanagementfeetothepropertymanagementofficeandanyotherfeespayablebyPartyAsuchascableTVusagefee,satelliteTVusagefee(ifapplicable)totherelevantentitesregularlyontimeprovidedthatPartyBpaystherenttimely.PartyAshallgothroughalltheformalitiesforPartyBinadvanceinordertoletPartyBtoenjoyfullbenefitofthemanagementassistanceandmoveinontheHand-overDate,andprocurePartyBtoenjoysuchbenefitscontinuously.甲方应按时交纳有关政府机构要求其支付的针对该房屋的税费,包括甲方就在本协议项下租金收入应付的有关税款。PartyAshallpaytheapplicabletaxesandexpensespayableontheleasedPropertyasdesignatedbyanyrelevantgovernmentauthority,includingtherelevanttaxespayableonrentreceivedbyPartyAunderthisAgreement.甲方应当确保乙方在租赁期内拥有并享用该房屋,令其不受甲方打扰,并不受任何宣称因其隶属于甲方,或经由甲方委托为其管理而拥有该房屋管理权,或其他第三方的打扰。PartyAshallguaranteePartyBtohavequietpossessionandenjoymentofthePropertyduringtheLeaseTermwithoutanyinterruptionbyPartyAoranyonewhoclaimstobeasubordinateofPartyA,orhavingtherighttomanagethePropertyduetotheauthorizationbyPartyA,oranythirdparty.租赁期内甲方不得无故收回该房屋(除非本协议另有规定)。PartyAmaynotwithoutcausetakepossessionofthePropertyfromPartyBduringtheLeaseTermunlessotherwiseprovidedhereunder.租赁期内,甲方应确保物业服务企业提供充分的保安消防工作及安静清洁的居住环境。DuringtheLeaseTerm,PartyAshallensurethatthepropertymanagementservicecompanyprovidesadequatesecurity,firepreventionserviceandquiet&cleanlivingenvironment.在根据本协议有权进入该房屋时,甲方应提前通知并尽量降低对乙方使用该房屋的影响,并不得损坏乙方在该房屋内的财物。WhenenteringintothePropertyinaccordancewiththisAgreement,PartyAshallgiveapriornoticeanduseitsbestendeavorstominimizetheinfluencetoPartyB’suseoftheProperty,andnottodamagePartyB’sassetsintheProperty.甲方应负责为该房屋及其附属设施设备购买保险,以甲、乙双方为共同受益人,并在乙方要求时提供该保单及相关文件的复印件。PartyAshallberesponsiblefortakingoutinsuranceforthePropertytogetherwiththeFacilities&Equipment.PartyAandPartyBshallbetheco-insured.PartyAshallprovidecopiesoftheinsurancepolicyandtherelevantdocumentswhenrequestedbyPartyB.甲方应确保该房屋、附属设施设备以及该房屋内的空气质量等对乙方/实际居住人的安全性,并不对其正常居住产生任何不利影响。PartyAshallguaranteethesafetyoftheProperty,theFacilities&EquipmentandtheairqualityinthePropertytoPartyB/theActualResident,andensurenoadverseeffectontheActualResident’snormalresidence.七、 乙方的责任:PartyB’sResponsibilities:乙方应按本规定交付租金,保证金和各项费用,如有拖欠,则作违约论。PartyBshouldpaytherent,depositandotherexpensesinaccordancewiththisAgreement.DefaultinpaymentwillconstituteabreachofthisAgreement.租赁期内未经甲方同意,乙方不得转让和转租该房屋,乙方(如乙方为一家公司)供实际居住人或另行指定的其他实际居住人使用或乙方(如乙方为个人)转让或转租给其供职的雇主公司或该雇主公司指定的员工除外。DuringtheLeaseTerm,withoutPartyA’sconsent,PartyBcannotassignorsub-leasetheProperty,exceptthatPartyBmay,ifPartyBisacompany,providethePropertytotheActualResidentoranyotherActualResidentdesignatedbyPartyBor,ifPartyBisanindividual,assignorsub-leasethePropertytoitscorporateemployerorotherpersonneldesignatedbyhiscorporateemployer.未经甲方同意,乙方不得擅自改变该房屋的用途。PartyBshallnotchangetheusageofthePropertyinitsowndiscretionwithoutPartyA’sconsent.除该房屋内附属设施设备之外,乙方如要增加设备或其他装修须征得甲方同意。但甲方无正当理由不得拒绝或拖延作出上述同意。InadditiontotheFacilities&EquipmentintheProperty,ifPartyBwishestomakeanyalterationsordecoratetheProperty,PartyA’sconsentshallbeobtained.However,PartyAshallnotrefuseordelayingivingtheabove-mentionedwrittenconsentunreasonably.乙方应赔偿由于乙方疏忽或不作为造成该房屋的损害或损失,并允许甲方或其代理人进入该房屋,对该房屋及附属设施设备的损失或损害进行弥补及修复,由此发生的费用由乙方负担。PartyBshallindemnifyPartyAforanylossofdamagetothePropertyduetonegligentactoromissionofPartyB,andpermitPartyAorhisauthorizedrepresentativestoenterthePropertytorepairthePropertytogetherwiththeFacilities&Equipment,andtoremedyanylosssoincurredattheexpenseofPartyB.在甲方提前24小时书面通知后,乙方应允许甲方或其代理人在合理情况下进入及巡视该房屋以进行必要的维修或修复工作。出现本协议第6.3条规定的紧急情况时,甲方可经通知乙方后进入该房屋以进行必要的维修或修复工作。在租赁期最后一(1)个月内,允许甲方或其代理人带领有意租赁或购买该房屋的客人视察该房屋,但不得妨碍乙方对该房屋的正常使用(乙方已按本协议第2.2条书面通知甲方续租的除外)。UponPartyA’swrittennoticetwenty-four(24)hoursinadvance,PartyBshouldpermitPartyAandthepersonauthorizedbyPartyAunderreasonablecircumstancestoenterandinspecttheProperty,andtocarryoutanynecessaryrepairandmaintenance.Incaseofemergencyasprovidedforunderclause6.3hereof,PartyAmayupongivingnoticetoPartyBenterintothePropertytocarryoutnecessaryrepairandmaintenance.Duringthelastone(1)monthoftheLeaseTerm,PartyAanditsagentshouldbeallowedtoenterintoandshowthePropertytopotentialtenantsorpurchasers,butmaynotinterruptPartyB’snormaluseoftheProperty(unlessPartyBhasinformedPartyAofitsintentiontorenewtheleaseaccordingtoclause2.2hereunder.)在未经甲方书面同意下,乙方不得在该房屋内擅自设置、安装或移动设施及设备,不能擅自设置隔断,不得擅自对该房屋的结构变动,但无正当理由,甲方不得拒绝或拖延作出上述书面同意。租赁期内房屋内灯泡的更换由乙方负责。WithoutthepriorwrittenconsentofPartyA,PartyBmaynoterect,installorremoveanyfixturesorequipment,tointroduceanypartitioninitsowndiscretion,ortomakeanystructuraladditionsandalterations.However,PartyAshallnotrefuseordelayingivingtheabove-mentionedwrittenconsentunreasonably.PartyBshallberesponsibleforchangingthelampbulbsforthePropertyduringtheLeaseTerm.租赁期内,乙方必须严格遵守中华人民共和国的有关法律、法规、规章的规定,不得利用该房屋进行违反法律及不道德的行为。DuringtheLeaseTerm,PartyBshallstrictlycomplywithandadheretotherelevantlaws,regulationsanddecreesofthePeople’sRepublicofChina,andshallnotpermitorsufferthePropertytobeusedforanypurposethatisunlawfulorimmoral.乙方应以合理、正常方式使用该房屋及其附属设施设备,不得在该房屋内放置任何危险违禁物品。 PartyBshallusethePropertytogetherwiththeFacilities&Equipmentinreasonableandpropermanner,andshallnotkeepinthePropertyanygoodsthataredangerousorprohibited.如乙方为一家公司,则乙方应在签订本协议时提供实际居住人的名单并确保实际居住人遵守乙方在本协议下的义务。租赁期内,乙方应及时向甲方提供实际居住人名单的任何更新。 IfPartyBisacompany,PartyBshallprovidethenamelistoftheActualResidentandensurethattheActualResidentwillperformtheobligationsofPartyBhereunder.DuringtheLeaseTerm,PartyBshallprovidePartyAwithanyupdateinformationofthenamelistoftheActualResidentintime.八、 不可抗力:ForceMajeure:如因火灾、自然灾害、战争、自然损耗或其它任何一方无法预见、无法避免并无法控制的原因(“不可抗力事件”)造成该房屋毁坏而不能被正常使用及居住时,乙方从该不可抗力事件发生之日起停止支付租金,直至该房屋可再被使用及居住时为止。如因上述不可抗力事件导致该房屋不能正常使用超过十(10)日,乙方有权经书面通知甲方后终止本协议并无需承担任何责任,甲方应在本协议终止后七(7)日内向乙方无息退还保证金。如甲方愿意修复该房屋并继续履行本协议的,则在维修期间,甲方应向乙方免费提供不低于该房屋条件的住所。IfthePropertyisdamagedbyfire,naturaldisaster,war,naturalwearandtear,orothercausesthatarenotforeseeable,avoidableorcontrollablebyanyparty(the“EventofForceMajeure”)totheextentthatthePropertyisunfitfornormaluseandresidence,PartyBmayceasetopaytherentfromthedatewhenanEventofForceMajeureoccursuntilthePropertyresumesfitforuseandresidence.IfthePropertycannotbeproperlyusedduetosuchEventofForceMajeureformorethanten(10)days,PartyBhastherighttoterminatetheAgreementwithoutanyliabilitiesbyservingPartyAawrittennotice,inwhichcasePartyAshallrefundthefullDepositwithoutinterestwithinseven(7)daysuponterminationofthisAgreement.IfPartyAwishestorepairthePropertyandcontinueperformanceofthisAgreement,duringtherepairandmaintenanceperiod,PartyAshallprovidePartyBwithresidenceonconditionnoworsethanthatofthePropertyforfree.如因甲方原因或不可抗力事件导致该房屋的设施故障如停水、停电、停供燃气、停供暖气等连续超过三(3)日或在三十(30)日内累计超过五(5)日,则乙方有权不予支付该等故障期间的租金。IfanyfacilityinthePropertyisoutoforder,suchascuttingoffsupplyofwater,electricity,gasorheating,formorethanthree(3)daysconsecutivelyorfive(5)daysaccumulativelyinthirty(30)days,duetoPartyA’sreasonoranEventofForceMajeure,PartyBisentitledtoexemptfromtherentforsuchperiod.九、 违约责任:DefaultLiabilities:如乙方出现下列违约行为,甲方有权要求乙方承担违约责任:未按本协议约定支付租金、保证金及其他费用的;未经甲方书面同意而擅自改变该房屋用途导致该房屋严重损坏;未经甲方书面同意而转让、转租(本协议另有约定的除外)。PartyAisentitledtoclaimagainstPartyBforliabilitiesfordefaultifPartyBbreachesthisAgreementasfollows:PartyBdoesnotpaytheRent,Depositoranyotherexpensesasagreedhereunder;PartyBchangestheusageofthePropertywithoutPartyA’swrittenconsentsothatthePropertyisdamagedseverely;PartyBassignsorsub-leasesthePropertywithoutPartyA’swrittenconsent(unlessotherwiseprovidedhereunder).如甲方未按本协议约定提供合法有效并可供财务入账的税务发票的,乙方有权拒绝支付该期的租金;另外,乙方亦有权(而并非乙方的义务)根据中国法律自支付的租金中扣除各种应由甲方支付的针对该房屋的税费(包括就租金收入应付的有关税款)。IfPartyAdoesnotprovidethelegalandvalidtaxinvoiceforthepurposeoffinancialaccountingasstipulatedhereunder,PartyBisentitledtorefusetopaytheduerent;Notwithstandingtheforegoing,PartyBisentitledbutnotobligedtowithholdfromthepaymentoftheRentthoseapplicabletaxesandexpensespayableontheleasedPropertyaccordingtothePRClaws(includingtherelevanttaxpayableonrentreceivedbyPartyA).租赁期内,如甲方交付的该房屋不符合本协议约定,致使不能实现租赁目的或该房屋存在严重缺陷,危及乙方安全的,乙方有权提前解除本协议,甲方应当在本协议终止后七(7)日内赔偿乙方因此而遭受的实际损失。DuringtheLeaseTerm,ifthePropertyhandedoverbyPartyAdoesnotconformtothatstipulatedunderthisAgreementsothatthepurposeoftheleasecouldnotbeachieved,orthereisseriousdefeatinthePropertywhichmayendangerPartyB,PartyBisentitledtounilaterallyterminatethisAgreementbeforeexpiry,andPartyAshallcompensatePartyBforanyactuallossessufferedbyPartyBwithinseven(7)daysuponterminationofthisAgreement.甲、乙双方将共同指定一家专业机构作为在本协议履行期间唯一有权进行空气质量以及相关事项测试的机构,并在租赁期开始前对该房屋进行空气质量检测,相关检测费用由乙方承担。如该房屋内的任何事物,包括附属设施设备、装修附着物等被证明对乙方/实际居住人的身心健康产生危害或不符合国家和地方政府关于室内空气质量标准的规定,乙方有权:立即终止本协议,无须支付任何违约金。甲方应当返还所有乙方已付款项,包括但不限于租金和保证金,并应赔偿乙方因此而遭受的实际损失;或者书面通知甲方进行整改。甲方应在接到乙方书面通知后的十(10)个工作日内进行整改并请上述甲乙双方指定的专业机构进行第二次测试,第二次测试的相关费用由甲方承担。如果第二次测试的结果仍然达不到相关标准,乙方有权立即终止本协议,无须支付任何违约金。甲方应当返还所有乙方已付款项,包括但不限于租金和保证金,并应赔偿乙方因此而遭受的实际损失。如果该房屋在第二次测试后达到相应空气质量标准(以上述专业机构证明该房屋达到空气质量标准的正式书面测量结果为准),本协议继续履行。BothPartiesshalljointlydesignateoneprofessionalairqualitytestorganizationastheonlyauthorityorganizationduringtheperformanceofthisAgreement,andtheairconditionofthePropertyshallbetestedbythesaidorganizationatPartyB’scostbeforethecommencementoftheLeaseTerm.IfanyitemintheProperty,suchastheFacilities&Equipmentanddecorationfixtures,isprovedtobedangeroustothehealthmentallyorphysicallyofPartyB/theActualResident,ortheairconditiondoesnotconformtoStateandlocalregulationsontheairqualitystandard,PartyBisentitledto:forthwithterminatethisAgreementwithoutpayinganyliquidateddamages.Inthissituation,PartyAshallrefundallpaidsumsincludingbutnotlimitedtotheRentandDeposittoPartyB,andshallcompensatePartyBforanyactuallossessosuffered;orgiveawrittennoticetoPartyAforrectification.Inthissituation,PartyAshallimprovetheairqualityandasktheaforesaidprofessionalorganizationtoconductthesecondtestatPartyA’scostwithinten(10)daysafterreceivingthewrittennotice.Iftheresultofsuchsecondteststillfailstomeettherelevantairqualitystandard,PartyBhasrighttoforthwithterminatethisAgreementwithoutpayinganyliquidateddamages.PartyAshallrefundallpaidsumsincludingbutnotlimitedtotheRentandDeposittoPartyB,andshallcompensatePartyBforanyactuallossessosuffered.Iftheresultofsuchsecondtestmeetstherelevantairqualitystandardsubjecttotheofficialtestreportissuedbytheaforesaidprofessionalorganizationinwrittenform,thisAgreementshallbesequentiallyperformed.在租赁期内,如乙方对空气质量有异议,可以进行空气质量测试,相关费用由乙方个人承担。如经上述专业机构检测,该房屋内任何事物被证明对乙方/实际居住人的身心健康产生危害或不符合国家和地方政府关于室内空气质量标准的规定,且非因乙方原因导致,乙方有权:立即终止本协议,无须支付任何违约金。甲方应当返还保证金和当月所余租期之相应租金,并应赔偿乙方因此而遭受的实际损失。或者书面通知甲方进行整改。甲方应在接到乙方书面通知后的十(10)个工作日内进行整改并请上述甲乙双方指定的专业机构进行第二次测试,第二次测试的相关费用由甲方承担。如果第二次测试的结果仍然达不到相关标准,乙方有权立刻终止本协议,无须支付任何违约金。甲方应当返还租赁保证金和当月所余租期之相应租金,并应赔偿乙方因此而遭受的实际损失。如果该房屋在第二次测试后达到相应空气质量标准(以上述专业机构证明该房屋达到空气质量标准的正式书面测量结果为准),本协议继续履行。DuringtheLeaseTerm,ifPartyBisnotsatisfiedwiththeairqualityoftheProperty,he/shemayrequireforconductingairqualitytestbythedesignatedprofessionalorganizationatPartyB’scost.Afterthetestbytheaforesaidprofessionalorganization,ifanyiteminthePropertyisprovedtobedangeroustothehealthmentallyorphysicallyofPartyB/theActualResident,ortheairconditiondoesnotconformtostateandlocalregulationsonairqualitystandardnotaccusabletoPartyB,PartyBisentitledto:forthwithterminatethisAgreementwithoutpayinganyliquidateddamages.Inthissituation,PartyAshallrefundtheDepositandanyunusedportionoftheRentpaidforthecurrentmonthtoPartyB,andshallcompensatePartyBforanyactuallossessosuffered;orgiveawrittennoticetoPartyAforrectification.Inthissituation,PartyAshallimprovetheairqualityandasktheaforesaidprofessionalorganizationtoconductthesecondtestatPartyA’scostwithinten(10)daysafterreceivingthewrittennotice.Iftheresultofsuchsecondteststillfailstomeettherelevantairqualitystandard,PartyBhasrighttoforthwithterminatethisAgreementwithoutpayinganyliquidateddamages.PartyAshallrefundtheDepositandanyunusedportionoftheRentpaidforthecurrentmonthtoPartyB,andshallcompensatePartyBforanyactuallossessosuffered.Iftheresultofsuchsecondtestmeetstherelevantairqualitystandardsubject
