ustedtoPartyB,orthematerialsprovidedbyPartyAiswrong/incompleteorPartyAmakesmajoralterationstotheapproveddesignandtheinformationgiven,asaresultofwhich,hascausedPartyBtoredothedesignwork,orhasgeneratedun-necessaryabortiveworks,bothpartiesshallenterintonegotiationandtodrawupasupplementarycontract.PartyAshallcompensatePartyBfortheadditionalworkloadinaccordancetothenewagreement.6.1.3在合同履行期间，甲方单方提出解除合同的，乙方已起先设计工作的，甲方应依据乙方已进行的实际工作量支付设计费。6.1.3ShouldPartyAterminatetheContractduringthecontractualperiod,PartyAshallpayPartyBaccordingtotheactualworkdone.6.1.4甲方在收到乙方付款通知书后30天内，按本合同第五条规定的金额和时间向乙方支付设计费用；在收到付款通知书的60天仍未支付，每逾期支付一天，应担当应支付金额千分之一的逾期违约金。逾期超过30天以上时，乙方有权暂停履行下阶段工作，并书面通知甲方。甲方上级对设计文件不审批或本合同项目停缓建，甲方均应支付应付的设计费。6.1.4.PartyAshallpaythedesignfeetoPartyBwithinThirty(30)daysuponreceivingtheNoticeofPaymentfromPartyAaccordingtotheamountandthetimestipulatedinArticle5.IncasethatsuchpaymentisdelayedforSixty(60)daysuponreceivingtheNoticeofPayment,thenapenaltyof0.1%ofthedueamountofpaymentonadailybasisshallbepaidbyPartyA.Incasethatsuchpaymentisdelayedforaperiodover30days,PartyBshallhavetherighttosuspendtheirdesignworkforthenextphaseandshallinformPartyAinwriting.IncasethatthemanagementofPartyAdoesnotapprovethedesigndocumentsortheconstructionoftheprojectofthisContractisstoppedor..postponed,PartyAshallneverthelesspaytheduedesignfee.6.1.5甲方要求乙方比合同规定时间提前提交设计文件时，甲方应支付赶工费。6.1.5IfPartyArequestsPartyBtosubmitthedesigndocumentsaheadofthestipulatedtimeasmentionedintheContract,PartyAshallmakeadditionalpaymentforfastandimmediateservice.6.1.6为乙方派往现场的工作人员供应工作便利条件。6.1.6PartyAshallprovidesiteofficeandallrelevantofficestationaryforPartyB’spersonnelwhoarebeingsenttoworksiteduringtheconstructionstage.6.1.7甲方应爱惜乙方的设计版权，未经乙方同意，甲方对乙方交付的设计文件不得复制或向第三方转让或用于本合同外的项目，如发生以上状况，乙方有权索赔。6.1.7PartyAshallprotectthedesigncopyrightofPartyB.WithoutPartyB’sconsent,PartyAshallnotduplicateoftransfertoathirdpartyorusethedesigndocumentsforotherprojects.Iftheabove-mentionedishappened,PartyBshallhavetherighttoclaim.6.2乙方责任：6.2ResponsibilitiesofPartyB:6.2.1乙方按本合同第四条规定的内容、时间及份数向甲方交付设计文件。6.2.1PartyBshallsubmittoPartyAtherequireddesigndocumentsinrightcontent,timeandcopiesaccordingtotheclauseofArticle乙方对设计文件出现的遗漏或错误应在施工前负责修改或补充。由于乙方设计错误造成工程质量事故损失，乙方除负责实行补救措施外，应免收损失部分的设计费，并依据损失程度向甲方偿付赔偿金，赔偿金额依据乙方和保险公司签订的设计责任保险合同计算。6.2.2PartyBshallberesponsibleforcorrectinganyomissionormistakeintheirdesigndocumentsbeforetheconstruction.IfthedesignmistakemadebyPartyBhascausedlossestoPartyA,PartyBshallnotonlyberesponsiblefortakingtheremedialmeasures,butalsoshallremitthedesignfeeforthepartofsuchlossesandshallpaycompensationtoPartyAaccordingtothedegreeofsuchloss.TheamountofthecompensationshallbedeterminedbypartyBandhisinsurancecompanyandtobeinaccordancetotheprofessionalindemnityinsurancecoverage.6.2.3由于乙方自身缘由,延误了按本合同第四条规定的设计文件交付时间,每延误一天,应减收该项目应收设计费的千分之一。6.2.3IfitisPartyB’sownfaulttohavedelayedthesubmissionofthedesigndocumentsaccordingtothestipulatedtimeasdescribedinArticle4,PartyBshalldeduct0.1%ofthedueamountofthedesignfeeonadailybasisforthedelayperiod.6.2.4合同生效后，乙方单方提出解除合同的，乙方应当依据有关规定赔偿甲方损失。6.2.4AftertheContractcomesintoforces,ifPartyBproposestoterminatetheContract,PartyBshallcompensatePartyA’slossesaccordingtotherelevantregulations.6.2.5乙方交付设计文件后，应参加甲方及相关职能部门的设计审查会议及依据审查结论负责不超出原定支配任务书范围内的必要调整补充；负责向甲方及施工单位进行设计交底，处理有关的设计问题和参加竣工验收。乙方应派相关人员参加施工期间的例会。乙方应优化设计以帮助业主将造价限制在预算内。6.2.5Afterthedesigndocumentshasbeensubmitted,PartyBshallalsoattendtheapprovalmeetingsheldbyPartyAandtherelevantcompetentauthoritiesandshallberesponsibleformakingthenecessaryadjustments,revisionsandsupplementswhichdoesnotexceedthescopeofthedocumentsofdesignrequirementsasoriginallydefinedbasedonthecommentsofsuchmeetings.PartyBshallberesponsibleforexplainingdesigndetailstoPartyAandthemaincontractor;andshallberesponsibleforsolvingalltherelevantdesignproblemsandtoattendthehandingovermeeting.PartyBshallsendtherelevantpersonneltoparticipateintheregularsitemeetingsduringtheconstruction.PartyBshouldoptimizethedesigntoassistPartyAinmeetingtheprojectbudget.6.2.6乙方不得向第三方扩散、泄漏、转让甲方提交的产品图纸技术经济资料。如发生以上状况，甲方有权向乙方索赔。6.2.6PartyBisnotallowedtodiscloseandtransfertoathirdpartyanyproductdrawing,technicalandeconomicdataetc.whichareprovidedbyPartyA.Incasethattheabove-mentionedishappened,PartyAshallhavetherighttoclaim.6.2.7未经甲方同意乙方不得将本项目的设计工作全部或部分转包给第三者。6.2.7PartyBisnotallowedtosubcontractthedesignworkcompletelyorpartiallytoanythirdpartywithoutthepermissionofPartyA.第七条其他约定Article7Otherprovisions7.1甲方要求乙方派专人长期驻施工现场进行协作和解决有关问题时，双方应另行签订技术询问服务合同。7.1WhenPartyArequiresPartyBtosendsitepersonneltotheconstructionsiteforalongperiod,thetwopartiesshallnegotiatefortheseadditionalworkandsignasupplementaryserviceContract.7.2乙方为本合同项目所接受的国家或地方标准图，由甲方自费向有关出版部门购买。7.2PartyAshallpayforalltherelevantpublicationsandstandardcollectionsofdrawingsissuedbythestateandlocalgovernmentwhichareneededbyPartyBforthepurposeofdesigningtheproject.7.3本合同第四条规定乙方交付的设计文件份数超过本合同第四条规定的份数，乙方另收工本费。7.3IfPartyBisrequestedtosubmitdesigndocuments,ofwhich,thenumberofcopiesaremorethanthosestipulatedinArticle4ofthisContract,PartyAshallpayforthoseadditionalcopies.7.4本工程项目中，建筑材料、设备的加工订货，甲方须要乙方设计人员协作时，所需费用由甲方担当。7.4IfPartyArequiresPartyBtoprovidepersonneltoassistthemforprocurementpurposes,suchastheprocurementofbuildingmaterial,equipmentsetcs;theexpensesneededshallbebornebyPartyA.7.5甲方托付乙方担当本合同内容之外的工作服务，另行支付费用。7.5IfPartyAentrustsPartyBtoundertakethoseworkandserviceswhicharebeyondthisContract,PartyAshallpayadditionalfee.7.6由于不行抗拒因素致使合同无法履行时,双方应刚好协商解决。7.6WhenthisContractcannotbeexecutedbecauseoftheunforeseeablenaturalforces,thetwopartiesshalltimelynegotiatetosolvetheproblem.7.7本建设工程设计合同在履行过程中发生纠纷，双方应刚好协商解决。协商不成时，双方同意由上海市仲裁委员会仲裁。7.7BothpartiesshalltimelydiscusseachotherforthesettlementofanydisputearisingduringtheexecutionofthisContract.Incasethatsuchdiscussionfails,bothpartieshaveagreedappealingtoShanghaiMunicipalArbitrationCommissioncanbeaccepted.7.8甲方聘请为甲方的顾问，帮助甲方进行设计管理和建筑设计询问。费用由甲方另行支付。7.8PartyAhasengagedtoactasPartyA’sconsultantstoassistPartyAtoprovidethedesignmanagementanddesignconsultationservices.ThefeewillbepaidbyPartyAdirectlyandseparately.7.9本合同未尽事宜，双方可签订补充协议，补充协议和本合同具有同等效力。7.9Supplementaryagreementcouldbemadebetweenthetwopartiesincasethatanyadditionalclauseshallbeadded.ThesupplementaryagreementshallhavethesameeffectandpowerasthisContract.7.10本合同一式八份，甲执四份，乙执三份，政府部门一份。7.10ThisContractshallbemadein8copies.PartyAshallhold4copies.PartyBshallhold3copies.Thegovernmentauthoritydepartmentshallholdonecopy.7.11本合同以中英比照书写，如有冲突，应以中文文本为准。7
