CooperationAims奔驰汽车有限公司与汽车工业高级技工学校强强联手， 充分利用企业与学校各自教育培训资源优势，积极引进德国双元制教育培训模式， 实施客户化定制职业教育， 缩短高素质蓝领工人进入企业的适应期， 实现为企业打造高素质蓝领技术人才队伍， 促进企业核心竞争力的提高，更好的为企业经营发展战略服务。奔驰汽车有限公司（以下简称：公司）与汽车工业高级技工学校（以下简称：学校）充分发挥各自的优势和特色， 拟合作共建数控加工奔驰试验班，经双方协商达成以下合作框架协议。Therefore,BACandPABwillcombinetheirstrengthsandopportunitiesinordertofullyutilizetheeducationandtrainingadvantagesofenterpriseandschoolrespectively,activelyimport “dualsystem”educationalsystemfromGermany.Thecustomizedvocationaleducationwillgreatlyshortentheadaptationperiodofhigh-qualityblue-collarintheenterprise,establishatechnicalteamfortheenterprise,promotetheimprovementofcorecompetencesandservetheoperatingdevelopmentfortheenterprise.Atthesametime,itwillalsoenhancethevocationaleducationlevel of the school to provide better training services.BenzAutomotive Co.,Ltd.(BAC)andAutomobileIndustryAdvancedTechnicalSchool(PAB),givefullplaytotheiradvantagesandcharacteristicsandplantocooperateintheestablishmentof“CNCPilotClass”.Thefollowingcooperativeframeworkagreementsarereachedunderthenegotiationofeitherparty:2.任务和目标 TaskandObjective数控加工奔驰试验班的任务是为奔驰汽车有限公司提供职业学历教育和职业培训服务。 职业学历教育按照试验班模式运作，为公司培养技术工人；职业培训主要是培训在岗技术工人。CNCPilotClassaimstoprovidevocationaleducationandtrainingserviceforBBDC.Accompaniedwithpilotclassmode,thevocationaleducationaimstotraintechnicalworkersforBBACandvocationaltrainingismainlyresponsiblefortechnicalworkersonthejob.数控加工奔驰试验班是校企非盈利合作项目，利用德国先进的职业教育理念，提升汽车工业高级技工学校的教育与培训能力及其学生的职业技能。Asakindofnon-profitcooperativeorganizationofschoolandenterprise,CNCPilotClassutilizestheadvancedGermanvocationaleducationconcepttoimprovetheeducationandtrainingcapacityofPABandtheprofessionalskillsofthestudents.数控加工奔驰试验班计划 2011年9月参照双元制模式正常开班。首届暂开 2个试验班，层次为中职班，试行小班制教学，每个班 30名学生。从在校生中挑选合适人选加入奔驰班，试验班学制 1年，经考试和考核合格，准予毕业并颁发国家统一认可的毕业证书。ThePilotClassplanstoopennormallywith “DualSystem”modeinSeptember,2011.Thefirstbatchhastwopilotclassestemporarily andtriesoutteachingmethodwithsmallclassof30students.Theywillbeselectedfromtheinternalstudents.Afteroneyear ’sstudyinpilotclasswithqualifiedexamination result,studentswillwinthequalification tograduatewithjuniorcollegecertificaterecognized bythecountry.BACwillgive priority toemploythegraduatesinpilotclass.3.合作双方分工 Divisionofthecooperativeparties:3.1学校方分工： BACParty:1）参与学校试验班招生和选拔工作。Participatetherecruitmentofpilotclass.（2）参与组织和实施试验班教学工作。Participatethemanagementofteachingoftheclass.3）参与组织和实施试验班学生管理工作。Participatethemanagementofstudentsoftheclass.4）参与组织和实施试验班教师和教辅人员管理工作。Participatethemanagementofteachersandteachingauxiliarystaffsintheclass.（5）参与组织和实施试验班学生工厂实习管理工作。Participatethepracticemanagementofstudentsinthefactory.（6）组织和实施试验班奖学金管理和发放工作。Organizeanddispenseofscholarship.（7）参与组织和实施试验班突发事件应急预案。Participatetheemergencypreparednessofpilotclass.（8）参与组织和实施试验班 RightandObligationofCooperativeparties4.1学校方权利与义务 RightandobligationofAutomobileIndustrialSchool1）负责提供实训场地、教室、办公室及通讯、网络、电、水、供暖等配套设施，充分保证职业学历教育与职业培训的实际需要。Providepracticingandtrainingsites,classrooms,officesandthematchingfacilitiesofcommunications,networks,electricity,waterandheatingandsoon,andkeepingthemrelativelystableinuse.（2）负责提供日常普通教学用具、投影仪等教学辅助设施。Providetheteachingsubsidiaryfacilitiessuchasdailyordinaryteachingtoolsandprojectors,etc.（3）负责提供培训所需通用设备、设施。Providethebasicequipmentsandfacilitiesthattrainingneeds,（4）负责选派专业教师担负职业学历教育，并支付费用。Designatevocationalteachersinchargeofoccupationaleducation,andpayingexpensesforteachers.（5）负责试验班的教学和管理。Beresponsiblefortheteachingandeducationofpilotclass.（6）负责指定专人担负试验班的日常事务管理。Appointkeypersontobeinchargeofthedailyaffairmanagement.（7）参与安排试验班师生到公司实习。BeresponsibleforthearrangementoftheBACpracticeofstudentsandteachersinpilotclass.8）负责试验班学生选拔工作。Beresponsiblefortheselectionofstudents.9）主持数控加工技术专业的课程开发，与公司合作开发的成果版权共享。PresidethecoursedevelopmentofCNCtechnologymajorandsharethecopyrightwithBAC.4.2BAC方权利与义务 RightandobligationofBenz-DaimlerChryslerCo.,Ltd.（1）协助选派公司技术人员、管理人员或专家提供讲座或进行授课。Assistselectingtechnicalstaffs,managersorexpertsofBACfortheschoolteachingofvocationaleducation.2）设立职业学历教育奖学金，用于奖励试验班的优秀学生。奖学金管理办法见附件。Beresponsibletoestablishthevocationaleducationalprizetorewardthestudentsinpilotclass.TheattachmentisScholarshipManagementOrdinances3）有权参与试验班的管理工作。HavetherighttojoininthemanagementofthePilotClass.（4）负责安排试验班学生到公司实习。Beresponsibleforthearrangementofpracticeinthefactoryofpartialstudentsoutofpilotclass.5）负责试验班学生选拔工作。Beresponsiblefortheselectionofstudents.6）优先录用奔驰班毕业生，择优录用汽车工业高级技工学校的其他毕业生。HavetheprioritytorecruitgraduatesinthepilotclassandselectothergraduatesinPAB.（7）共同制定数控加工技术专业的课程，并共同享有教材版权。WorkingoutofCNCtechnologymajorcoursetogetherandsharethecopyrightofteachingmaterials.5.日常管理与运行 OperationofPilotClass5.1工作人员及管理办法 Theworkingstaffsinthecenterandmanagement奔驰班日常管理设主任1名，由学校指派并支付工资。设副主任1名，由公司指派并支付工资。ThePilotClasssetsonedirectorinchargeofdailymanagementwhichwillbeappointedandpaidbyPAB.ThePilotClasssets1vicedirectorandwillbepaidbyBAC.5.2职业教育与培训对象 TheEducationalandTrainingObjects职业培训对象：奔驰汽车有限公司在岗技术工人、技师。Theobjectofvocationaltraining:theskilledworkersandtechniciansemployedbyBAC.5.3教育与培训模式 Theeducationalandtrainingmode职业教育模式：参照双元制教学模式、参照奔驰公司技术工人岗位标准进行培训教学。Themodesofvocationaleducation:thetrainingwillcarryoutaccordingto“dualsystem”andthepoststandardsofBAC.职业培训模式：按照培训项目要求进行运作。Themodesofvocationaltraining:Operatingaccordingtotherequirementsoftrainingitems.5.4培训教师将主要来源于汽车工业高级技工学校现有专业、 外语基础较好的中青年教师。ThetrainingteachersofPilotClasswillmainlycomefromthepresentmiddleandyoungteacherswithbetterforeignlanguagefoundationofPAB.6.违约责任 Liabilitiesforbreachofcontract6.1合作双方应本着真诚合作、互惠互利的原则，建设性的履行本协议，任何一方不履行本协议或未按协议约定履行的行为视为违约，并应赔偿由此给守约方造成的损失。Onthelightoftheprincipleofsincerecooperationandmutualadvantage,eachpartyshouldperformtheagreementconstructively.Anyfailurebyapartytocarryouttheagreementorviolatetheagreementwillbeconsideredasabreachandshouldcompensatetothelossofobservantparty.6.2如学校方非因不可抗力原因单方终止职业学历教育合作内容， 公司有权撤回本公司投入的所有的设备资产，并应赔偿由此给公司造成的损失。IfthePABpartyterminatesthecooperativecontentsofvocationaleducationone-sidedduetoforcemajeure,BAChastheobligationtowithdrawalltheequipmentassetsassamplevehicleandspecialdetectionequipmentsprovidedbythecompanyandcompensateandthelossshouldbecompensatedbroughttoBAC.6.3职业培训的违约责任及其赔偿将在具体合作项目协议中约定。Theliabilitiesforbreachofcontractandcompensationofvocationaltrainingwillbeagreedinthespecificcooperativeproject.7.协议的解除条件 Terminationconditionoftheagreement当出现下列情形之一，合作各方本着协商一致的原则，可以提前解除本协议：Whenoneofthefollowingconditionsoccurs,eachpartyofthecooperationcanterminatetheagreementinadvancewiththeconsensusprinciple:（1）当初约定的客观条件发生重大变化，导致协议无法履行的；Theappointedobjectiveconditionsmakeimportantchangesandcan ’tbecarriedout;（2）合作主体方提出解除本协议并征得各方一致同意的；Conditionsinwhichthecooperativeobjectproposestoterminatetheagreementwiththeconsensusofeachparty;（3）当合作主体一方严重违反本协议的约定，导致协议无法履行的。Thecooperativepartyseriouslyviolatestheagreementandtheagreementcan ’tbeperformed.8．协议的终止条件Terminationconditionoftheagreement当出现下列情形之一，本协议将终止执行：Whenoneofthefollowingconditionsoccurs,theagreementwillbeterminated:（1）约定期满，合作各方无意续约的；Eachpartyinthecooperationhasnointentiontorenewwhentheagreementexpires;（2）当上述第 7项中任何一种情形出现导致协议解除的。Whenoneoftheaboveconditionsofarticle7occurs,theagreementisterminated.9．协议的变更 Alternationoftheagreement合作任何一方需要变更本协议条款，均需书面通知其余方，经各方协商一致，达成书见。各方未达成书面意见前，本协议仍然有效，仍应继续履行。

面意Anypartyofthecooperationneedstochangethearticlesoftheagreement,writtennoticeisrequiredtotheotherparty.Theconsensusofeachpartyshouldbereached.Beforethat,theagreementisstilleffectiveandshouldbeperformed.10．不可抗力 ForceMajeure任何一方因不可抗力不能履行本协议，根据不可抗力的影响，部分或全部免除责任。Anypartycan’tcarryouttheagreementduetothemajeure,part
