EmploymentContract

ThisEmploymentContract(the“Contract”)ismadeandenteredintoonthedateof[insertdate](“EffectiveDate”)byandbetween[insertemployername],a[insertcompanytypeandlocation](the“Employer”)and[insertemployeename](the“Employee”).

1.EmploymentPosition

TheEmployerherebyemploystheEmployeeinthepositionof[insertjobtitle](the“Position”)effectivefromtheEffectiveDate.TheEmployeeshallperformalldutiesrequiredoftheminaprofessionalanddiligentmannerandshalldevotetheirbesteffortsandfulltimeattentiontotheirduties.TheEmployeeisresponsibleforcomplyingwithallpolicies,procedures,rules,andregulationsoftheEmployer.

2.Compensation

TheEmployershallpaytheEmployeeabasesalaryof[insertsalaryamount]perannum,whichshallbepaidona[insertfrequency]basis.TheEmployee’ssalarymaybesubjecttoreviewandadjustmentonanannualbasis.Inaddition,theEmployeemaybeeligibletoreceivebonuses,benefits,andotherformsofcompensationasdeterminedbytheEmployer.

3.Term

ThisContractshallcommenceontheEffectiveDateandcontinueuntilterminated.TheEmployerreservestherighttoterminatetheContractatanytimeandforanyreasonuponwrittennoticetotheEmployee.TheEmployeemayterminatetheContractbyprovidingwrittennoticetotheEmployer.Upontermination,theEmployeeshallreturnallpropertybelongingtotheEmployerandanyconfidentialinformationshallbekeptconfidential.

4.ConfidentialityandNon-Disclosure

TheEmployeeacknowledgesthattheymayhaveaccesstoconfidentialinformation,tradesecrets,andintellectualpropertyoftheEmployer,whetherinverbal,written,orelectronicform.TheEmployeeagreestokeepallsuchinformationconfidentialandnottodisclosesuchinformationtoanythirdpartieswithoutpriorwrittenconsentoftheEmployer.

5.IntellectualProperty

TheEmployeeacknowledgesthatallintellectualpropertycreatedbytheEmployeeduringthetermofthisContractshallbethepropertyoftheEmployer.TheEmployeeagreestoassignanyandallrightstosuchintellectualpropertytotheEmployer.

6.Non-CompetitionandNon-Solicitation

TheEmployeeagreesthatforaperiodof[inserttimeframe]afterterminationofthisContract,theyshallnotengageinanybusinessthatdirectlycompeteswiththebusinessoftheEmployerorsolicitanyclients,customers,oremployeesoftheEmployerwithoutpriorwrittenconsentoftheEmployer.

7.GoverningLawandJurisdiction

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[insertjurisdiction].AnydisputesarisingunderorinconnectionwiththisContractshallberesolvedinaccordancewiththelawsof[insertjurisdiction]andthecourtslocatedin[insertjurisdiction].

8.EntireAgreement

ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallpriornegotiations,understandings,andagreementsbetweenthepartiesrelatingtothesubjectmatterofthisContract.AnymodificationofthisContractmustbeinwritingandsignedbybothparties.

INWITNESSWHEREOF,thepartieshaveexecutedthisContractasoftheEffectiveDatesetforthabove.
