9GeneralTerms

一般条款为本合同不可分割的一部分。对该条款中任何一款的修改和删除应在备注中注明。TheGeneralTermsshallconstituteanintegralpartoftheContract.AmendmenttoordeletionofanygeneraltermsshallbespecifiedintheRemarks.

10仲裁：凡因本合同引起的或与本合同有关的任何争议，双方同意提交：（中国国际经济贸易仲裁委员会[CIETAC]；国际棉花协会[ICA];其它仲裁机构），按照申请仲裁时该仲裁机构现行有效的仲裁规则进行仲裁。

10Arbitration:AnydisputearisingfromorinconnectionwiththeContractshallbereferredto(CIETAC，ICA,OTHERS)forarbitrationinaccordancewithitsarbitrationruleseffectiveatthetimeofapplication.

11本合同采用书面形式，由买卖双方授权代表签字。双方在合同签订日之前以其它书面通讯方式,如信函、电报、传真或电子邮件形式达成的成交内容，须由本合同确认。

GENERALTERMS

本一般条款是《棉花买卖合同》不可分割的一部分。

TheseGeneralTermsshallbeanintegralpartoftheCottonPurchaseContract.

1定义

1Definitions

在本合同中,下列词语的含义如下:

ThefollowingtermsshallhavethefollowingmeaningsintheContract:

·CIQ：中国出入境检验检疫机构。

CIQ：ChinaEntry-ExitInspectionandQuarantine

·NCL：不允许超出控制界限。

NCL：Nocontrollimitisallowed.

·USDA：美国农业部。

USDA:UnitedStatesDepartmentofAgriculture

·通知：采用电报、信函、传真、电子邮件等方式告知对方。

Notification:tonotifytheotherpartybytelegraph,mail,fax,e-mail,orothermethods.

·皮重：棉花包装材料的重量。

Tare:theweightofcotton’spackagingmaterials.

·净重：总重扣除皮重后的重量。

NetWeight:thegrossweightlesstare.

·非棉物质：混入棉花中对使用有严重影响的硬软杂物，如化纤丝、麻丝、破布、木屑、金属物品等。

Non-CottonSubstance:softorhardsundriesmixedinthecottonthathaveseriousimpactontheuseofthesame,includingchemicalfiber,flax,cloth,woodenchipsmetalarticles,etc.

·无纺用价值棉花：霉变棉、水渍棉、油污棉、火烧棉、棉花废料、棉短绒等。

NoSpinningValueCotton:mouldycotton,waterdamagedcotton,oilstainedcotton,burnedcotton,cottonwasteandlinters,etc.

·棉花废料:加工或使用棉花过程中产生的下脚回收废料等。

CottonWaste:leftoverand/orrecyclingwasteleftduringtheprocessingoruseofthecotton.

·欺诈棉包：单个棉包中：含有与棉花完全无关的非棉物质；里面含有污染棉花，但从棉包外部或可看出或看不出来；好棉花在外面，次棉花包在里面，以免在常规检查中被发现；有一定数量的无纺用价值棉花。

FalsePackedBale:cottoninasinglebale:containingsubstancesentirelyforeigntocotton;containingdamagedcottonintheinteriorwithorwithoutanyindicationofsuchdamageupontheexterior;composedofgoodcottonupontheexterioranddecidedlyinferiorcottonintheinterior,insuchamannerasnottobedetectedbycustomaryexamination;orcontainingacertainamountofnospinningvaluecotton.

·混杂棉包：单个棉包中含有一定数量不同品级、不同长度或不同颜色类型的棉花。

MixedPackedBale:abalecontainingacertainamountofdifferentgrades,staplesorcolorsofcotton.

·溢短装率：到岸重量超出或少于合同规定重量的部分占合同总重量的百分率。

WeightToleranceRatio:thepercentageofthepartoftheCIQlandedweightexceedingorshorterthantheweightprovidedbytheContractagainstthetotalcontractweight.

·棉包密度：采用通用棉包密度，是指根据国际标准化组织——ISO第8115-1986（E）的规定，一个货包长度在1060-1400毫米，宽度540毫米，高度700-950毫米。

BaleDensity:UniversalBaleDensityasdeterminedbytheInternationalStandardsOrganization–ISOReferenceNo.8115-1986(E)isabalewiththenominaldimensionsof1060to1400mminlengthby540mminwidthand700-950mminheight.

2包装

2Packing

适合于海运的紧缩机出口包装，外裹棉布或其他不能产生异性纤维的包装，捆扎牢固，包装完整。如果使用容易产生异性纤维的包装材料包装棉花，则卖方须承担全部清理异性纤维的费用。棉花须以通用密度压缩货包的形式供货。

Compressedexportpackingsuitableforvoyage,outsidewrappedbycottonclothorotherpackingmaterialsthatdonotcontainforeignmatters,tightlyandcompletelypacked.Ifanypackingmaterialsthatmayeasilyproduceforeignmattersareusedtopackthecotton,theSellershallbearalltheexpensesforthecleaningofforeignmatters.Thecottonshallbesuppliedinformsofuniversaldensitycompressedpackage.

3唛头

3Marks

除非另有约定，在棉包上挂有永久性棉包标识卡或在棉包的两侧用不褪色的颜料按下列项目逐包刷唛，其内容为：

若唛头不清，由此而产生的混唛理货费由卖方承担。

Ifthemarksarenotclear,alltheexpensesarisingfromsortingthemixedmarkbalesshallbebornebytheSeller.

4装船通知

4ShipmentNotice

如为FOB成交:卖方应在收到船公司的装运通知后48小时内，通知买方合同号、品级、长度级或小样型号、包装、净重、金额；装船日期、装船口岸、目的港和预计到港日期，并航寄、传真或电子邮件的形式将装船单据副本一式三份给买方。

UnderFOBterms:theSellershallnotifytheBuyerbytelegraph,faxore-mailofthecontractnumber,grade,stapleortype,packing,netweight,andprice;aswellasshipmentdate,shipmentport,destinationportandestimatedarrivaldatewithin48hoursafternotificationfromtheshippinglineandmail,faxore-mailthreecopiesoftheduplicationsoftheloadingdocumentstotheBuyer.

如为CFR/CIF成交:卖方应在收到船公司的装运通知后48小时内，通知买方船名、船龄(老船卖方要付超龄加保费)、船旗、装船日期、装船口岸、目的港、合同号、提单号、总金额、毛重、净重。

UnderCFR/CIFterms:theSellershallnotifytheBuyeroftheshipname,shipage(foragedshiptheSellershallpaytheover-ageextrapremium),shipflag,shipmentdate,shipmentport,destinationport,contractnumber,numberofthebilloflading,totalprice,grossweightandnetweightwithin48hoursaftertheshipmentnotificationfromtheshippingline.

如卖方未按上述、款规定通知买方，以致买方未能及时购买保险，由此而产生的损失由卖方负担。

IftheSellerfailstonotifytheBuyerbytelegraph,faxore-mailasprovidedinaboveArticle

andArticleandthustheBuyerisunabletopurchasetheinsuranceintime,allthelossesarisingtherefromshallbebornebytheSeller.

英文检测合同范本第2篇本协议于日订立。

BETWEEN协议订立双方为：

(1)VOLKSWAGENGROUPIMPORTCO.,LTD.(companynameinChinese:(formerlyknownasVolkswagenImportCo.,Ltd),awhollyforeignownedlimitedliabilitycompanyincorporatedunderthelawsofPRCwhoseregisteredaddressisatRoom519-3TengdaBuilding,No.18,InternationalTradeRoad,TianjinPortFreeTradeZone(the“VGIC”);and

大众汽车（中国）销售有限公司（以前叫做“大众汽车销售有限公司”），该公司为外商独资有限公司，依据_的法律组建而成，注册地址为：

).（下文中称为“经销商”）。

EachofVGICandtheDealerisa“party”,andcollectivelyarethe“parties”.

大众公司和经销商在本协议中单独称为“一方”，集体称为“双方”。

WHEREAS:鉴于：

A.ThepartiesenteredintoaContractwithAuthorizedPurchaser(Dealer)ofLamborghiniImport“DealerContract”).

协议双方于日签署了一份兰博基尼授权买家（经销商）合同（下文中称为“经销商合同”）。

B.ThepartiesagreetoterminatetheDealerContractinaccordancewith,andsubjectto,thetermsandconditionsofthisAgreement.

协议双方同意根据本协议的条款和条件终止所述经销商合同。

THEREFOREthepartiesherebyagreeasfollows:故此，本协议双方现此约定如下：

1.Termination第一条协议的终止“EffectiveDate”).本协议双方约定从日起终止所述经销商合同（生效日期）。

Eachparty’srightsandobligationsundertheDealerContractshallceaseimmediatelyontermination,exceptfortheclauseswhichareexpressedtosurvivetermination.TheDealerherebyrenouncesandsurrendersanyandallrightsgrantedpursuanttoorinrelationtoDealerContract.

所述经销商合同终止时，本协议各方在该合同项下的权利和义务立即终止，除非该合同中明确规定某权利和/或义务应当在合同终止后继续生效。经销商现此放弃并让出自己和所述经销商合同相关的所有权利。

terminationoftheDealerContractdoesnotofitselfgiverisetoanyliabilityonthepartofVGICtopayanycompensationtotheDealer,includingbutnotlimitedto,forlossofprofitsorgoodwill.

所述经销商合同的终止不会产生大众公司向经销商给予任何补偿的义务，包括但不限于利润和商誉的损失。

TheDealerherebywaives,releasesandforeverdischargesVGIC,VGIC’semployeesandaffiliates,andanyreplacingdealershipappointedbyVGICagainstanyactions,proceedings,claims,demands,costsandexpenseswhichtheDealermaynowhaveorwouldhavehadfortheterminationoftheDealerContract,includingbutnotlimitedtoanyapplicablerightsuponterminationofagreementsithasmayhavehadundertheDealerContractoranyapplicablelaw.经销商现此放弃、免除并永远解除大众公司、大众公司的雇员和附属公司、大众公司指定的任何替代经销商就经销商针对所述经销商合同的终止可能享有的、将会享有的任何起诉、诉讼程序、索赔、权利主张、花费和开支而应当承担的责任，包括但不限于所述经销商合同终止时经销商依据任何适用的法律而享有的"、可能享有的任何适用权利。

TheDealerbyexecutingthisAgreement,forandonbehalfofDealerandallpersonsandentitieswhoatpresent,inthepastorinthefuturemayhave,havehadormayhereafterhavealegalorbeneficialownershiporotherinterestinDealer,andtheirrespectiveheirs,executors,administrators,successorsandassigns(collectivelythe“Releasors”),herebyagreestoanddoesherebyunconditionally,irrevocablyandforevervoluntarilyterminateandsurrendertoVGIC,asoftheEffectiveDate,theDealerContractandanyotheragreementsrelatingtothesaleoftheLamborghinibrandproductsandwaives,terminatesandsurrenderstoVGICanyandrightsarisingoutorrelatingtotheDealerContractorinconnectionwiththeDealerContract,including,withoutlimitation,anyandallrights,ifany,toacontinuation,extensionorrenewaloftheDealerContractoranyrelatedbusinessrelationshipsbetweenVGICandtheDealeroranyoftheotherReleasorsaftertheEffectiveDate,whichthey,oranyofthem,maynoworhereafterhaveoracquire.

通过本协议的签署，经销商代表经销商、以及过去、现在和将来和经销商可能有、已经有、之后可能有法律关系、受益所有权或者其它利益关系的任何人员和实体、其各自的继承人、执行人、管理人、继任人和受让人（总体称为“放弃权利人”），现此同意为了大众公司并无条件地、不可撤销地且永远自愿地从生效日期起终止并让出所述经销商合同以及和所述兰博基尼品牌产品的销售相关的其它任何协议，为了大众公司放弃、终止和让出因为所述经销商合同引起的或者与之相关的任何权利，包括但不限于延续、续展、续订所述经销商合同或者大众公司和经销商或者其它任何放弃权利人之间在生效日期后的任何相关业务关系的任何权利（如果有的话），因为大众公司和经销商或者其它任何放弃权利人（或者其中的部分人员）在当前或者今后可能具有或者取得该种业务关系。

ThepartiesheretointendthatthisAgreementconstituteageneralreleaseofallclaims,demands,actions,causesofaction,whetherknownorunknown,suspectedorunsuspected,thattheDealerand/oranyoftheotherReleasorshad,mayhaveormayclaimtohavetotheEffectiveDate.

本协议双方约定：本协议构成了全面免除，免除了生效日期之前经销商和/或其它任何权利放弃人享有的、可能享有的或者可能会声称享有的任何索赔、权利主张、起诉和诉因，无论是明确的还是不明确的，无论是疑似的还是非疑似的。

2.ObligationsFollowingSigningofThisAgreement第二条签署本协议产生的义务

FollowingthesigningofthisAgreement,bothpartiesshallmakebesteffortstocooperatewitheachother,includingprovidingandexecutingallnecessarydocumentsandmaterialsand

takingallnecessaryactions,toensureanuninterruptedsupplyofpartsandaftersalesservicesasrequiredbycustomersafterthedateofterminationoftheDealerContract.

本协议签署后，协议双方应当尽最大努力展开合作，包括但不限于提供并签署所有必要的文件和材料并采取必要的措施，确保所述经销商合同终止后，能够按照客户的要求不间断地提供零部件和售后服务。

FollowingthesigningofthisAgreement,theDealerundertakestoVGICthatitshall:本协议一经签署，经销商即向大众公司保证：经销商应当

(a)Immediatelyinformitscustomers(especiallyownersofvehiclessoldbytheDealer)oftheDealer’sclosureusingthemutuallyagreedtemplateattachedtothisAgreement,andobtainthecustomers’consenttothetransferofthecustomer’sinformationtoVGICandVGIC’suseofsuchinformationsubjecttotheapplicablelawsandregulationsofPRC;

使用本协议随附的且双方一致同意的方式，把经销商和大众公司之间签订的所述经销商合同的终止情况立即告知经销商自己的客户（特别是从经销商处购买了汽车的车主），取得客户同意后，把客户信息移交给大众公司，大众公司应当按照适用的_的法律和法规来使用该种信息。

(b)Immediatelyexecutethenecessarycontractsforthetransferofitsrepair,returnandreplacementobligationspursuanttotheapplicablelawsandregulationsandtheDealer’ssalescontractsforvehiclessoldbytheDealertoamutuallyagreedaffiliate;

立即根据适用的法律和法规以及经销商就销售给双方一致同意的附属公司的车辆而签订的销售合同，为维修义务、产品退回义务和替换义务的让与而签署必要的合同。

(c)immediatelytransfer,andensureitsaffiliatedcompaniestransfer,toVGICorotherVolkswagenGroupcompaniesrespectively,withoutanyconsideration,thetrademarksregisteredinthePRCand/ortrademarkregistrationappliedinthePRC,whichbelongtoVGICorotherVolkswagenGroupcompanies,andanydomainnamesregisteredinthePRC,whichcontaintheLamborghinitrademarksornameofVGICorotherVolkswagenGroupcompanies;

立即向大众公司或者大众集团的其它公司让与全部归大众公司所有的或者大众集团其它公司所有的、在_注册的商标和/或在_申请的商标注册，以及包含兰博基尼商标或者大众公司名称或者其它大众集团公司名称的任何域名，不得收取任何对价，并确保经销商自己的附属公司也这样做。

(d)immediatelyceaseusing,andensureitssubsidiariesandbranches(ifany)toceaseusing,theLamborghinitrademarksand“Lamborghini”oritsChinesetranslationsinitscorporatename;立即停止使用并确保其子公司和分公司（如果有的话）停止在其公司名称中使用兰博基尼商标、“Lamborghini”和Lamborghini的汉语译文“兰博基尼”;

(e)notapply,andensureitsaffiliatedcompaniesnotapply,directlyorindirectly,forregistrationofanytrademarksornames(includinganyChinesetranslations)belongingtoVGICorotherVolkswagenGroupcompanies.Otherwise,VGICorotherVolkswagenGroupcompaniesareentitledtorequestsuchtrademarksand/ornamestransferredtoVGICorotherVolkswagenGroupcompanies,freeofcharge,atanytime;

不得直接或者间接地申请注册属于大众公司或者大众集团其它公司的任何商标或名称（包括汉语译名），并确保其附属公司也这样做。否则，大众公司或者大众集团其它公司有权在任何时间要求把该等商标和/或名称让与给大众公司或者大众集团的其它公司。

(f)immediatelyremoveandreturntoVGIC(orotherwisedisposeofasVGICmayinstruct)allsignboardandsymbolscontainingtheLamborghinitrademarks;and

立即移除包含兰博基尼商标的任何招牌和标识并归还给大众公司（或者按照大众公司的指示处理这些招牌和标识）；以及

(g)immediatelyreturntoVGICorotherwisedisposeofasVGICmayinstructallequipmentandtools,samples,instructionbooks,technicalpamphlets,catalogues,advertisingmaterials,specificationsandothermaterials,documentsorpaperswhatsoeverprovidedbyVGICtotheDealerandrelatingtoVGIC’sbusiness(otherthancorrespondencewhichhaspassedbetweentheparties)whichtheDealermayhaveinitspossessionorunderitscontrol.

立即把经销商可能会拥有的或者控制的、大众公司提供给经销商的且和大众公司的业务有关的任何设备、工具、样品、说明书、技术手册、目录、广告材料、技术规范和其它材料、文件和文据返还给大众公司，或者按照大众公司的指示加以处理。

大众公司同意把元人民币归还给经销商，这个金额包括：

’sdealershipaccount;and元人民币的经销商经销账户余额；以及

banktransferwithin30workingdaysfromtheexecutionofthisAgreementbytheparties.元人民币的依据本协议规定归还招牌和标识的费用，本协议签署后三十天内，通过银行电子转账支付经销商。

Within30daysfollowingthesigningofthisAgreement,theDealershouldapplytoderegisteritselfwiththerelevantgovernmentauthoritiesasanauthorizeddealerofLamborghinibrandproducts,includingrevisingitsbusinessscopeshownonthebusinesslicenseaccordingly.

本协议签署后的三十天内，经销商应当向相关的政府机关申请撤销自己作为兰博基尼品牌产品授权经销商的登记，包括相应地修改经销商营业执照中业务范围。

TheDealeragreestomaintainstrictconfidentialityregardingallVGIC’sconfidentialinformation,includinganydata,information,plans,drawings,specifications,documents,know-how,physicalobjects(suchasmodels,partsordevices)ormaterialsoforrelatingtotheproduction,engineering,technology,financing,marketingofVolkswagenandLamborghiniproducts,personnelofVGIC,theirparentcorporationortheirsubsidiariesoraffiliates,ifsuchconfidentialinformationisnotknownoravailabletothepublic(“ConfidentialInformation”).TheDealerundertakesthatitwillnot,atanytime,reveal,communicate,divulgeormakeavailableanyConfidentialInformationtoanyone,otherthantosuchextentandtosuchpersonsasmayspecificallybedesignatedbyVGICinwriting.

3押金Deposit:

乙方须支付相当于两个月房租的押金（即RMB）,以人民币支票或转帐形式支付）。甲方应在收到押金后向乙方开具统一收据。

5出租人的责任PARTYA’sobligation:

3甲方声明及保证甲方为该出租房屋的合法拥有人，有合法地位出租此房屋，并就出租事宜已取得有关方面的批准。

PARTYAassurestobethelegalowneroftheleasedpremises,tohavethenecessarylegalcapacitytoleaseit,andPARTYA’actionhasbeenratifiedbytheauthoritiesconcerned.

租赁期内，若甲方出售该出租房屋导致该出租房屋所有权发生转移,甲方须保证本合同能继续执行。

IncasePARTYAsellsthepremisesduringtheleasewhichleadstothepremisesownershipbetransferred,PARTYAshallensurethatthesaidcontractwillbeimplementedcontinuously.

甲方须按时将清洁状况良好的出租房屋交付乙方使用，保证在租赁期内出租房屋内的各项设施能正常使用。PARTYAshallhandoverthesaidpremisestoPARTYBontimeandassurethesaidpremiseswillbecleanedandingoodstatusduringtheleaseterm.

甲方有义务负责出租房屋及设施的正常维护和保养，如房屋或设施非因甲方原因出现故障，甲方应在收到乙方通知后二十四(24)小时内自行或通过其他方式解决故障，否则，乙方有权雇佣第三方进行维修，由甲方承担所有费用并承担相关责任。由于不可抗力（如地震、台风、洪水、非人为的火灾等）、自然损耗或乙方以外的原因造成的损坏，亦由甲方承担有关费用。

PARTYAshallbeartheresponsibilityofthesaidpremises’normalrepairsandmaintenance,andpaythecostrelated.IncasethepremisesorfacilitiesareinbadconditionsnotduetothereasonofPARTYB,PARTYAshallcompletetherepairworkwithin24hoursuponreceiptofthenoticefromPARTYB.Otherwise,PARTYBshallhavetherighttohireanythirdpartiesfortherepairworkatthecostofPARTYA.Thecostofrepairstothesaidpremises,ifdamagedbyForceMajeure(suchasearthquake,typhoon,floodnon-manmadefire,etc)reasonablewearandtearorbyaccidentsbeyondPARTYB’Scontrol,shouldalsobebornebyPARTYA.

租赁期内，在乙方遵守合同及支付租金的前提下，未经乙方允许，甲方不得进入该出租房屋。

甲方应督促管理公司向乙方提供足够的服务，如冷水、热水、煤气,电的供应及各种设备的正常工作。PartyAshalldirectPropertyManagementCompanytoprovidesufficientandcontinuousservicestoPartyB,includingprovisionofcoldwater,hotwater,gasandelectricityandensurepropermaintenanceofequipmenttherein.

房产税及与租赁有关的所有税费由甲方承担。

PremisestaxandotherleasingrelatedtaxesshallbepaidbyPARTYA.

6承租方的责任PARTYB’Sobligations:

乙方申明及保证其在中国拥有合法居留权，并按有关规定办理必要的居住登记手续。

PARTYBassurestohavethelegalrightofresidenceinChina,andshallcompletetheresidentialformalitiescomplyingwiththelocalregulations.

住客应按时支付电话费含上网费、水电煤气费。

Theoccupantshallpaythetelephonebillsandinternetfee,extrawaterelectricitygasfeeontime.

乙方只能将出租房屋用做住宅，不得将之用作公司及代表处的注册地址，亦不可作为公开的.办公室。ThepremisesarelimitedforresidentialuseonlybyPARTYB,andareprohibitedfromregisteringaslegaladdressforanycompanyoragency,orusingaspublicoffice.

乙方不得在出租房屋内进行违反法律及政府对出租房屋用途有关规定的行为。

PARTYBshallnotcarryinthepremisesanyunlawfulorillegalactivitieswhicharenotallowedaccordingtotheleasingregulationsfromthegovernment.

租赁期内，未经甲方书面同意，乙方不得将出租房屋部分或全部转租他人。

PARTYBshallnotpartlyortotallysubletthesaidpremiseswithoutthewrittenpermissionfromPARTYA.

若因乙方使用不当或不合理使用，出租房屋及其内的设施出现损坏或发生故障，乙方应及时联络管理机构或甲方进行维修，并负责有关维修费用.

ThedamageofthepremisesorthefittingsthatarewithinthecontrolofPARTYBshallbebornebyPARTYB,andPARTYBshallcontactthemanagementofficeorPARTYAinstantly.

租赁期内，乙方对出租房屋进行装修或增加水、电、消防等设施，须经甲方同意并经有关部门批准，并由甲方执行监理，所需费用由乙方承担。双方解约时，乙方不能移走自行添加的结构性设施，甲方亦不必对上述添加设施进行补偿。
