InternationalSeaFreightContract

ThisInternationalSeaFreightContract(hereinafterreferredtoasthe"Contract")ismadeandenteredintoonthis[Date](hereinafterreferredtoasthe"EffectiveDate")byandbetween:

[CompanyName](hereinafterreferredtoasthe"Shipper"),acompanyorganizedandexistingunderthelawsof[Country],withitsprincipalplaceofbusinessat[Address],

and

[ShippingCompanyName](hereinafterreferredtoasthe"Carrier"),acompanyorganizedandexistingunderthelawsof[Country],withitsprincipalplaceofbusinessat[Address].

1.Definitions

1.1"Goods"shallmeanthecargoorconsignmenttobetransportedbytheCarrierasspecifiedintheBillofLading.

1.2"BillofLading"shallmeanthedocumentissuedbytheCarrieracknowledgingthereceiptoftheGoods,evidencingthecontractofcarriage,andcontainingthetermsandconditionsofsuchcarriage.

1.3"Freight"shallmeantheamountpayablebytheShippertotheCarrierforthetransportationoftheGoods.

1.4"Container"shallmeanthestandardizedfreightcontainerusedforthecarriageofGoods.

2.ScopeofContract

2.1TheShipperappointstheCarrierasitsexclusivecarrierforthetransportationofGoodsbyseafromtheportof[PortofLoading]totheportof[PortofDischarge].

2.2TheCarrieragreestotransporttheGoodsinaccordancewiththetermsandconditionssetforthinthisContractandtheBillofLading.

3.ObligationsoftheShipper

3.1TheShippershallprovideaccurateandcompleteinformationregardingtheGoodstobetransported,includingthedescription,quantity,weight,andvalue.

3.2TheShippershallensurethattheGoodsareproperlypacked,marked,andlabeledinaccordancewiththeapplicablelawsandregulations.

3.3TheShippershallberesponsibleforobtainingandmaintainingallnecessarypermits,licenses,anddocumentationrequiredfortheexportandimportoftheGoods.

4.ObligationsoftheCarrier

4.1TheCarriershalltransporttheGoodswithreasonablecareanddiligence,usingsuitablevesselsandequipment.

4.2TheCarriershallissueaBillofLadingtotheShipperuponreceiptoftheGoods,whichshallaccuratelyreflectthedetailsoftheshipment.

4.3TheCarriershalldelivertheGoodstotheportofdischargeinthesameconditionasreceived,exceptforanylossordamagecausedbyanActofGod,war,orotherforcemajeureevents.

5.FreightandPayment

5.1TheShippershallpaytheFreighttotheCarrierinthecurrencyspecifiedintheContractwithin[numberofdays]daysfromthedateofissuanceoftheBillofLading.

5.2Intheeventofanydelayordisputeinpayment,theShippershallbeliableforallcostsandexpensesincurredbytheCarrier,includinglegalfeesandcollectioncosts.

6.LiabilityandInsurance

6.1TheCarrier'sliabilityforanyloss,damage,ordelaytotheGoodsshallbedeterminedinaccordancewiththeapplicableinternationalconventionsandlaws.

6.2TheShippershallberesponsibleforobtaininginsurancecoveragefortheGoodsagainstallrisksduringtransportation.

7.Termination

7.1EitherpartymayterminatethisContractwithwrittennoticetotheotherpartyintheeventofamaterialbreachofthetermsandconditionsofthisContract.

7.2Upontermination,theShippershallpayalloutstandingamountsduetotheCarrierforservicesrendereduptotheterminationdate.

8.GoverningLawandJurisdiction

8.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country].

8.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedbyarbitrationinaccordancewiththerulesof[ArbitrationInstitution].

9.EntireAgreement

9.1ThisContract,togetherwithanyattachmentsorannexes,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriordiscussions,negotiations,andagreements.
