TechnicalConsultancyServicesAgreement

ThisTechnicalConsultancyServicesAgreement(the"Agreement")isenteredintoon[Date](the"EffectiveDate")byandbetween:

[CompanyName],acompanyincorporatedunderthelawsof[Country],havingitsregisteredofficeat[Address](hereinafterreferredtoasthe"Client"),

and

[ConsultancyFirmName],acompanyincorporatedunderthelawsof[Country],havingitsregisteredofficeat[Address](hereinafterreferredtoasthe"Consultant").

WHEREAS,theClientdesirestoobtaintechnicalconsultancyservicestoenhanceitsbusinessoperations;and

WHEREAS,theConsultantpossessesthenecessaryexpertise,knowledge,andresourcestoprovidesuchservices;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisessetforthherein,theClientandtheConsultant(collectivelyreferredtoasthe"Parties")agreeasfollows:

1.ScopeofServices

1.1TheConsultantshallprovidetechnicalconsultancyservicesasagreeduponinExhibitA,attachedheretoandincorporatedbyreference.

1.2ThePartiesmaymodifyorexpandthescopeofservicesuponmutualwrittenagreement.

2.Term

2.1ThisAgreementshallcommenceontheEffectiveDateandremaininfullforceandeffectuntilthecompletionoftheservices,unlessterminatedearlierasprovidedherein.

2.2EitherPartymayterminatethisAgreementbyproviding[NoticePeriod]writtennoticetotheotherParty.

3.Compensation

3.1TheClientshallpaytheConsultantafeeasspecifiedinExhibitBfortheservicesrendered.

3.2TheConsultantshallsubmitinvoicestotheClientfortheservicesprovided,andpaymentshallbemadewithin[PaymentTerms]daysfromthedateofreceiptoftheinvoice.

4.Confidentiality

4.1ThePartiesacknowledgeandagreetomaintaintheconfidentialityofallproprietaryandconfidentialinformationexchangedduringthecourseofthisAgreement.

4.2TheConsultantshallnotdiscloseoruseanyconfidentialinformationforanypurposeotherthantoperformtheservicesoutlinedinthisAgreement,withoutthepriorwrittenconsentoftheClient.

5.IntellectualPropertyRights

5.1AnyintellectualpropertyrightsarisingfromtheservicesprovidedunderthisAgreementshallbelongtotheClient.

5.2TheConsultantagreestoassign,andherebyassigns,allintellectualpropertyrightstotheClientuponpaymentoftheagreedfees.

6.Indemnification

6.1TheConsultantshallindemnifyandholdtheClientharmlessfromanyclaims,damages,orliabilitiesarisingoutoftheConsultant'snegligentactsoromissionsintheperformanceoftheservices.

6.2TheClientshallindemnifyandholdtheConsultantharmlessfromanyclaims,damages,orliabilitiesarisingoutoftheClient'suseoftheservicesprovidedbytheConsultant.

7.GoverningLawandDisputeResolution

7.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Country].

7.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughamicablenegotiationsbetweentheParties.IfthePartiesfailtoreacharesolution,thedisputeshallbesubmittedtoarbitrationinaccordancewiththerulesof[ArbitrationInstitution].

8.EntireAgreement

8.1ThisAgreementconstitutestheentireunderstandingbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,andrepresentations,whetheroralorwritten.

INWITNESSWHEREOF,thePartieshaveexecutedthisTechnicalConsultancyServicesAgreementasoftheEffectiveDate.
