PAGEPAGE4三方合同TriangularContract本合同议于______年____月____日在______（地点）由有关三方在平等互利基础上达成，按三方同意的下列条件发展业务关系：Thiscontractismadeandenteredintobyandbetweenthethreepartiesconcernedon___________(Date)in________(Place)onthebasisofequalityandmutualbenefittodevelopbusinessontermsandconditionsmutuallyagreeduponasfollows:合同三方ThePartiesConcerned甲方：PartyA:地址:Add:2电话：Tel.:传真：Fax.:乙方：PartyB:地址:Add:电话：Tel.:传真：Fax.:丙方：PartyC:地址:Add:电话：Tel.:传真：Fax.:委任Appointment甲方为乙方在某地建立XX产线提供相关的技术支持、文件支持。乙方承诺从甲方处以散件形式采购xx，甲方将XX以散件形式发给丙方，丙方收到后在某地按甲方或乙方的技术要求组装成SKD形式产品发至乙方。PartyAprovidesrelevanttechnicalsupport,documentationsupportforPartyBtosetupaCKDXXproductproductionlineinplacename.PartyBshouldpurchaseXXproductfromPartyAinCKDformat.PartyAshouldsendtheXXproducttoPartyCinCKDformat.PartyCshouldassembleitaccordtoPartiesA&B’stechnicalrequirementsandsenditinSKDformattoPartyB.商品：XXCommodity:数量：每年至少4万台MinimumQuantityperyear:40,000pcs/year价格条款Priceconditions考虑到竞争对手的价格，甲方必须保证给乙方最有竞争力价格。每个产品的价格应由甲乙双方协商确定，甲方和乙方必须就每个季度的采购计划达成一致，以避免价格波动。每当原材料成本总变动变动+/-3％时，所有产品的价格应每季度协商一次。PartAmustguaranteethebestpricetothepartB,consideringtheCompetitors’prices.ThepriceforeachproductshallbefixedthroughnegotiationsbetweenPartyBandPartyA,thepartiesAandBmustagreeonapurchaseplanforeachquarterinordertoavoidpricesvariation.Pricesofallproductsshouldbenegotiatedeveryquarterwheneverthetotalvariationofrawmaterialscostchange+/-3%.免费易损配件比例Freeeasybrokensparepartsratio前三个订单2%，第四个订单开始1%。免费易损配件清单参照附录件1。生的所有费用均由甲方承担。除了隐藏缺陷和不合格情况外，交付的货物在到货时应被视为可用。因此，最初被接受的材料后来都被证明是有缺陷的情况下，乙方有权发回，得到更换和换回对应的货款。ThedeliveredGoodsshallbesubjecttoqualitativecontrol.Incasethedeliveredgoodsdonotmeettheapprovedrequirementsorarerejectedduetoqualityreasons,qualityreasonsareidentifiedbybothPartyAandPartyBwithreferencetothegoodsqualitystandardspreviouslyconfirmedbybothparties.Iftheyareidentifiedasunqualified,PartyBmaychoosetoreplacethegoodsorreturnthegoodstothePartyA.Allcostsincurredinreplacingdefectivegoods(includingtransportationandcustomsfees)shallbebornebyPartyA.ThedeliveredGoodsshallbeconsideredusableatthearrivalexceptforthecasesofhiddendefectsandnon-conformity.Therefore,PartyBshallhavetherighttodispatchback,obtainingthereplacementorthecreditingofmoney.如果质量与乙方批准的样品和乙方图纸中所示的商品规格有任何偏差（甲方公差允许范围内的货物除外），乙方和丙方有权拒绝交付的货物.IncasethereisanydeviationbetweenthequalityandtheproductspecificationsshowninPartyB'sdrawingsandtheproductspecificationsshowninPartyB'sdrawings(exceptforgoodswithinthepartyA'stolerancerange),PartyBandPartyChastherighttorejectthedeliveredgoods.合同的终止Termination在本合同有效期内，如果一方被发现违背合同条款，另一方有权终止合同。在本合同有效期内，如果一方要解除合同，一方想解散合同，应至少提前3个月书面通知，以尊重所有确认的采购计划和已开具的订单。Duringthevalidityofthiscontractifeitherofthetwopartiesisfoundtohaveviolatedthestipulationsherein,theotherpartyhastherighttoterminatethiscontract.Duringthevalidityperiodofthiscontract,ifonepartywantstodissolutionofthecontract,onepartywhowantstodissolutionofthecontractshallsubmitawrittennoticeatleast3monthsinadvanceaconditiontorespectalltheconfirmedpurchaseplanandopenedorders.不可抗力ForceMajeure由于水灾、火灾、地震、干旱、战争或合同一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本合同，该方不负责任。但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。Eitherpartyshallnotberesponsibleforfailureordelaytoperformalloranypartofthiscontractduetoflood,fire,earthquake,draught,waroranyothereventswhichcouldnotbepredicted,controlled,avoidedorovercomebytherelevantparty.

However,thepartyaffectedbytheeventofForceMajeureshallinformtheotherpartyofitsoccurrenceinwritingassoonaspossibleandthereaftershallsendacertificateoftheeventissuedbytherelevantauthoritiestotheotherpartywithin15daysafteritsoccurrence.争议解决DisputeResolution因凡因本合同引起的或与本合同有关的任何争议，三方应首先尝试友好协商解决。如果一方向另一方发出协商通知之日起三十日内，争议仍未得到解决，则应将争议提交中国国际经济贸易仲裁委员会深圳分会，按照申请仲裁时该会实施的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。AnydisputearisingfromorinconnectionwiththiscontractshallfirstbeattemptedtoberesolvedthroughdiscussionsandconsultationsbetweenthePartiesingoodfaith.Ifthedisputeremainsunresolveduponexpirationof30daysafterwrittennoticehasbeensentbyonePartytotheotherParty,thedisputeshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommission,ShenzhenSub-Commissionforarbitration,whichshallbeconductedinaccordancewiththeCommission'sarbitrationrulesineffectatthetimeofapplyingforarbitration.ThearbitralawardisfinalandbindinguponbothParties.语言Language本合同以中英文书就，如中英文内容存在不一致，以英文为准。ThiscontractismadeinbothChinese.Intheeventofanydiscrepancybetweenthetwoversions,theEnglishversionshallprevail.管辖法律GoverningLaw本合同受中华人民共和国法律管辖并按中华人民共和国法律解释。Thiscontractshallbegoverned,construedandinterpretedinaccordancewiththelawsofthePeople’sRepublicofChina.双方于文首日期签署本三方合同。ThepartieshaveexecutedthisTr
