nthree(3)originalsandthree(3)copies,indicatingtheContractnumber,L/Cnumberandshippingmark;(c)Packinglistinthree(3)originalsandthree(3)copiesissuedbySeller;(d)One(1)originalandone(1)copyofaCertificateofQualityissuedbySeller;(e)One(1)copyoffax/emailtoBuyeradvisingparticularsofdeliveryimmediatelyafterdeliverytothecarrieratthePortof(f)One(1)originalandone(1)copyofcertificateoforigin;(g)Two(2)copiesofexportlicensesissuedbytherelevantexportauthorityortwo(2)copiesoftheconfirmationfromSellerthatnoexportlicenseisrequired.(h)IfSelleristhePartyResponsibleforShipment,one(1)copyofinsurancecertificatespecifyingtherisktypeasallriskcoveringonehundredandtenpercent(110%)oftheinvoiceamountforsuchShipment.TheLetterofCreditshallbevaliduntilthetwenty-first(21st)dayafterthedateoflastscheduledShipment.4.3PaymentonAcceptanceTheAcceptancePaymentfortheEquipmentshallbepaidbyBuyerbyT/Twithinfifteen(15)daysafterBuyerhasreceivedthefollowingdocumentsfromSeller:(a)CommercialinvoicecoveringtheAcceptancePaymentinthree(3)originalsandthree(3)copies;(b)One(1)originalandone(1)copyoftheAcceptanceCertificateinrespectoftheProject.4.4ShipmentbySellerSellershallcommenceShipmentonceBuyerhaspaidtheAdvancePaymentandopenedtheLetterofCreditasprescribedinArticles4.1and4.2.4.5BankChargesEachpartyshallberesponsibleforitsownbankcharges.4.6TitletoHardwareFulltitletoallHardwareshalltransferfromSellertoBuyeruponBuyer’spaymentinfulloftheContractPrice.4.7LatePaymentsIfBuyerfailstomakeanypaymentwithinthetimestipulatedinthisArticle4,thenBuyershallbeliabletopaytoSellerinterestonsuchunpaidamountsfromtheduedatethroughthedatesuchdelayedpaymentismadeinfull.TheapplicablerateofinterestshallbetheLIBORrateforsix-monthU.S.dollarloansplus2%.5.DELIVERY5.1DeliveryScheduleSellershalldelivereachShipmenttotheapplicablePlaceofDeliveryonorbeforetheapplicableDeliveryDatesetforthintheProjectSchedule.ThenumberofShipmentsshallnotexceedtheMaximumNo.ofShipmentssetforthinScheduleB(SpecialTerms).IfthePlaceofDeliveryisdifferentfromtheInstallationSite,thenBuyershallberesponsiblefortransportationandinsuranceofeachshipmentfromthePlaceofDeliverytoInstallationSite.5.2NotificationbeforeShipmentAtleasttwo(2)weeksbeforemakingeachShipment,SellershallsendBuyerwrittennoticeofallrelevantshippingdetails,includingdescription,quantityandapproximateweightandsizeoftheEquipmentineachShipment,andotherinformationconsistentwithindustrypractice.5.3EquipmentDeliveryAlltheEquipmentshallbeshippedincompletesets,exceptasotherwiseagreed,i.e.,anyspecialtoolsforinstallation,materialsandeasilyworn-outpartsshallbedispatchedalongwiththerelevantEquipment.5.4NotificationAfterShipmentSellershallnotifyBuyerbyfaxoremailofallshippingdetailswithintwo(2)workingdaysaftereachShipmenthasbeendispatched.Foreachlargeitem,ifany,overtwo(2)metrictons,thegrossweight,measurement(LxWxH),nameandpriceofsuchitemshallbeseparatelyindicated.5.5CustomsClearanceDocumentsWithinareasonabletimeaftereachShipmenthasbeendispatched,SellershallmailtheCustomsClearanceDocumentsspecifiedinScheduleB(SpecialTerms).5.6InsuranceThePartyResponsibleforShipmentshallberesponsibleforobtaininginsuranceduringshipmentfortheEquipmentandDocumentationinaccordancewithindustrypracticeatitssolecost.IfdamagetotheEquipmentoccursduringshipment,SellerandBuyershallworktogethertosubmitaninsuranceclaim.5.7Seller'sLateDeliveryIfsolelyduetoSeller’sfault,SellerfailstocompletedeliveryofallShipmentstothePlaceofDeliveryonorbeforetheDeliveryDateforthefinalShipmentsetforthintheProjectSchedule,thenSellershallbeliabletopaytoBuyerliquidateddamagesinrespectofsuchdeliverydelayattheLateDeliveryPenaltyRateuntilsuchdelayedEquipmentisdeliveredinaccordancewiththetermsofthisContractortheendoftheMaximumLateDeliveryPeriod,whicheveroccursearlier.ThetotalliquidateddamagesforlatedeliveryshallnotexceedtheMaximumLateDeliveryPenalty.ThepaymentofliquidateddamagesforlatedeliveryofanyShipmentshallnotreleaseSellerfromitsresponsibilitytocompletedeliveryofsuchShipment.5.8Buyer'sTerminationRightIfsuchdeliverydelayextendsbeyondtheexpirationoftheMaximumLateDeliveryPeriod,thenBuyershallhavetherighttoterminatethisContract.IfBuyerterminatesthisContractinpartorinwhole,itshallreturnatSeller'sexpenseallcancelledEquipmentreceivedfromSeller,andSellershallthereafterrefundtoBuyer,withinfifteen(15)daysofthedateofreturnofallsuchEquipment,allamountspaidbyBuyertoSellerfortheterminatedEquipment.5.9Buyer'sClaimsAllofBuyer’sclaimsinrespectoflatedeliveryofEquipmentshallbehandledsolelyandexclusivelyinaccordancewiththeprovisionsofArticles5.7and5.8above.6.PACKINGANDSHIPPINGMARKS6.1EquipmentPackingAlloftheEquipmenttobedeliveredbySellershallbepackedinamannersuitabletoprotectitagainstrepeatedhandlingsandnumerousloadingsandunloadings.ProtectivemeasuresconsistentwiththecharacteristicsandrequirementsofthevariousitemsofEquipmentshallbetakentopreventtheEquipmentfromdamagebymoisture,rain,shockandcorrosion.6.2LabellingofAccessoriesEachoftheaccessoriesinapackageorbundleshallbelabelledbySellertoindicatecontractnumber,packagenumber,nameoftheEquipmenttowhichitisanaccessory,nameofaccessoriesandtheirpositionnumbersonassemblydrawings.Sparepartsandtoolsshallbemarkedwiththewords“Parts”or“Tools”besidestheaboveparticulars.6.3SpecificMarkingsSellershallmarkthefollowingonthefouradjacentsidesofeachpackageofthegoodswithindeliblepaintinconspicuousprintedEnglishwords:(1)ContractNumber(2)ShippingMark(3)Consignee(4)PlaceofDestination(5)NameofEquipment(6)CaseNumber(7)GrossWeight(Kg)(8)Measurement(LxWxHincm)(9)SitesCodeNumber（ifapplicable）Shouldanygoodsweightwo(2)ormorethantwo(2)metrictons,thecenterofgravityandhoistingpositionshallbemarkedinEnglishandwiththeappropriatemarkingsontwosidesofeachcasesoastofacilitateloadingandhandling.Inaddition,inaccordancewiththecharacteristicsanddifferentrequirementsofthegoodsforloading,unloadingandtransportation,thepackageshallbeconspicuouslymarkedwith“Keep-dry”,“Handlewithcare”,“Rightsideup”,etc.inEnglishwiththeappropriatemarkings.7.INSPECTIONANDCLAIM7.1OpenBoxInspectionTheopen-boxinspectionoftheEquipmentincludedineachShipmentshallbeperformedatthelocationdesignatedbyBuyer.BuyershallgiveSellerten(10)workingdayspriorwrittennoticeofthelocationanddateofinspectionandshallberesponsibleformakingallarrangements.BuyershallchecktheEquipmentagainstthepackinglistsuppliedbySeller.Sellerisentitledtohaveitsrepresentativepresentattheinspectionatitsowncost.Ifnecessary,thelocal[ChinaCommodityInspectionBureau]willbeinvitedtotheopen-boxinspectionwithbothpartiessharingtheinspectionexpenseequally.Ifanyshortage,damageordiscrepancyinrespectoftheEquipment("Damage")isfoundduringtheinspection,adetailedrecordshallbemadeandsignedbyrepresentativesofbothparties.7.2DamageCausedbySellerIfanyDamagecausedsolelybySellerisfoundduringtheinspection,thenSellershallsupplementorreplacesuchdamagedEquipmentatitsownexpense.7.3DamageNotCausedbySellerIfanyDamageisnotduetoSeller’sfault,Sellershall,withinanagreedtimeperiod,supplement,repairorreplacethatEquipmentatBuyer’sexpense.7.4RelatedCostsandExpensesThepartyresponsiblefortheDamageshallalsoberesponsibleforallexpensesrelatedtoshippingandinsuranceofsupplemental,replacedorrepairedEquipment.7.5ClaimsbyBuyerIfSellerdisagreeswithBuyer’sclaimsunderArticle7.2,Sellershallwithintwo(2)weeksafterthereceiptoftheclaimnoticegivethereasonsforitsdisagreement.Bothpartiesshallusetheirbesteffortstoresolvethedisagreement.Buyer'sclaimshallbeconsideredacceptedbySellerifSellerfailstomakeanydisagreementknowntoBuyerwithinthesaidtwo(2)-weekperiod.8.INSTALLATION,COMMISSIONINGANDACCEPTANCEOFTHEEQUIPMENT8.1InstallationSitesInstallationSitesfortheEquipmentshallbeidentifiedinwritingbytheBuyertoSellerwithintwo(2)weeksfollowingtheEffectiveDate.ShouldBuyersubsequentlychangeanyoftheInstallationSitesandSellerincursadditionalcostsasaresultofsuchchange,BuyershallreimburseSellerforsuchadditionalcosts.8.2NotificationofInstallationRequirementsBeforeInstallationofanyEquipmentbegins,Seller'stechnicalpersonnelshallgiveBuyerdetaileddescriptionsoftheInstallationrequirements.BuyershallberesponsibleforthepreparationandprovisionoftherelevantInstallationSitesinaccordancewithsuchrequirementspriortocommencementofInstallation.8.3InstallationofEquipmentTheInstallingPartyshallberesponsibleforInstallationandCommissioningoftheEquipmentpursuanttothetermsofthisContract.EachpartyshallgivefullassistancetotheInstallingPartyduringsuchInstallationandCommissioning.8.4CommissioningTestsUponCommissioningoftherelevantEquipment,theInstallingPartyshallgivewrittennoticethereofandsubmittherecordoftherelevantCommissioningteststotheProjectSupervisors.8.5AcceptanceTestTheAcceptanceTestfortheEquipmentshallcommenceonthefirstworkingdayaftercompletionoftherelevantCommissioningtestsandbeconductedinaccordancewiththeAcceptanceTestPlan.TheAcceptanceTestshallbecarriedoutbyBuyer'sdesignatedtechnicalpersonnel.Seller’stechnicalpersonnelshallgiveassistanceinconnectionwitheachAcceptanceTest.TheresultofeachAcceptanceTestshallberecordedandsuchwrittenrecordshallbeconfirmedandsignedbytheProjectSupervisorswithinseven(7)daysaftercompletionoftherelevantAcceptanceTest.8.6PerformanceofTests[TheInstallation,CommissioningandAcceptanceTestsfortheEquipmentwillbeperformedseparatelyforeachShipmentinaccordancewiththerelevantprovisionsofAnnex[●]heretoandinaccordancewiththetimesstipulatedintheProjectSchedule.]8.7AcceptanceThresholdsIftheAcceptanceTestsdemonstratethattheEquipmentmeetstheSpecificationsexceptforminornon-serviceaffectingdeficiencies,thensuchEquipmentshallbedeemedtohaveachievedAcceptanceandbereadytobeplacedintocommercialservice.Whetheradeficiencyisaminornon-serviceaffectingdeficiencyshallbedetermined[bytheProjectSupervisorsjointly].WhenBuyerplacesanyEquipmentintocommercialserviceorusessuchEquipmentforanypurposeotherthantesting,suchEquipmentshallconclusivelybedeemedtohaveachievedAcceptance.IfBuyerfailstoprovideInstallationSiteswhichmeettheinstallationrequirementsspecifiedbytherelevantDocumentationorSellerinaccordancewiththeProjectSchedule,orifBuyeristhePartyResponsibleforInstallationandfailstocompletesuchInstallationinaccordancewiththeProjectSchedule,therebycausingdelayintheInstallationandCommissioningoftherelevantEquipment,thentheaffectedEquipmentshallbedeemedtobegrantedAcceptancebyBuyerasofthescheduledAcceptancedatesetoutintheProjectSchedule.OncetheEquipmenthasachievedorisdeemedtobegrantedAcceptance,SellershallissuetoBuyeranoticestatingthatAcceptancehasoccurredonsuchdate,andtheProjectSupervisorsshallsigntheAcceptanceCertificatewithinseven(7)daysaftersuchAcceptance.9.WARRANTY9.1EquipmentWarrantySellerwarrantsthatuponDeliverytheEquipmenttobesuppliedbySellershallbecompletelynewandshallcomplyinallmaterialrespectswiththeSpecifications.9.2HardwareWarrantySellerwarrantsthatduringtheWarrantyPeriodtheHardwareshallbefreefromHardwareDefectscausedbySeller'sfault.IfduetothefaultofSelleranyHardwareDefectoccursduringtheWarrantyPeriod,SellershallberesponsibletoreplaceorrepairsuchdefectiveHardwareatSeller’sowncost.ReplacementHardwaremaybeneworreconditionedtoperformasnew.SellershallbeartheriskoflossanddamageduringshipmentandalltransportationcostsforreplacementHardwareunderthisArticle.ForthepurposeofimportationofrepairedorreplacementEquipmentduringtheWarrantyPeriod,BuyerundertakestoprovidetoSeller'sservicecenterallrelevantdocumentationrequiredforimportation(importpermit,taxcertificate,etc.)andanydocumentationinitspossessionrequiredtoestablishthecommencementdateoftheWarrantyPeriod,failingwhichBuyershallbearanyandallapplicabledutiesortaxes.9.3SoftwareWarrantySellerwarrantsthatduringtheWarrantyPeriodtheSoftwareshallbefreeofSoftwareDefectscausedbySeller'sfault.IfduetothefaultofSelleranySoftwareDefectoccursduringtheWarrantyPeriod,SellershallberesponsibletocorrectsuchSoftwareDefectatSeller’sowncost.9.4DefectsDuetoBuyerIfduringtheWarrantyPeriodanyHardwareDefectorSoftwareDefectoccursduetothefailureofBuyertocomplywiththetermsoftheContractortherelevantDocumentationorduetoaneventofforcemajeureoranyotherreasonnotduetoSeller’sfault,thenuponBuyer’srequest,SellershallrepairorreplacesuchHardwareorcorrectsuchSoftwareDefectatBuyer'sexpense.Sellershallprovidesuchservicesatitsstandardrate.9.5ExceptionstoHardwareWarrantyTheHardwarewarrantyshallnotcoverEquipmentcomponentssuchasfusesandbulbsthatarenormallyconsumedinoperation,orhaveanormallifeinherentlyshorterthantheWarrantyPeriod.9.6OEMEquipmentSeller'swarrantydoesnotcoverOEMEquipment.SellerassignstoBuyerallofitsrightsunderwarrantiesfromitsthird-partyvendorsinrespectofsuchOEMEquipment.9.7Buyer'sWarrantyClaimsBuyermustnotifySellerofanywarrantyclaimwithinthirty(30)daysoftheeventgivingrisetotheclaim.SellershallnotbeobligedtoprovideanyWarrantyserviceinrespectofclaimsmademorethanthirty(30)daysaftertheeventgivingrisetotheclaim,ormadeaftertherelevantWarrantyPeriodexpires.9.8ExclusionofOtherWarrantiesAllofBuyer’sclaimsinrespectofHardwareDefectsorSoftwareDefectsshallbehandledsolelyinaccordancewiththeprovisionsofthisArticle9.Allotherwarrantiesareherebyexpresslyexcluded.9.9Seller'sLimitsofLiabilitySellerisnotresponsibleforwarrantiesgivenbyBuyertoBuyer’scustomers.9.10ProvisionofSparePartsForaperiodoffive(5)yearsaftertheexpiryoftheWarrantyPeriod,SellershallprovidetoBuyeratitsrequest,atafavorablepricetakingprevailingmarketpricesforreference,spareparts(asdescribedinAnnex1)whicharecompatiblewithandarerequiredfornormaloperationoftheEquipment.IfSeller,itsparentoranyofitsAffiliatesintendstodiscontinueproductionofanysparepartsrequiredfortheEquipment,SellershallgivewrittennoticetoBuyersix(6)monthspriortosuchdiscontinuanceandBuyershallbeentitledtoplaceorderswithineight(8)weeksofreceiptofsuchnoticeforanysuchsparepartsrequired.10.SOFTWARELICENSE10.1ScopeofSoftwareLicenseSellerherebygrantsBuyerapersonal,non-exclusive,non-transferablerighttousetheSoftwareonlyinconnectionwithdesignatedHardwareonthetermssetoutinthisArticle10(suchrightbeingthe“SoftwareLicense”).TitletotheSoftwareshallatalltimesremainvestedinSelleroritsrelevantthirdpartysupplier.BuyerobtainsnootherrightsinortotheSoftwareexceptfortheSoftwareLicensesetforthinthisArticle.10.2Buyer'sLicenseObligationsBuyershall:(a)maintaintheconfidentialityoftheSoftwareusingthesamedegreeofcarethatBuyerusestoprotectitsownmostconfidentialandvaluableinformation,butnolessthanreasonablecare;(b)keepacurrentrecordofthelocationofeachcopyofSoftware;(c)requireeachofitsauthorizedemployees,agents,and/orrepresentativestowhomSoftwareisdisclosed,tomaintaintheconfidentialnatureofsuchSoftware;(d)ifBuyerchoosestopermanentlyceaseusingtheSoftware,itwillusethesamedegreeofcarethatBuyerusestoprotectitsownmostconfidentialandvaluableinformationtoeraseorotherwisedestroyallcopiesoftheSoftwareandwillnotifySelleraftersuchdestruction;and(e)beentitledtomakecopiesofanydocumentationincludedintheSoftwareasreasonablyrequiredforitsnormalbusinesspurposes.10.3Buyer'sLicenseRestrictionsBuyershallnot:(a)usetheSoftware(i)foranypurposeotherthanBuyer’sowninternalbusinesspurposesand(ii)otherthanasexpresslyprovidedbythetermsofthisSoftwareLicense;(b)allowanyoneotherthanBuyer’semployees,agentsand/orrepresentativeswitha“needtoknow”tohaveaccesstotheSoftware;(c)makeanycopiesoftheSoftwareexceptsuchlimitednumberofobjectcodecopiesasmaybereasonablynecessaryforexecutionorarchivalpurposesonly;(d)makeanychangestotheSoftware,otherthanthosearisingfromBuyer’snormaluseoftheSoftwareasexplainedintheassociateddocumentation;or(e)reverseengineerorinanyothermannerdecodeSoftware,inordertoderivethesourcecodeformorforanyotherreason.10.4TerminationofLicenseThisSoftwareLicenseshallterminateautomaticallywhenBuyeroritspermittedassigneediscontinuesuseoftheEquipment.11.INTELLECTUALPROPERTYINDEMNITY11.1Seller'sIndemnificationSelleragreestoindemnifyBuyerwithrespecttoanysuit,claim,orproceedingbroughtagainstBuyerallegingthatBuyer'suseoftheEquipmentconstitutesaninfringementofanypatentorcopyrightregisteredinChina(“InfringementClaim”)onthetermssetoutinthisArticle11.11.2ScopeofIndemnificationSelleragreestodefendBuyeragainstanysuchInfringementClaimsandtopayalllitigationcosts,reasonableattorney'sfees,settlementpaymentsandanydamagesawardedinanyfinaljudgmentarisingfromsuchInfringementClaim.11.3ConditionsofIndemnificationSeller’sindemnityobligationsunderthisArticle11aresubjecttothefollowingconditions:(a)BuyershallpromptlyadviseSellerofanyInfringementClaim;(b)BuyershallprovidefullcooperationtoSellerinconnectionwiththeInfringementClaim;and(c)BuyershallpermitSellertohavesolecontrolofthedefenseorsettlementofanyInfringementClaim.11.4LimitationsofIndemnificationSeller'sindemnityobligationsunderthisArticle11shallnotapplytoInfringementClaimsifSeller'sEquipmentis:(a)manufactured,designedorsuppliedbySellerinaccordancewithanydesignorspecialinstructionsprovidedbyBuyer;(b)usedbyBuyerinamannerorforapurposenotcontemplatedbySellerand/orbythisContract;(c)modifiedbyBuyerwheresuchmodificationisnotauthorisedbySeller;(d)usedbyBuyerincombinationwithotherproductsnotprovidedbySellerwheretheinfringementarisesfromsuchcombination.11.5InjunctionAgainstBuyerIfaninjunctionisobtainedagainstBuyer'suseofanyportionoftheEquipmentarisingfromanInfringementClaim,inwholeorinpart,Sellershall,atitsoption,either:(a)procureforBuyertherighttocontinueusingthatEquipment;or(b)replaceormodifythesamesothatBuyer'suseisnotsubjecttosuchinjunction.11.6ReturnofEquipmentIfSellercannotperformunderArticle11.5,BuyershallhavetherighttoreturntheaffectedportionofsuchEquipmenttoSelleruponwrittennoticetoSeller.Intheeventofsuchreturn,SellershallrefundtoBuyerthenetbookvalueofsuchreturnedEquipment.11.7ScopeofBuyer'sRightsAllofBuyer’sclaimsinrespectofInfringementClaimsshallbehandledsolelyinaccordancewiththeprovisionsofthisArticle11.12.TAXES12.1Buyer'sLiabilityAlltaxesandimportorcustomsdutiesandothertaxesandduties,includingwithoutlimitationVAT,inconnectionwiththeContractleviedonBuyerbytherelevantauthorityinChinainaccor
