4.QualityInspection

4.1Inspection:Thecrudeoilshallbesubjecttoqualityinspectionbyanindependentthird-partyinspectionagencyattheloadingport.TheinspectionreportshallbefinalandbindingonbothParties.

4.2Sampling:Theinspectionagencyshalltakesamplesfortestingpurposes,andthecostofsamplingandtestingshallbebornebytheSeller.

5.PaymentTerms

7.GoverningLawandDisputeResolution

7.1GoverningLaw:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[State/Country].

8.Confidentiality

9.EntireAgreement

9.1ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallpriornegotiations,understandings,andagreements,whetheroralorwritten,relatingtothesubjectmatterhereof.

10.Execution

ThisContractmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,andallofwhichtogethershallconstituteoneandthesameinstrument.

INWITNESSWHEREOF,thePartiesheretohaveexecutedthisInternationalCrudeOilImportContractasoftheEffectiveDatefirstabovewritten.
