CementPurchaseContractandAgreement

ThisCementPurchaseContractandAgreementismadeandenteredintoonthis_____dayof____________,20XX,byandbetween:

[Buyer’sName],acompanyorganizedandexistingunderthelawsof[Buyer’sCountry],witharegisteredaddressat[Buyer’sAddress](hereinafterreferredtoasthe“Buyer”);and

Recitals:

WHEREAS,theBuyerdesirestopurchase,andtheSellerdesirestosell,cement(hereinafterreferredtoasthe“Product”)onthetermsandconditionssetforthherein;

NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thePartiesheretoagreeasfollows:

Article1:Product

1.1TheProductshallbemanufacturedbytheSellerandshallconformtothespecificationssetforthintheattachedProductSpecificationsSheet,asmaybeamendedfromtimetotimebymutualagreementoftheParties.

1.2TheBuyeragreestopurchasefromtheSelleratotalof[Quantity]metrictonsoftheProduct,asspecifiedintheOrderScheduleattachedhereto.

Article2:Ordering

2.1TheBuyershallsubmitanorderfortheProducttotheSellerinwriting(an“Order”),whichshallinclude,withoutlimitation,thefollowinginformation:

thename,address,andcontactinformationoftheBuyer;

thedesireddeliverydateandlocationfortheProduct;

thetotalquantityoftheProductordered;and

anyotherspecificrequirementsoftheBuyer.

2.2TheSellershallrevieweachOrderreceivedfromtheBuyerand,iftheOrderisacceptabletotheSeller,theSellershallconfirmacceptanceoftheOrderbysendinganacknowledgmenttotheBuyer.

2.3TheSellerreservestherighttorejectanyOrderinitssoleandabsolutediscretion.

Article3:Delivery

3.1TheSellershalldelivertheProducttotheBuyeratthedeliverylocationspecifiedbytheBuyerintheOrder.

3.2TheSellershallusereasonablecommercialeffortstodelivertheProductbythedeliverydatespecifiedintheOrder,buttheSellershallnotbeliableforanydelaysindeliverycausedbyfactorsbeyonditsreasonablecontrol,including,withoutlimitation,labordisputes,actsofGod,ortransportationdelays.

3.3TheBuyershallberesponsibleforunloadingtheProductfromthedeliveryvehicleatthedeliverylocation.

Article4:PriceandPaymentTerms

4.1ThepricefortheProductshallbe[Price]permetricton,assetforthintheOrderScheduleattachedhereto.

4.2ThetotalpurchasepricefortheProductshallbecalculatedasfollows:

4.3TheBuyershallmakepaymentfortheProductbywiretransfertotheSeller’sdesignatedbankaccount,inaccordancewiththepaymentinstructionsprovidedbytheSeller.

4.4Thepaymentshallbemadewithin[Number]daysafterthedateoftheinvoiceissuedbytheSeller.

Article5:WarrantiesandRepresentations

5.1TheSellerrepresentsandwarrantsthattheProductconformstothespecificationssetforthintheProductSpecificationsSheet,asmaybeamendedfromtimetotimebymutualagreementoftheParties.

5.2TheSellerfurtherrepresentsandwarrantsthattheProductisfreefromanyliens,encumbrances,orotherclaimsofanynatureordescription,andthatithasgoodandmarketabletitletotheProduct.

5.3TheBuyerrepresentsandwarrantsthatithastherighttopurchasetheProductandtoenterintothisAgreement.

Article6:InspectionandRejection

6.1TheBuyershallhavetherighttoinspecttheProductupondelivery.

6.2IftheBuyerdiscoversanynon-conformitiesordefectsintheProduct,theBuyershallnotifytheSellerinwritingwithin[Number]daysafterdelivery.

6.3IftheBuyerproperlynotifiestheSellerofnon-conformitiesordefects,theSellershall,atitssoleoption,either:

replacethenon-conformingordefectiveProductatnoadditionalcosttotheBuyer;or

refundthepurchaseprice##SpecialApplicationScenariosandAdditionalClauses

1.ConstructionProjects

AdditionalClauses:

Article7:ConstructionSiteDelivery:TheSellershalldeliverthecementtotheconstructionsitespecifiedbytheBuyer,adheringtothedeliveryscheduleagreedupon.TheSellerisresponsibleforanydelaysordamageduringtransittotheconstructionsite.

Article8:QualityControl:TheSellermustprovidequalitycertificatesandensurethatthecementmeetstherequiredqualitystandardsforconstructionpurposes.

Article9:StorageConditions:TheSellershallprovideinstructionsforproperstorageofthecementtopreventdamageordeterioration,andtheBuyershallfollowtheseinstructions.

Article10:ForceMajeure:Incaseofunforeseeneventssuchasnaturaldisastersorgovernmentactionsthatpreventthedeliveryofcement,thePartiesshallnegotiateingoodfaithtoadjustthedeliveryscheduleorprice.

Article11:CompliancewithLawsandRegulations:TheSellershallensurethattheProductcomplieswithallapplicablelawsandregulations,includingenvironmentalregulations.

2.GovernmentProjects

AdditionalClauses:

Article7:BiddingandApproval:TheBuyermustobtainallnecessaryapprovalsandbiddingpermissionsbeforeplacinganorder.TheSellershallprovidethenecessarydocumentstosupportthebiddingprocess.

Article8:ProcurementProcedures:TheSellermustadheretotheprocurementproceduressetforthbythegovernmentandprovideallrequireddocumentationandcertificates.

Article9:InspectionandQualityAssurance:TheProductshallbeinspectedbythegovernmentauthorities,andtheSellermustprovideallnecessaryassistanceduringtheinspectionprocess.

Article10:CompliancewithGovernmentStandards:TheProductmustmeetthespecificstandardsandspecificationsrequiredbythegovernmentfortheproject.

3.InternationalTrade

AdditionalClauses:

Article7:InternationalShipping:TheSellershallarrangeforinternationalshippingofthecementandprovidethenecessarydocumentsforcustomsclearance.

Article8:CustomDutiesandTaxes:TheBuyerisresponsibleforpayinganycustomduties,taxes,andotherfeesassociatedwiththeimportationoftheProduct.

Article9:InspectionatPortofDestination:TheBuyerhastherighttoinspecttheProductuponarrivalattheportofdestinationtoensurecompliancewiththeagreedspecifications.

Article10:ExportLicenseandPermits:TheSellermustobtainallnecessaryexportlicensesandpermitstofacilitatetheinternationalsaleoftheProduct.

4.EmergencySupplies

AdditionalClauses:

Article7:PriorityDelivery:TheSellershallprioritizethedeliveryofthecementtotheBuyerincaseofemergencysituations,suchasnaturaldisastersorurgentconstructionprojects.

Article8:QuickResponse:TheSellermustrespondpromptlytoanyrequestsorissuesraisedbytheBuyerandtakenecessaryactionstoresolvetheminatimelymanner.

Article9:AdditionalShipments:Incasetheinitialorderisinsufficient,theSellermustbeabletoaccommodateadditionalshipmentsofcementattheBuyer’srequest.

Article10:Communication:ThePartiesmustmaintainopencommunicationchannelstoensurethatanychangesorissuescanbeaddressedimmediately.

5.CustomizedProducts

AdditionalClauses:

Article7:CustomizationSpecifications:TheBuyershallprovidedetailedcustomizationspecificationsforthecement,andtheSellermustadheretothesespecificationsintheproductionanddeliveryoftheProduct.

Article8:SampleApproval:TheSellermustprovideasampleofthecustomizedProductfortheBuyer’sapprovalbeforecommencingtheproductionprocess.

Article9:ProductionTime:TheSellermustinformtheBuyeroftheestimatedproductiontimeforthecustomizedProductandadheretotheagreed-upondeliveryschedule.

Article10:QualityAssurance:TheSellermustconductadditionalqualitychecksonthecustomizedProducttoensurecompliancewiththeBuyer’sspecifications.

6.Long-TermContracts

AdditionalClauses:

Article7:ContractDuration:ThetermofthisContractshallbe[Duration],andthePartiesagreetorenewtheContractuponmutualagreement.

Article15:QualityControlandInspection:IncludeaclausethatoutlinesthequalitycontrolprocessesandinspectionproceduresthattheSellermustfollowtoensuretheProductmeetstheagreed-uponspecifications.

Article16:RighttoReject:GivetheBuyertherighttorejecttheProductifitdoesnotmeettheagreed-uponspecificationsorifitisdefective,andoutlinetheprocessfordoingso.
