1.Services

2.Term

4.Customer'sObligations

TheCustomeragreesto:

a.ProvideaccesstotheProvider'spersonneltothelocationwheretheServicesaretobeperformed;

b.ProvidesuchinformationandmaterialsastheProvidermayreasonablyrequestinordertoperformtheServices;

c.CooperatewiththeProviderinallmattersrelatingtotheServices;

d.PaythefeesandotheramountssetforthinthisContractinaccordancewiththepaymenttermsprovidedherein.

5.FeesandPayment

TheCustomershallpaytheProviderthefeesfortheServicesasfollows:

6.Confidentiality

ThePartiesagreetomntntheconfidentialityofanyproprietaryinformation,tradesecrets,oranyotherconfidentialinformationdisclosedonePartytotheotherinconnectionwiththisContract.ThisobligationofconfidentialityshallsurvivetheterminationorexpirationofthisContract.

7.Termination

EitherPartymayterminatethisContractprovidingwrittennoticetotheotherPartyiftheotherPartymateriallybreachesanyofitsobligationsunderthisContractandsuchbreachisnotcuredwithinthirty(30)daysafterreceiptofwrittennoticethereof.

8.Indemnification

TheProvidershallindemnifyandholdharmlesstheCustomerfromandagnstanyclms,losses,liabilities,damages,andexpenses(includingreasonableattorney'sfees)arisingoutoforinconnectionwiththeperformanceoftheServices.

9.LimitationofLiability

Exceptforindemnificationobligations,neitherPartyshallbeliabletotheotherPartyforanyspecial,indirect,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththisContract.

10.GoverningLawandDisputeResolution

ThisContractshallbegovernedandconstruedinaccordancewiththelawsof_______,excludingitsconflictoflawsprinciples.AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedarbitrationinaccordancewiththerulesofthe_______,andthedecisionofthearbitrator(s)shallbefinalandbindingupontheParties.
