6.LimitationofLiability

6.1ExclusionofConsequentialDamages.INNOEVENTSHALLEITHERPARTYBELIABLETOTHEOTHERPARTYFORANYINDIRECT,INCIDENTAL,CONSEQUENTIAL,SPECIAL,EXEMPLARY,ORPUNITIVEDAMAGESARISINGOUTOFORRELATEDTOTHISAGREEMENT,REGARDLESSOFWHETHERSUCHDAMAGESAREBASEDONTORT,WARRANTY,CONTRACT,ORANYOTHERLEGALTHEORY,EVENIFADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES.

6.2LimitationofLiability.NOTWITHSTANDINGANYTHINGTOTHECONTRARYINTHISAGREEMENT,THEAGGREGATELIABILITYOFEITHERPARTYARISINGOUTOFORRELATEDTOTHISAGREEMENTSHALLNOTEXCEEDTHEAMOUNTSPDORPAYABLETOPARTYBUNDERTHISAGREEMENT.

7.Indemnification

7.1IndemnificationPartyB.PartyBshallindemnify,defend,andholdharmlessPartyAanditsaffiliates,officers,directors,employees,andagentsfromandagainstanyandallclaims,losses,damages,liabilities,penalties,punitivedamages,expenses,reasonablelegalfeesandcostsofanykindoramountwhatsoever,whichresultfromorariseoutofanyclaim,suit,action,orproceedinganythirdpartyarisingoutoforrelatedtotheServicesorPartyB'sbreachofthisAgreement.

8.Miscellaneous

8.1EntireAgreement.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.

8.2Amendments.ThisAgreementmaybeamendedormodifiedonlyawritteninstrumentexecutedbothparties.

8.3GoverningLaw.ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].
