股票抵押担保合同范本2024年通用合同编号：__________stockPledgeGuaranteeContractThisStockPledgeGuaranteeContract(the"Contract")ismadeandenteredintoasof____________(the"EffectiveDate"),andbetween:PartyA:____________________(the"Borrower")PartyB:____________________(the"Lender")(eacha"Party"andcollectivelythe"Parties")RECITALS:WHEREAS,PartyAdesirestoborrowcertainfundsfromPartyB(the"Loan");WHEREAS,asaconditionprecedenttotheLoan,PartyBrequiresthatPartyAprovidesapledgeguaranteefortherepaymentoftheLoaninaccordancewiththetermsandconditionshereinaftersetforth;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thePartiesheretoagreeasfollows:Article1:pledgeproperty1.1PartyAherepledgesandhypothecatestoPartyBthefollowingstocks(the"PledgedStock")assecurityfortherepaymentoftheLoanandanyinterest,fees,andotheramountsduehereunder(the"GuaranteedObligations"):[ListthedetailsofthePledgedStock,includingissuer,numberofshares,andanyotherrelevantinformation]1.2PartyArepresentsandwarrantsthatitisthelegalandbeneficialownerofthePledgedStockandhastheright,power,andauthoritytopledgeandhypothecatethePledgedStockasprovidedherein.1.3PartyAshalldelivertoPartyBthePledgedStock,togetherwithallrelatedcertificatesanddocuments,withinfive(5)businessdaysaftertheEffectiveDate.Article2:termsofpledge2.1Thepledgecreatedhereshallcontinueineffectuntiltheearlierof:(a)thefullandfinalrepaymentoftheLoanandallGuaranteedObligations;or(b)theterminationofthisContractinaccordancewithitsterms.2.2PartyAshallnotsell,transfer,assign,orinanywayencumberthePledgedStockduringthetermofthisContract,exceptwiththepriorwrittenconsentofPartyB.Article3:rightsandremediesofpartyb3.1IfPartyAfailstorepaytheLoanoranyGuaranteedObligationswhendue,orifPartyAbreachesanyotherprovisionofthisContract,PartyBshallhavetherighttoexerciseanyorallofthefollowingrightsandremedies:(a)declaretheentireunpaidprincipalamountoftheLoan,togetherwithallinterest,fees,andotheramountsdue,immediatelydueandpayable;(b)takepossessionofthePledgedStockandsell,transfer,assign,orinanyothermannerdisposeofthePledgedStock,inwholeorinpart,atpublicorprivatesale,forcashoroncredit,atsuchpriceorpricesanduponsuchtermsasPartyBmaydeemappropriate;(c)applytheproceedsofanysaleordisposalofthePledgedStocktothepaymentoftheGuaranteedObligations;and(d)pursueanyotherlegalorequitableremediesavailabletoPartyB.3.2TherightsandremediesofPartyBsetforthinthisArticle3shallbeinadditionto,andnotinlimitationof,anyotherrightsandremediesavailabletoPartyBunderapplicablelaw.Article4:representationsandwarranties4.1PartyArepresentsandwarrantstoPartyBthat:(a)ithastheright,power,andauthoritytoenterintothisContractandtoperformitsobligationshereunder;(b)thePledgedStockisfreeandclearofanyliens,claims,orencumbrances;(c)itisthelegalandbeneficialownerofthePledgedStock;and(d)thePledgedStockisnotsubjecttoanylegalorequitablerestrictionsontransferorsale.4.2PartyBrepresentsandwarrantstoPartyAthat:(a)ithastheright,power,andauthoritytoenterintothisContractandtoperformitsobligationshereunder;(b)theLoanismadeinaccordancewithallapplicablelawsandregulations;and(c)itwillusereasonableeffortstomaintaintheconfidentialityofany一、附件列表：1.股票质押担保合同
