工程师合同结束合同编号：__________engineercontractterminationagreementthisengineercontractterminationagreement(the"agreement")ismadeandenteredintoasof__________(the"effectivedate"),andbetween____________________(the"employer"),acorporationorganizedandexistingunderthelawsof____________________,and____________________(the"engineer"),anindividualwithaprimaryaddressat____________________.referencesinthisagreementto"thecontract"shallmeantheengineercontractdatedasof__________,andbetweentheemployerandtheengineer(the"originalcontract").referencesinthisagreementto"theengineer"shallmeantheengineernamedabove.referencesinthisagreementto"theemployer"shallmeantheemployernamedabove.1.terminationofthecontract.theemployerandtheengineerhereagreethatthecontractshallterminateeffectiveasoftheeffectivedateofthisagreement(the"terminationdate").2.paymentofaccruedbutunpaidwages.theemployershallpaytotheengineerallaccruedbutunpaidwagesthroughtheterminationdate,lessanyapplicabledeductionsorwithholdings.3.paymentofvacationpay.iftheengineerisendtovacationpayunderthetermsoftheoriginalcontractandhasnottakenallofhisorheraccruedvacationtime,theemployershallpaytotheengineertheprorataamountofvacationpayearnedthroughtheterminationdate,lessanyapplicabledeductionsorwithholdings.4.paymentofbenefits.theemployershallberesponsibleforallbenefitsprovidedundertheoriginalcontractthroughtheterminationdate,including,butnotlimitedto,healthinsurance,disabilityinsuranceandretirementcontributions.theemployershallprovidetheengineerwithallnecessaryformsandinstructionstofacilitatetheprocessingofanybenefitsclaimsortransfers.7.confidentiality.theengineerandtheemployeragreethattheyshallmaintaintheconfidentialityofallproprietaryandconfidentialinformationoftheotherparty,whichincludes,butisnotlimitedto,tradesecrets,customerlists,pricinginformationandothersensitivedata,duringthetermoftheoriginalcontractandforaperiodoftwo(2)yearsfollowingtheterminationdate.8.indemnification.theengineershallindemnifyandholdharmlesstheemployerfromanyandallclaims,demands,suits,actions,liabilities,damages,judgments,fines,penalties,interestandexpenses(including,butnotlimitedto,reasonableattorney'sfeesandcosts)arisingoutoforinanywayconnectedwiththeengineer'sperformanceofservicesundertheoriginalcontract,excepttotheextentsuchclaims,demands,suits,actions,liabilities,damages,judgments,fines,penalties,interestandexpensesaredirectlycausedtheemployer'sgrossnegligenceorwillfulmisconduct.9.mutualreleases.theengineerandtheemployerherereleaseanddischargeeachother,andtheirrespectiveemployees,officers,directors,agents,representativesandaffiliates,fromanyandallclaims,demands,suits,actions,liabilities,damages,judgments,fines,penalties,interestandexpenses(including,butnotlimitedto,reasonableattorney'sfeesandcosts)arisingoutoforinanywayconnectedwiththeoriginalcontractortheterminationthereof,excepttotheextentsuchclaims,demands,suits,actions,liabilities,damages,judgments,fines,penalties,interestandexpensesaredirectlycausedtheotherparty'sgrossnegligenceorwillfulmisconduct.10.severability.ifanyprovisionofthisagreementisheldtobeinvalidorunenforceable,suchprovisionshallbestruckandtheremainingprovisionsshallremaininfullforceandeffect.11.Entireagreement.thisagreementconstitutestheentireagreementbetweentheengineerandtheemployerwithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiationsanddiscussions,whetheroralorwritten,oftheparties.INWITNESSWHEREOF,thepartieshaveexecutedthisengineercontractterminationagreementasoftheeffectivedatefirstabovewritten._________________________employer::______________________name:date:_________________________engineer:date:一、附件列表：1.工程师合同终止协议2.原工程师合同3.员工个人资料表4.设备归还表格5.保密协议6.非贬低协议7.赔偿协议8.员工福利证明文件9.离职证明二、违约行为及认定：1.未按合同约定支付工资或福利2.未按合同约定提供设备或材料3.未按合同约定履行保密义务4.未按合同约定履行非贬低义务5.未按合同约定提供赔偿6.未按合同约定执行工作职责三、法律名词及解释：1.工程师合同终止协议：一份由雇主和工程师签署的文件，用以终止原有的工程师合同并规定终止后的相关事宜。2.原工程师合同：指工程师与雇主之间原有的合同，规定了双方的权利和义务。3.非贬低协议：指工程师和雇主之间的一项协议，承诺不会对对方或对方的员工、高级管理人员、董事、代理人、代表或关联公司做出任何负面的、贬低的或损害名誉的公开声明。4.保密协议：指工程师和雇主之间的一项协议，承诺将维护对方的商业机密和保密信息，包括但不限于商业秘密、客户名单、定价信息和其他敏感数据。5.赔偿协议：指工程师承诺对因其在原合同项下工作而产生的所有索赔、诉讼、责任、损害赔偿金、罚款、罚金、利息和费用（包括但不限于合理的律师费和成本）负责。四、执行中遇到的问题及解决办法：1.工资支付问题：若雇主未按合同约定支付工资，工程师可要求雇主支付所有应付款项，并可寻求法律援
