英文版行业协会采购合同合同编号：__________INDUSTRYASSOCIATIONPURCHASINGCONTRACTThisIndustryAssociationPurchasingContract(the"Contract")ismadeandenteredintoasof__________(the"EffectiveDate"),andbetween:(eacha"Party"andcollectivelythe"Parties")RECITALS:WHEREAS,thePurchaserisinneedofpurchasingcertaingoodsand/orservices(the"Products")fromtheSupplier;WHEREAS,theSupplieriswillingtoselltheProductstothePurchaseronthetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thePartiesheretoagreeasfollows:Article1:ProductsandSpecifications1.1TheProductstobepurchasedthePurchaserfromtheSupplieraredescribedinExhibitAattachedhereto(the"ProductSpecifications").TheSupplieragreestosupplytheProductsinaccordancewiththeProductSpecifications.1.2TheSupplierrepresentsandwarrantsthattheProductsconformtotheProductSpecificationsandanyapplicablestandards,laws,regulations,orrequirementsofanygovernmentauthorityhavingjurisdictionovertheProducts.Article2:DeliveryandInspection2.1TheSuppliershalldelivertheProductstothePurchaser'sdesignateddeliverylocation(the"DeliveryLocation")onorbeforethedeliverydatespecifiedinthePurchaseOrder(asdefinedinArticle4).2.2ThePurchasershallhavetherighttoinspectandtesttheProductswithinareasonabletimeafterdelivery.IftheProductsdonotconformtotheProductSpecifications,thePurchasermay,atitssolediscretion,either:(a)requiretheSuppliertoreplaceorrepairthenonconformingProducts;or(b)returnthenonconformingProductsforafullrefund.Article3:PriceandPaymentTerms3.1ThepricefortheProducts(the"Price")shallbeasspecifiedinthePurchaseOrder.ThePriceisexclusiveofanyapplicabletaxes,duties,orothercharges.3.2ThePurchasershallmakepaymentfortheProductswithin[InsertNumber]daysafterthedateoftheinvoiceissuedtheSupplier.TheSuppliershallprovidethePurchaserwithadetailedinvoice,showingtheapplicabletaxes,duties,andothercharges,ifany.Article4:PurchaseOrdersandOrderAcknowledgments4.1ThePurchasermayissueoneormorepurchaseorders(eacha"PurchaseOrder")totheSupplierforthepurchaseoftheProducts.EachPurchaseOrdershallspecifythequantity,type,anddeliverydateoftheProducts,andanyothertermsandconditionsapplicabletothepurchase.4.2UponreceiptofaPurchaseOrder,theSuppliershallacknowledgethereceiptofthePurchaseOrdersigningitandreturningittothePurchaserwithin[InsertNumber]days.TheSupplier'ssignatureonthePurchaseOrderAcknowledgmentshallbeconclusiveevidenceoftheSupplier'sacceptanceofthetermsandconditionssetforthinthePurchaseOrder.Article5:Warranties5.1TheSupplierrepresentsandwarrantsthat:(a)ithastherighttoselltheProductstothePurchaser;(b)theProductsarefreefromanyliens,encumbrances,orotherthirdpartyclaims;and(c)theProductsconformtotheProductSpecifications.5.2TheSupplierfurtherwarrantsthattheProductsshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[InsertNumber]monthsfromthedateofdelivery.IftheProductsarefoundtobedefectiveduringthewarrantyperiod,theSuppliershall,atitssolediscretion,either:(a)replacethedefectiveProducts;or(b)refundthePurchasePriceforthedefectiveProducts.Article6:LimitationofLiability6.1EXCEPTFORTHEEXPRESSWARRANTIESSETFORTHINARTICLE5,THESUPPLIERDISCLMSALLOTHERWARRANTIES,EXPRESSORIMPLIED,INCLUDINGBUTNOTLIMITEDTOWARRANTIESOFMERCHANTABILITYANDFITNESSFORA一、附件列表：ExhibitA:ProductSpecificationsExhibitB:PurchaseOrderExhibitC:InvoiceExhibitD:DeliveryReceiptExhibitE:WarrantyClaimsForm二、违约行为及认定：1.迟延交付：如果供应商未能在指定的交付日期之前交付产品，将被视为违约。2.产品不符合规格：如果产品未满足合同中规定的产品规格，将被视为违约。3.未履行付款义务：如果购买商未能在规定的时间内支付产品价款，将被视为违约。4.未履行保证义务：如果供应商未能履行其保证条款，将被视为违约。三、法律名词及解释：1.购买商：指本合同中需要购买产品的公司。2.供应商：指本合同中提供产品的公司。3.交付地点：指购买商指定的产品交付地点。4.交付日期：指供应商应向购买商交付产品的日期。5.产品规格：指供应商应按照的产品的详细描述和要求。四、执行中遇到
