edinAppendixO.Theaboveconstitutesthefirsthalfofthedetailedcontentoftheagreement.Thesubsequentchapterswillbefurtherrefinedbasedonthespecificneedsandnegotiatedoutcomesofbothparties.Chapter8:BreachofContractandRemedies8.1CircumstancesofBreachThissectionoutlinestheconditionsthatconstituteabreachofcontract,includingbutnotlimitedtofailuretomeetdeadlines,non-performance,orsubstandardperformance.8.2LiabilityforBreachThepartyinbreachshallberesponsibleforanylossesincurredbythenon-breachingpartyandmaybesubjecttoliquidateddamagesasspecifiedinAppendixP.8.3LiquidatedDamagesandCompensationThecalculationandpaymentofliquidateddamages,aswellastheprocessforcompensationclaims,aredetailedinAppendixQ.Chapter9:AmendmentsandTermination9.1ConditionsandProceduresforAmendmentsAnyamendmentstothisagreementmustbemadeinwritingandagreeduponbybothparties,withtheproceduresoutlinedinAppendixR.9.2ConditionsandConsequencesofTerminationTheconditionsunderwhicheitherpartymayterminatethisagreement,andtheconsequencesofsuchtermination,arespecifiedinAppendixS.9.3Post-TerminationObligationsTheobligationsofbothpartiesaftertheterminationofthisagreement,includingthereturnofmaterialsandthecontinuationofconfidentialityobligations,aredetailedinAppendixT.Chapter10:ForceMajeure10.1DefinitionofForceMajeureForcemajeureisdefinedasunforeseeable,unavoidable,andinsurmountableeventsbeyondthecontroloftheparties,asdescribedinAppendixU.10.2NotificationandProofofForceMajeureIntheeventofforcemajeure,theaffectedpartymustnotifytheotherpartypromptlyandprovideproofoftheevent,asoutlinedinAppendixV.10.3ImpactofForceMajeureonPerformanceTheimpactofforcemajeureontheperformanceofthisagreement,includingpossibleextensionsormodifications,isdetailedinAppendixW.Chapter11:NoticesandService11.1FormofNoticesAllnoticesunderthisagreementmustbeinwritingandmaybedeliveredviamail,email,orfacsimile,asspecifiedinAppendixX.11.2AddressesforServiceThedesignatedaddressesfortheserviceofnoticesbybothpartiesareprovidedinAppendixY.11.3EffectivenessofNoticesTheconditionsunderwhichnoticesareconsideredeffective,includingrequirementsfordeliveryandreceipt,aredetailedinAppendixZ.Chapter12:SignatureandEffectiveDate12.1SignaturesofthePartiesThesignaturesoftheauthorizedrepresentativesofbothpartiesarerequiredforthisagreementtotakeeffect,asindicatedinAppendixAA.12.2EffectiveDateoftheAgreementThisagreementshallbecomeeffectiveonthedatebothpartieshavesigned,asspecifiedinAppendixBB.12.3PlaceofExecutionTheplacewherethisagreementisexecutedis______,asdetailedinAppendixCC.Chapter13:Appendices13.1ListofAppendicesAcomprehe
