ContractAgreement

ThisContractAgreement(the"Agreement")ismadeandenteredintoasof[Date],byandbetween[PartyA],a[descriptionofPartyA],locatedat[addressofPartyA](the"Contractor"),and[PartyB],a[descriptionofPartyB],locatedat[addressofPartyB](the"Client").

1.ScopeofWork

TheContractoragreestoprovidethefollowingservicestotheClient:[descriptionofservices].TheservicesshallbeperformedinaccordancewiththespecificationsandrequirementsprovidedbytheClient.

2.Duration

ThetermofthisAgreementshallcommenceontheEffectiveDateandshallcontinueforaperiodof[duration],unlessearlierterminatedasprovidedherein.

3.PaymentTerms

4.Confidentiality

5.Indemnification

6.Termination

EitherpartymayterminatethisAgreementbyprovidingwrittennoticetotheotherpartyinadvanceof[numberofdays]priortothedesiredterminationdate.

7.GoverningLawandDisputeResolution

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[arbitrationbody].

8.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.
