egotiationwithin[number]days,thepartiesagreetosubmitthedisputetomediationinaccordancewiththerulesof[mediationassociation].12.3Arbitration12.3.1Ifthedisputeisnotresolvedmediationwithin[number]days,thepartiesagreetosubmitthedisputetobindingarbitrationinaccordancewiththerulesof[arbitrationassociation].ChapterXIII:GoverningLawandJurisdiction13.1GoverningLaw13.1.1ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].13.2Jurisdiction13.2.1ThepartiesagreethatanylegalactionorproceedingarisingoutoforrelatedtothisAgreementshallbebroughtexclusivelyinthecourtslocatedin[City,Jurisdiction].ChapterXIV:AssignmentandSubcontracting14.1Assignment14.1.1NeitherpartymayassignthisAgreementoranyofitsrightsorobligationshereunderwithoutthepriorwrittenconsentoftheotherparty,whichshallnotbeunreasonablywithheld.14.2Subcontracting14.2.1PartyBmaysubcontractanyofitsobligationsunderthisAgreement,providedthatPartyBremainsresponsiblefortheperformanceofsuchobligationsitssubcontractors.ChapterXV:Miscellaneous15.1EntireAgreement15.1.1ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.15.2Amendments15.2.1AnyamendmentormodificationtothisAgreementshallbeinwritingandsignedbothparties.15.3Waiver15.3.1ThefailureofeitherpartytoenforceanyprovisionofthisAgreementshallnotbedeemedawaiverofsuchprovisionoroftherighttoenforcesuchprovision.15.4Severability15.4.1IfanyprovisionofthisAgreementisheldinvalidorunenforceable,theremainderofthisAgreementshallremaininfullforceandeffect.15.5Notices15.6ForceMajeure15.6.1NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoanycausebeyonditsreasonablecontrol.Attachments:ScheduleAPaymentScheduleINWITNESSWHEREOF,thepartieshaveexecutedthisContractAgreementasoftheEffectiveDatefirstabovewritten.ForPartyA:By:___________________________Name:Title:Date:ForPartyB多方为主导时的，附件条款及说明：1、当甲方为主导时，增加的多项条款及说明：A.甲方特别条款1.1.1甲方有权在提前通知乙方的情况下，对合同规定的服务范围进行合理调整。1.1.2甲方保留对乙方提供的服务进行审计的
