2024版技术服务合同模板1TechnicalServiceAgreementTemplate1ContractNumber:_______PartyA(Client):_______RegisteredAddress:_______LegalRepresentative:_______ContactInformation:_______PartyB(ServiceProvider):_______RegisteredAddress:_______LegalRepresentative:_______ContactInformation:_______PreambleConsideringtheneedsofPartyAforspecializedtechnicalservicesandPartyB'scapabilitytoprovidesuchservices,thepartieshaveagreedtoenterintothisTechnicalServiceAgreement(hereinafter"Agreement")basedonprinciplesofequality,mutualbenefit,andgoodfaith.Article1:ServiceDescriptionPartyBshallprovidethefollowingtechnicalservicestoPartyAasdetailedinAttachment1:"TechnicalServiceScopeandSpecifications"("Services").Article2:ServicePeriodTheserviceperiodshallcommenceon_______andconcludeon_______.Article3:ServiceFeesandPaymentTermsThetotalservicefeepayablebyPartyAtoPartyB("ServiceFee")shallbe_______.ThepaymenttermsareasspecifiedinAttachment2:"PaymentScheduleandTerms".Article4:ObligationsofPartyAPartyAshall:MaketimelypaymentsoftheServiceFeeasperthePaymentSchedule.ProvidenecessaryinformationandassistancerequiredfortheperformanceoftheServices.Article5:ObligationsofPartyBPartyBshall:PerformtheServicesprofessionallyandinaccordancewiththeagreedspecifications.MeetalldeadlinesforthedeliveryofServicesasspecifiedintheAgreement.Article6:ServiceAcceptanceCriteriaTheServicesshallbesubjecttoacceptancebyPartyAbasedoncriteriaoutlinedinAttachment3:"ServiceAcceptanceCriteria".Article7:ConfidentialityBothpartiesshallmaintaintheconfidentialityofallproprietaryandconfidentialinformationobtainedfromtheotherpartyduringthetermofthisAgreement.Article8:IntellectualPropertyRightsAllintellectualpropertyrightsrelatedtotheServicesprovidedbyPartyBshallbeidentifiedinAttachment4:"IntellectualPropertyRights".Article9:WarrantyandLiabilityPartyBwarrantsthattheServiceswillconformtotheagreedspecificationsandwillnotinfringeuponanythird-partyrights.PartyB'sliabilityforbreachofwarrantyshallbeasspecifiedinAttachment5:"WarrantyandLiability".Article10:ForceMajeureNeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementtotheextentthatsuchfailureordelayiscausedbyforcemajeureevents.Article11:TerminationThisAgreementmaybeterminatedbyeitherpartyinaccordancewiththeprovisionsoutlinedinAttachment6:"TerminationConditions".Article12:DisputeResolutionAnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughnegotiationbetweentheparties.Ifnegotiationfails,thedisputesshallthenbesubmittedto_______forarbitration.Article13:AmendmentsThisAgreementmayonlybeamendedinwritingandsignedbybothparties.Article14:EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatter,andsupersedesallpriorandcontemporaneousagreementsandunderstandings,whetherwrittenororal.Article15:NoticesAllnoticesorcommunicationsrequiredorpermittedtobegivenhereundershallbeinwritingandshallbedeemeddulygivenwhendeliveredtotheaddressspecifiedinthisAgreement.Article16:AssignmentNeitherpartymayassignitsrightsordelegateitsobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherparty.Article17:AttachmentsThefollowingattachmentsformanintegralpartofthisAgreementandhavethesameeffectasthemaintext:Attachment1:TechnicalServiceScopeandSpecificationsAttachment2:PaymentScheduleandTermsAttachment3:ServiceAcceptanceCriteriaAttachment4:IntellectualPropertyRightsAttachment5:WarrantyandLiabilityAttachment6:TerminationConditionsArticle18:CounterpartsThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.PartyA(Stamp):_______AuthorizedRepresentativeSignature:_______Date:_______PartyB(Stamp):_______AuthorizedRepresentativeSignature:_______Date:_______(Note:Theaboveisthefirsthalfofthecontract,andthesecondhalfwillbeprovidedinthenextquestion.)Thetextendswithoutfurtherprompts.Article19:IndependentContractorsBothpartiesareindependentcontractors,andnothinginthisAgreementshallbedeemedtocreateapartnership,agency,orjointventurebetweentheparties.Article20:SurvivalTherightsandobligationsunderArticlesconcerningconfidentiality,intellectualproperty,andlimitationsofliabilityshallsurvivetheterminationorexpirationofthisAgreement.Article21:Anti-AssignmentNeitherpartymayassignitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherparty,excepttoanaffiliateinconnectionwithamergerorsaleofallorsubstantiallyallofitsassets.Article22:Third-PartyBeneficiaryExceptfortherightsoftheparties,nothirdpartyshallbedeemedabeneficiaryofanyprovisionofthisAgreement.Article23:GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionspecifiedinAttachment7:"GoverningLaw".Article24:ExecutioninCounterpartsThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.Article25:AdditionalTermsAnyadditionaltermsagreeduponbythepartiesshallbeappendedheretoasattachmentsandshallbeincorporatedintothisAgre
