Preamble:

ThisElectronicLoanAgreement(hereinafterreferredtoasthe"Agreement")isenteredintoonthis[Day]of[Month],[Year],between[Lender'sName],a[Lender'sEntityType]incorporatedandexistingunderthelawsof[Lender'sCountry](hereinafterreferredtoasthe"Lender"),and[Borrower'sName],a[Borrower'sEntityType]incorporatedandexistingunderthelawsof[Borrower'sCountry](hereinafterreferredtoasthe"Borrower").

Article1:LoanTerms

1.1TheLenderagreestolendtotheBorrowerasumof[LoanAmount]([DollarAmountinWords]),(the"Loan"),uponthetermsandconditionssetforthinthisAgreement.

1.2TheBorroweragreestorepaytheLoantotheLenderalongwithinterestthereonattherateof[InterestRate]%perannum,calculatedandpayableasprovidedinArticle3below.

Article2:RepaymentSchedule

2.1TheBorrowershallrepaytheLoanin[NumberofInstallments]equalinstallments,eachbeinganamountof[InstallmentAmount],payableonthe[DueDateofEachInstallment].

2.2TheBorrowermayprepaytheLoaninwholeorinpartatanytimewithoutanyprepaymentpenalties.

Article3:InterestandFees

3.1InterestontheLoanshallbecalculatedonadailybasisandchargedtotheBorrower'saccountmonthly.

3.2AnyfeesorexpensesincurredinconnectionwiththeLoanshallbepaidbytheBorrowerasandwhentheybecomedue.

Article4:RepresentationsandWarranties

4.1TheBorrowerrepresentsandwarrantsthatallinformationprovidedtotheLenderistrue,accurate,andcomplete.

4.2TheLenderrepresentsandwarrantsthatithasthefullrightandauthoritytoenterintothisAgreementandtogranttheLoantotheBorrower.

Article5:DefaultandRemedies

5.1IntheeventofaBorrower'sdefaultinthepaymentofanyamountdueunderthisAgreement,theLendermay,atitssolediscretion,declaretheentireoutstandingbalanceoftheLoandueandpayableimmediately.

5.2TheLendermaypursueanyandalllegalremediesavailabletoitintheeventofaBorrower'sdefault.

Article6:GoverningLawandJurisdiction

6.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].

6.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[Jurisdiction].

ByexecutingthisAgreement,bothpartiesacknowledgethattheyhaveread,understood,andagreedtothetermsandconditionssetforthherein.
