ContractAgreement

ThisContractAgreement(the"Agreement")ismadeandenteredintoasof[Date],byandbetween[CompanyName],a[Jurisdiction]corporation("Company"),and[ClientName],a[Jurisdiction]individual("Client").

Recitals

WHEREAS,theCompanyisengagedinthebusinessof[DescriptionofBusiness];

WHEREAS,theClientdesirestoengagetheservicesoftheCompanyfortheprovisionof[DescriptionofServices](the"Services");

NOW,THEREFORE,inconsiderationofthemutualpromisescontainedherein,thepartiesheretoagreeasfollows:

Article1:Services

1.1Services.TheCompanyagreestoprovidetheServicestotheClientinaccordancewiththetermsandconditionssetforthinthisAgreement.

1.2Performance.TheCompanyshallperformtheServiceswithreasonablecare,skill,anddiligence,inconformitywiththestandardsgenerallyprevailingintheindustry.

Article2:Term

2.1Term.ThetermofthisAgreement(the"Term")shallcommenceontheEffectiveDateandcontinuefor[Duration](the"InitialTerm").UpontheexpirationoftheInitialTerm,thisAgreementshallautomaticallyrenewforsuccessive[Duration]terms(eacha"RenewalTerm"),unlesseitherpartyprovideswrittennoticeofitsintentionnottorenewatleast[Number]dayspriortotheexpirationoftheInitialTermoranyRenewalTerm.

Article3:Payment

3.1Fees.InconsiderationfortheServicesprovidedunderthisAgreement,theClientshallpaytheCompanythefollowingfees(the"Fees"):

3.2PaymentTerms.TheClientshallmakepaymentstotheCompanywithin[Number]daysafterthedateoftheapplicableinvoice.

Article4:Confidentiality

4.1ConfidentialInformation.Eachpartyhereto(the"DisclosingParty")mayfromtimetotimedisclosetotheotherparty(the"ReceivingParty")certainconfidentialinformation.Suchinformationshallinclude,butnotbelimitedto,tradesecrets,technicaldata,customerlists,andotherproprietaryinformation.

4.2UseandProtection.TheReceivingPartyagreesthatitwillnotusetheConfidentialInformationforanypurposeotherthantheperformanceofthisAgreement,andthatitwillnotdisclosetheConfidentialInformationtoanythirdpartywithouttheDisclosingParty'spriorwrittenconsent.

Article5:Indemnification

5.1IndemnificationbyCompany.TheCompanyshallindemnifyandholdharmlesstheClientagainstanyloss,damage,liability,claim,orexpense(includingreasonableattorney'sfees)incurredbytheClientarisingoutoforinconnectionwithanyactoromissionoftheCompanyintheperformanceoftheServices,excepttotheextentsuchloss,damage,liability,claim,orexpenseisdirectlycausedbythegrossnegligenceorwillfulmisconductoftheClient.

5.2IndemnificationbyClient.TheClientshallindemnifyandholdharmlesstheCompanyagainstanyloss,damage,liability,claim,orexpense(includingreasonableattorney'sfees)incurredbytheCompanyarisingoutoforinconnectionwithanyactoromissionoftheClientinconnectionwiththeServices,excepttotheextentsuchloss,damage,liability,claim,orexpenseisdirectlycausedbythegrossnegligenceorwillfulmisconductoftheCompany.

Article6:Termination

6.1TerminationforCause.ThisAgreementmaybeterminatedbyeitherpartyuponwrittennoticetotheotherpartyiftheotherpartycommitsamaterialbreachofanytermorconditionofthisAgreementandfailstocuresuchbreachwithin[Number]daysafterreceiptofwrittennoticethereoffromtheterminatingparty.

6.2TerminationwithoutCause.ThisAgreementmaybeterminatedbyeitherpartyuponwrittennoticetotheotherpartyupon[Number]days'priorwrittennotice,foranyreasonornoreason.

Article7:Miscellaneous

7.1GoverningLaw.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

7.2EntireAgreement.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.
