1.AppointmentandAuthorization

6.Indemnification

TheAgentshallindemnifyandholdthePrincipalharmlessfromanyclaims,losses,damages,liabilities,andexpensesarisingoutoforinconnectionwiththeAgent'snegligence,willfulmisconduct,orbreachofthisContract.

7.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrough[arbitration/mediation/litigation]in[Location].

8.EntireAgreement
