ContractforAgency

ThisContract(the"Contract")ismadeandenteredintoasof[InsertDate],byandbetween[InsertClientName]("Client"),a[InsertClient'sjurisdictionandtypeofentity]withaprincipalplaceofbusinessat[InsertClient'saddress],and[InsertAgentName]("Agent"),anindividualwithaprincipalplaceofbusinessat[InsertAgent'saddress].

1.AppointmentofAgent

ClientherebyappointsAgentasitsexclusiveagentin[Insertgeographicterritory]forthepurposeof[Insertbriefdescriptionoftheagencyrelationship,e.g.,promotingClient'sproducts,securingsales,etc.].AgentacceptssuchappointmentandagreestoperformtheservicessetforthinthisContract.

2.DutiesandResponsibilitiesofAgent

AgentshalluseitsbesteffortstopromoteClient'sinterestsandtosecuresalesintheTerritory.Agent'sdutiesandresponsibilitiesinclude,butarenotlimitedto,thefollowing:

(a)Marketresearch:AgentshallconductmarketresearchintheTerritorytoidentifypotentialcustomersandmarketopportunitiesforClient'sproducts.

(b)Salesefforts:AgentshalluseitsbesteffortstosecureordersforClient'sproductsfromcustomersintheTerritory.AgentshallbeentitledtoacommissiononallsalesmadeinaccordancewiththetermsofthisContract.

(c)Promotionandadvertising:AgentshalldevelopandimplementpromotionalandadvertisingcampaignsintheTerritorytoincreaseawarenessandsalesofClient'sproducts.

(d)Customerservice:Agentshallprovidecustomerserviceandafter-salessupportforClient'sproductsintheTerritory.

3.CommissionandPaymentTerms

Agentshallbeentitledtoacommissionof[Insertpercentage]%onallsalesofClient'sproductsmadeintheTerritory.Thecommissionshallbecalculatedonthegrosssalespricelessanydiscounts,returns,orallowances.ThecommissionshallbepaidbyClienttoAgentona[Insertfrequency,e.g.,monthly,quarterly]basiswithin[Insertnumberofdays]aftertheendofeachcalendarmonthduringthetermofthisContract.

4.TermandTermination

ThisContractshallcommenceontheEffectiveDateandshallcontinueforatermof[Insertnumberofyearsoryearsandmonths]unlessearlierterminatedasprovidedinthisSection4.eitherpartymayterminatethisContractupon[Insertnumberofdays]writtennoticetotheotherparty.Intheeventoftermination,AgentshallbeentitledtoreceivecommissionsonallsalesmadeinaccordancewiththetermsofthisContractthatwereinvoicedbutnotyetpaidasofthedateoftermination.

5.Confidentiality

BothpartiesagreetomaintaintheconfidentialityofthetermsofthisContractandanyotherconfidentialinformationexchangedbetweenthepartiesduringthetermofthisContract,excepttotheextentrequiredbylaworregulation.

6.GoverningLawandJurisdiction

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Insertjurisdiction],andanydisputesarisingoutoforinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsof[Insertjurisdiction].
